Agency Representations. As to both such Mortgage Pool and each such Mortgage Loan, all of the representations and warranties made or deemed made respecting same contained in (or incorporated by reference therein) the relevant Agency Guide provisions and Agency Program (collectively, the “Standard Agency Mortgage Loan Representations”) are (and shall be as of all relevant dates) true and correct in all material respects; and except as may be expressly and previously disclosed to Purchaser, Seller has not negotiated with the Agency any exceptions or modifications to such Standard Agency Mortgage Loan Representations.
Agency Representations. The representations, warranties and covenants of Agency set forth in this Agreement are continuous during the term of this Agreement and Agency agrees to notify each of PL&A and Distributor immediately, in writing, if, at any time during the course of this Agreement, any of the representations, warranties or covenants set forth herein become inaccurate or untrue of the facts related thereto. Agency represents, warrants and covenants that it will, and will cause each Subagent to, comply fully with the requirements of state insurance law and applicable federal laws, including but not limited to assuring appropriate state insurance licensing and appointment by PL&A, and will establish rules and procedures necessary to supervise diligently the activities of licensed and appointed agents of PL&A associated with Agency. Upon request by PL&A or Distributor, Agency will furnish such appropriate records as are necessary to document such diligent supervision.
Agency Representations. As to each Pooled Loan, all of the representations and warranties made or deemed made respecting same contained in (or incorporated by reference therein) the Xxxxxx Xxx Guide provisions and Xxxxxx Xxx Program (collectively, the “Standard Agency Mortgage Loan Representations”) are (and shall be as of all relevant dates) true and correct in all material respects; and except as may be expressly and previously disclosed to Buyer, Seller has not negotiated with Xxxxxx Xxx any exceptions or modifications to such Standard Agency Mortgage Loan Representations.
Agency Representations. Agency represents and agrees that now and continuing for the term of Agreement, Agency:
a. Is experienced, qualified, skilled and fully capable of performing Services in a competent and professional manner;
b. Shall exercise reasonable care and diligence, and shall act in the best interest of Town;
c. Shall act in accordance with Program Guidelines;
d. Shall act in accordance with generally accepted standards of Agency's practice applicable to the locality; and shall comply with this Agreement and with all applicable federal, state and local laws, ordinances, codes, rules and regulations (collectively 'Laws and Regulations');
e. Possesses all necessary qualifications, licenses and certifications;
f. Xxxxx assure that the individual(s) signing Agreement have the right and power to do so and bind Agency to the obligations set forth herein and such individuals do so personally warrant that they have such authority.
Agency Representations. Agency represents and warrants to Developer as follows:
Agency Representations. Each of the representations and warranties made by the Subservicer to the Agencies under the Agency Guidelines in connection with the Subservicer’s role as a servicer or subservicer of Agency mortgage loans is true and correct.
Agency Representations. Agency has determined that the deposit accounts and services contemplated by this agreement are to the public advantage. The person(s) executing this agreement on behalf of Agency represent and warrant that: (a) they are authorized by the Agency and under applicable law to bind the Agency to this agreement; (b) no further approval by any other person, board or governing body is required to make this agreement effective and binding as to the Agency; and (c) Agency’s funds may be deposited with Depository in accordance with this agreement.
Agency Representations. Agency represents to County as follows:
Agency Representations. All representations and warranties made by the Agency in this Agreement shall be true and correct as of the date of the Agreement and Phase 2 Close of Escrow, subject to the Agency’s right to modify its representations as set forth in Section 206 below.
