Licensing and Appointment. The Firm shall be solely responsible for maintaining the appropriate registrations, licenses and appointments for itself and RR/Agents required for performance of the activities and obligations in connection with this Agreement.

Licensing and Appointment. The Insurance Companies have each respectively appointed Underwriter to serve as the distributor and principal underwriter of the variable life or variable annuity Insurance Policies. The Underwriter is registered with the SEC, the National Association of Securities Dealers, Inc. ("NASD") and all appropriate state securities regulatory authorities as a broker/dealer. The Underwriter hereby appoints the Broker/Dealer to distribute the variable Insurance Policies listed on the Schedule Pages through its validly insurance licensed representatives ("Registered Representatives").

Licensing and Appointment. Broker will ensure that it and all of its employees and agents involved in the marketing of Golden Rule’s health insurance products and submission of applications are properly licensed and appointed as required under the law of each state in which applications will be submitted. For all persons submitting applications on Broker’s behalf, Broker will conduct all required background investigations including investigation required by the Violent Crime Control Act. In addition, Broker shall ensure that all persons submitting applications on behalf of Broker maintain errors and omissions insurance coverage covering Golden Rule’s health insurance products. If any person’s errors and omissions coverage is terminated during the term of this Agreement, Broker will immediately discontinue submitting applications through that person. Broker will ensure that all persons submitting applications on its behalf will not make any representations concerning Golden Rule’s health insurance products except for those representations contained in the sales literature, advertising material, or insurance policy provided or specifically pre-approved by Golden Rule. Broker is responsible for all appointment fees and related expenses. However, as an administrative convenience, Golden Rule shall pay initial appointment fees subject to reimbursement by Broker via set-off from any other fees due Broker from Golden Rule.

Licensing and Appointment. Section 3.1. Writing Producer shall not be entitled to compensation under this Agreement unless You are validly licensed for the services You perform and are appointed by MetLife in those jurisdictions that require appointment of producers. In order to be appointed with MetLife, You must be validly licensed by and be in good standing with the insurance department of each state in which You do business with MetLife. For avoidance of doubt, when the Writing Producer is an entity rather than an individual, any individual producer that Writing Producer allows to sell MetLife IDI Products under this Agreement must also be duly licensed, appointed by MetLife in those jurisdictions that require appointment of producers and be in good standing with the insurance departments in the states that such persons conduct business. Section 3.2. MetLife shall have the sole discretion to determine whether or not to appoint the Writing Producer. When the Writing Producer is an entity rather than an individual, MetLife shall have the sole discretion to determine whether or not to appoint any individual producers that Writing Producer proposes to allow to sell MetLife IDI Products pursuant to this Agreement. MetLife in its sole discretion may terminate the appointment of any such appointee, including Writing Producer. Section 3.3. Writing Producer shall promptly give written notice to MetLife if any license required to perform Your obligations under this Agreement is canceled, suspended, or revoked, or if You are otherwise placed under a legal prohibition from soliciting coverage or accepting commissions in one or more jurisdictions. Any commissions received from MetLife on or after the date Your authority to solicit coverage and accept commissions is terminated must be repaid to MetLife. MetLife will not pay commissions to Writing Producer unless You are properly licensed to receive them, even if they are fully “earned” or “vested”. Should Your license be reinstated, MetLife will then pay any commissions withheld for this reason, without interest, if such payment is permitted by applicable law or regulation. Section 3.4. MetLife reserves the right to conduct a background check and review valid insurance department licenses for those individual producers that Writing Producer allows to sell MetLife IDI Products pursuant to this Agreement.

Licensing and Appointment. 3.1.3.1 FTB or FTBR, as the case may be, shall provide JMC with a list of the names of each FTB Employee whose sales will be processed by JMC under this Agreement. This list shall be updated as necessary to ensure its accuracy at all times. The list shall contain the following information: 3.1.3.1.1 The states in which each FTB Employee is licensed to sell annuity, insurance and mutual fund products; 3.1.3.1.2 The FTB Employee's agent number with each Product Provider; and 3.1.3.1.3 The FTB Employee's identification number with FTB or FTBR, as the case may be. JMC shall rely on this list when processing sales transactions and, other than consulting the list to ensure that the list indicates that the FTB Employee is appropriately licensed, JMC will not verify any FTB Employee's authority to make any sale JMC processes. 3.1.3.2 Without limiting the generality of the foregoing, FTB and FTBR shall be responsible for the appointment of all FTB Employees with all Product Providers (other than JMC ISS Product Providers and Current Annuity Block Product Providers).

No agent or representative of General Agent shall solicit applications for the Policies until duly licensed and appointed by the Company as a life insurance agent of the Company in the appropriate states or other jurisdictions. b. General Agent shall ensure that such agents or representatives fulfill any training requirements necessary to be so licensed. c. General Agent also understands that agents or representatives of General Agent selling the Policies must have variable contract licenses where required and that certain states require that a special variable life insurance examination be passed by an agent before he can solicit applications for the Policies. d. It is understood that the Company reserves the right to refuse to appoint any proposed agent, or once appointed, to thereafter terminate the same.

Selling Entity shall conduct business only in those states, territories and jurisdictions in which Selling Entity licensed by the appropriate regulatory authorities in accordance with Applicable Rules. Agents shall meet standards required by Insurer for appointment. Insurer will prescribe such appropriate forms and procedures for use in submitting requests for appointment of Agents. Insurer reserves the sole right to not appoint or contract a particular Agent, or to terminate such appointment or contract at any time. Selling Entity represents that the information contained in each Selling Entity and Agent application for appointment shall be true and accurate as of the date that such application is submitted to Insurer or its designee and Selling Entity shall use best efforts to ensure that such information remains true and accurate throughout the period that the Selling Entity sells Products pursuant to this Agreement. Selling Entity shall notify Insurer within twenty (20) business days of any: (1) material changes in the information set forth in a Selling Entity’s or Agent’s application for appointment; (2) inquiries or disciplinary actions initiated against Selling Entity or any Agent by regulatory bodies or SROs; (3) cancellation, material modification or non-renewal of Selling Entity’s liability insurance coverages; or (4) any insurance regulatory inquiries, investigations or complaints relating to the sale of the Products. 3. As required to solicit variable and registered index-linked annuity contracts, Selling Entity represents and warrants that: (1) Agents are registered representatives of the Broker/Dealer and (2) Selling Entity has the authority to supervise and control activities of such Agents in connection with transactions contemplated by this Agreement.
