Agent Requirements. Notwithstanding any provision contained in the Senior Loan Documents which would otherwise require (i) Anglo Irish Bank Corporation Limited (“Anglo”) to (a) to remain as Agent, or (b) retain a minimum Commitment, (ii) require the consent of any other person, including, without limitation any Borrower or any other Lender, as a condition precedent to the effectiveness of Anglo’s resignation as Agent, or (iii) that any successor Agent to Anglo satisfy the conditions of an Eligible Assignee (clauses (i), (ii) and (iii) collectively, being referred to as the “Agent Transfer Restrictions”), each Borrower and each Lender hereby acknowledge and agree that from and after the date hereof, such Agent Transfer Restrictions shall be of no force or effect.

Agent Requirements. Agent shall, at its sole expense, provide, configure and be responsible for the proper functioning of Internet connectivity at levels recommend by AgencyZOOM, hardware, systems software, and other applications software during the Term for proper functioning of the Product.
Agent Requirements. In accordance with applicable Card Brand Rules related to the registration and use of agents and merchant servicers, TSYS shall: (a) Identify to Visa, U.S.A. all agents communicating with TSYS and identify all BINs to which any such agent submitted transactions during the quarterly reporting period; (b) Provide to COMPANY, on a quarterly basis as required, a list of all agents or merchant servicers that utilize the COMPANY BIN; and [***] Indicates that text has been omitted which is the subject of a confidential treatment request. The text has been separately filed with the Securities and Exchange Commission. (c) Notify COMPANY in writing and receive from COMPANY written approval prior to allowing any agent or merchant servicer access to use any COMPANY BIN or prior to granting such agent or merchant servicer access to cardholder information. COMPANY agrees to execute the attached Exhibit “A-I” authorizing agent or merchant servicer access to COMPANY BIN(s).

Agent Requirements. 11.1 TOPOS retains the right to reject an Agent’s application to join the network if any of the following requirements are not sufficiently met: 11.1.1 The Agent must have a valid BVN; 11.1.2 The Agent must have a bank account in Nigeria that they can use for transfers between themselves and TOPOS; 11.1.3 The Agent must have a laptop or similar widescreen device that can access the internet and the TOPOS platform; 11.1.4 The Agent must have a sufficiently stable and fast internet connection to interact with the TOPOS platform without experiencing time-outs; 11.1.5 The Agent must be accessible to customers at least 5 days per week and no less than 35 hours per week. 11.1.6 The Agent must be accessible to customers in a walk-in facility 11.1.7 The Agent must not pay any insurance fee during the Pilot Phase. 11.2 The Agent undertakes to inform TOPOS without delay of any event that entails a change in the opening hours, undertaking to do everything possible to remedy, within a reasonable period of time, the event that caused the interruption of the Service. 11.3 TOPOS retains the right to update agent requirements at any time without notice and request additional individual requirements as it sees necessary. 11.4 TOPOS retains the right to temporarily restrict access of the Agent to the TOPOS platform at any time without prior notice.

(c) Except as provided in Section 14.3, and without limitation of the General Partner’s authority to adopt amendments to this Agreement without the approval of any Partners or Assignees as contemplated in Section 13.1, any amendment that would have a material adverse effect on the rights or preferences of any class of Partnership Interests in relation to other classes of Partnership Interests must be approved by the holders of not less than a majority of the Outstanding Partnership Interests of the class affected. (d) Notwithstanding any other provision of this Agreement, except for amendments pursuant to Section 13.1 and except as otherwise provided by Section 14.3(b), no amendments shall become effective without the approval of the holders of at least 90% of the Outstanding Units voting as a single class unless the Partnership obtains an Opinion of Counsel to the effect that such amendment will not affect the limited liability of any Limited Partner under applicable law. (e) Except as provided in Section 13.1, this Section 13.3 shall only be amended with the approval of the holders of at least 90% of the Outstanding Units.

If you originally ship the item to the recipient’s shipping address on the Transaction Details page but the item is later redirected to a different address, you will not be eligible for PayPal’s Seller Protection program. We therefore recommend not using a shipping service that is arranged by the buyer, so that you will be able to provide valid proof of shipping and delivery. • The shipping requirement does not apply to eligible transactions involving items that you deliver in person; provided, however, that you agree to provide us with alternative evidence of delivery or such additional documentation or information relating to the transaction that we may request. • You must respond to PayPal’s requests for documentation and other information in a timely manner as requested in our email correspondence with you or in our correspondence with you through the Resolution Center. If you do not respond to PayPal’s request for documentation and other information in the time requested, you may not be eligible for PayPal’s Seller Protection program. • If the sale involves pre-ordered or made-to-order goods, you must ship within the timeframe you specified in the listing. Otherwise, it is recommended that you ship all items within 7 days after receipt of payment. • You provide us with valid proof of shipment or delivery. • The payment must be marked “eligible” or “partially eligible” in the case of Unauthorized Transaction claims, or “eligible” in the case of Item Not Received claims, for PayPal’s Seller Protection program on the Transaction Details page. • In the case of an Unauthorized Transaction claim, you must provide valid proof of shipment or proof of delivery that demonstrates that the item was shipped or provided to the buyer no later than two days after PayPal notified you of the dispute or reversal. For example, if PayPal notifies you of an Unauthorized Transaction claim on September 1, the valid proof of shipment must indicate that the item was shipped to the buyer no later than September 3 to be eligible for PayPal’s Seller Protection program. PayPal determines, in its sole discretion, whether your claim is eligible for PayPal’s Seller Protection program. PayPal will make a decision, in its sole discretion, based on the eligibility requirements, any information or documentation provided during the resolution process, or any other information PayPal deems relevant and appropriate under the circumstances. To be eligible for PayPal’s Seller Protection program for a buyer’s Item Not Received claim, you must meet both the basic requirements and the additional requirements listed below: • Where a buyer files a chargeback with the issuer for a card-funded transaction, the payment must be marked “eligible” for PayPal’s Seller Protection on the Transaction Details page. • You must provide proof of delivery as described below.

  • Support Requirements If there is a dispute between the awarded vendor and TIPS Member, TIPS or its representatives may assist, at TIPS sole discretion, in conflict resolution or third party (mandatory mediation), if requested by either party. TIPS, or its representatives, reserves the right to inspect any project and audit the awarded vendors TIPS project files, documentation and correspondence. TIPS Members stand in the place of TIPS as related to this agreement and have the same access to the proposal information and all related documents. Block 3, All trees 1” DBH and over, except for red and blue paint marked trees are to be cut. All conifers are reserved. Block 3 will be cut during the dormant season; October 15 through March 15. F. All employees must be able to identify species. G. Usable material may not be removed from site. X. Xxxxx material felled with clean cuts must have stumps that are parallel to the ground surface and shall not exceed six (6) inches in height measured on the side next to the highest ground or the diameter of the xxxxx, whichever is smaller, except when in the opinion of the Field Contract Coordinator, said height is impractical. I. Cut trees must be removed from trails, roads, tail drains, streams, and utility rights-of- way. J. All trees shall be felled so tops do not pile on one another but lie singly on the ground. K. Slash shall be lopped to no higher than 4’ and pulled apart as directed by the Regional Forester. L. Operator shall exercise care and caution in all operations to prevent damage to all trees not specified for treatment. M. All tops must be pulled back 25 feet from the State Game Land boundary, (blazed & painted white), all roads, parking lots, herbaceous openings, utility Right of Ways and deer exclosures. Tops, branches, and slash will be removed from all ponds, lakes, and streams. N. Damage to trails, roads, streams, or utility rights-of-way caused by the Operator’s equipment must be repaired by the Operator at their expense. O. Any trash resulting from the Operator’s operations must be removed from the area and properly disposed. P. The Operator shall not block any roads or trails in the area during performance of this contract. The Operator shall not in any way hinder the progress of any Timber Sale Contracts in these areas. Q. All labor, equipment, tools, etc., needed to complete contracted projects are to be provided by the Operator. R. Timber Damages – when in the opinion of Field Contract Coordinator, damage to the residual stand becomes excessive, the Operator shall pay the Commission a fair base current value determined by the Field Contract Coordinator per unit of volume. If this value for damage due to Operator’s carelessness or negligence is less than $10.00 per tree, then a minimum charge of $10.00 per tree will be made whether the tree is commercial, non-commercial, merchantable, or non-merchantable.

  • Compliance with Requirements Any investment program furnished, and any activities performed, by the Manager or by a Sub-Adviser under this Section shall at all times conform to, and be in accordance with, any requirements imposed by: (1) the Act and any rules or regulations in force thereunder; (2) any other applicable laws, rules and regulations; (3) the Declaration of Trust and By-Laws of the Fund as amended from time to time; (4) any policies and determinations of the Board of Trustees of the Fund; and (5) the fundamental policies of the Fund, as reflected in its Registration Statement under the Act or as amended by the shareholders of the Fund.
