Announcement of Resignation. Neither party shall make any public --------------------------- announcement regarding Executive's resignation other than (i) pursuant to a mutually satisfactory press release which shall attribute Executive's resignation hereunder to the restructuring of the Company's approach to sales or (ii) as may be required pursuant to applicable securities laws and any rules and regulations thereunder and then only after consultation with the other party to the maximum extent possible in order to maintain goodwill for the other party.
Announcement of Resignation. Any public announcement by the Company concerning the Executive’s departure from the Company shall take the form of, and only the form of, Exhibit B to this Agreement. Any subsequent or additional public statements and any internal announcements by the Company concerning the Executive’s departure from the Company shall be consistent with Exhibit B. The Company shall provide notice to the Executive prior to making any internal or public announcement concerning her departure from the Company (it being hereby acknowledged that notice has been given that an announcement is expected to be made to employees on Monday May 4, 2105).
Announcement of Resignation. The Company and the Executive have mutually agreed to the use of the document attached hereto as Exhibit A as an announcement for the resignation of the Executive’s positions with the Company and Xxxxx, as described herein. The Company shall have the exclusive right to determine when the publication of Exhibit A or any other announcement of Executive’s resignation is made; provided that such announcement shall occur within sixty (60) days of the execution of this Agreement. The Company and the Executive further agree that any public communications regarding such resignation will be subject to the Executive’s reasonable approval prior to its public publication. This provision, however, shall not apply to any public filing required by law or the Company’s By-Laws regarding the Executive’s resignation, which the Company agrees shall not be materially inconsistent with the language set forth in Exhibit A. Executive shall comply with all reasonable requests regarding compliance with the law or Company By-Laws.
Announcement of Resignation. The Company’s public announcement of the Executive’s termination of employment shall be consistent with Exhibit B to this Agreement.
Announcement of Resignation. With regard to third parties, MICROTUNE and you agree to announce that the scope of the VP or HR position has become much less significant due to the reduction in the size of the company, and it was concluded by both the Marc and the company, that a VP of Human Resources was not required at MICROTUNE through the foreseeable future.
Announcement of Resignation. With respect to third parties, Microtune and you agree to announce that you are voluntarily resigning from your executive officer position at Microtune due to your retirement, but that you will assist Microtune with the transition of your duties.
Announcement of Resignation. The Company may announce, publicly disclose and/or report Executive’s resignation as an executive officer and employee of the Company at such time or times and in such manner as may be determined by the Company, including without limitation in one or more press releases and in a Current Report on Form 8-K that has been or will be filed by the Company with the Securities and Exchange Commission.
Announcement of Resignation. Wxxxxxxxx and Furiex agree that they will officially announce Wxxxxxxxx’x resignation in a current report on Form 8K filed with the Securities and Exchange Commission and in an internal memorandum from the Company’s President and Chief Medical Officer (“Company President”). The text of both such announcements shall be mutually agreed upon by Wxxxxxxxx and the Company President. Such announcement shall be coordinated to coincide with the announcement of Wxxxxxxxx’x successor.
Announcement of Resignation. Executive agrees that on May 2, 2005 he will announce to employees and the public, in a manner and forms approved by the Board of Directors, that he is resigning as CEO of the Company, effective December 31, 2005.
Announcement of Resignation. Xxxxx has submitted his Resignation from his positions as President and Chief Operating Officer and from all other offices held by him in Maverick and any of its subsidiaries. Maverick will inform the public of the Resignation and its plan for succession in a press release that is expected to be issued following the close of the stock market on August 29, 2005. A copy of the relevant portion of the press release relating to this announcement is attached to this Agreement as Exhibit A. Except to the extent required by law or to the extent dictated by a material change in circumstances, as determined by Maverick, any subsequent press releases issued by Maverick regarding the reasons for the Resignation shall be substantially consistent with the contents of Exhibit X. Xxxxx shall cooperate with Maverick in the announcement of his Resignation.
