Annual Discretionary Cash Bonus. For each fiscal year during the Employment Period, commencing with the July 1, 2017 – June 30, 2018 fiscal year, Executive shall be eligible to receive an annual discretionary cash bonus (the “Annual Bonus”) for the services rendered by Executive under this Agreement. The amount of the Annual Bonus, if any, will be determined by the Compensation Committee of the Board (the “Compensation Committee”) in its discretion, based on Executive’s individual performance and Company performance, in each case measured against performance goals and targets established by the Compensation Committee. Executive’s Annual Bonus target is sixty percent (60%) of Executive’s Base Salary for the applicable fiscal year (the “Target Bonus”). The amount of the Annual Bonus, if any, will be determined as of the end of each fiscal year during the Employment Period and shall be paid as soon as reasonably practicable after the end of each fiscal year to which the bonus relates, but in no event later than 2-½ months after the end of such fiscal year. To be eligible to receive an Annual Bonus, or any portion thereof, Executive must be employed by the Company both at the time the amount of the Annual Bonus, if any, is determined, and at the time the Annual Bonus, if any, is paid. Any Annual Bonus for the first year of employment will be prorated based on the number of days Executive was employed by the Company during the fiscal year in which Executive commences employment with the Company.

Annual Discretionary Cash Bonus. For each fiscal year during the Employment Period, Executive shall be eligible to receive an annual discretionary cash bonus (the “Annual Bonus”) for the services rendered by Executive under this Agreement. The payment and amount of the Annual Bonus, if any, will be determined by the Compensation Committee of the Board (the “Compensation Committee”) in its sole discretion, based on Executive’s individual performance and Company performance, in each case measured against performance goals and targets established by the Compensation Committee. During the Employment Period, Executive’s Annual Bonus target shall not be less than one hundred percent (100%) of Executive’s Base Salary for the applicable fiscal year (the “Target Bonus”). The Target Bonus for the fiscal year ending December 31, 2021 shall be pro-rated for the period from June 8, 2021 through December 31, 2021. The amount of the Annual Bonus, if any, will be determined as of the end of each fiscal year during the Employment Period and shall be paid as soon as reasonably practicable after the end of each fiscal year to which the bonus relates, but in no event later than 2-1/2 months after the end of such fiscal year. Subject to the Compensation Committee’s discretion, and Section 3 of this Agreement, in no event shall Executive be eligible to receive an Annual Bonus, or any portion thereof, unless Executive is employed in good standing by the Company both at the time the amount of the Annual Bonus, if any, is determined by the Board or Compensation Committee, and at the time such Annual Bonus, as so determined, is paid.

The amount of the Annual Bonus, if any, will be determined by the Compensation Committee of the Board (the “Compensation Committee”) in its discretion, based on Executive’s individual performance and Company performance, in each case measured against performance goals and targets established by the Compensation Committee during the first (1st) quarter of the applicable fiscal year after consultation with Executive; provided, however, any such determinations shall be in the sole and absolute discretion of the Compensation Committee. Executive’s Annual Bonus target is one-hundred percent (100%) (or such higher percentage determined by the Compensation Committee from time to time) of Executive’s Base Salary rate for the applicable fiscal year (as may be increased during such fiscal year) (the “Target Bonus”). The amount of the Annual Bonus, if any, will be determined as of the end of each fiscal year during the Employment Period and shall be paid as soon as reasonably practicable after the end of each fiscal year to which the bonus relates, but in no event later than 2-1⁄2 months after the end of such fiscal year.

Unless the Executive's employment is terminated without Cause or she terminates employment for Good Reason during the fiscal year in which the Annual Bonus relates, the Executive shall not be eligible to receive an Annual Bonus, or any portion thereof, unless Executive is employed in good standing by the Company on the last day of the fiscal year with respect to which the Annual Bonus is being paid. Any Annual Bonus for the first fiscal year of employment shall be prorated based on the number of days Executive was employed by the Company during the fiscal year in which Executive commences employment with the Company.
Annual Discretionary Cash Bonus. During the Term, in respect of all calendar years beginning January 1, 2005, the Executive shall be eligible to receive an annual discretionary cash bonus in an amount equal to up to 100% of the then current Base Salary, based upon criteria determined by the MDC Executive and the Compensation Committee, which criteria shall include the Executive’s performance, the overall financial performance of the Company and such other factors as the MDC Executive and the Compensation Committee shall deem reasonable and appropriate (the “Annual Discretionary Cash Bonus”). The MDC Executive shall communicate the criteria for the Annual Discretionary Cash Bonus to the Executive within a reasonable period of time after such criteria have been established. The Annual Discretionary Cash Bonus will be paid in accordance with the Company’s normal bonus payment procedures.

Annual Discretionary Cash Bonus. You will be eligible to receive an annual cash bonus of up to 30% of your base salary, based upon individual and corporate performance goals to be determined by the Chief Executive Officer of the Company and discussed with you in advance. Any such annual discretionary cash bonus will be paid, if applicable, on or before the 15th day of the third month following the year in which the bonus was earned.
