Annual Maintenance Schedule. EN shall prepare and submit to the City an Annual Maintenance Schedule by August 15th of each year, covering the following calendar year (January 1st through December 31st) during the term of this Agreement. The Annual Maintenance Schedule shall include an estimate of all Project timelines for the coming year with a specific emphasis on the dates which require generator outages. Consistent with Prudent Utility Practice, EN shall attempt to schedule generator outages during periods of low flow or otherwise in deference to the scheduling wishes of City. The Annual Maintenance Schedule shall be consistent with the Annual Budget.

Annual Maintenance Schedule. At least three (3) months before the start of each Lease Year a Lessee representative shall meet with a District representative in order to determine an annual maintenance schedule which allows Lessee flexible access to the Property but which does not interfere with District Use. Either party may request, in writing, that the schedule be amended to accommodate circumstances that may arise during the year. Any schedule change shall be made only by mutual agreement.
