Annual Servicing Report of Independent Public Accountants. On or before the 90th day following the end of each fiscal year, beginning with the fiscal year ending December 31, 2006, the Servicer shall cause a firm of nationally recognized independent public accountants (who may also render other services to the Servicer, the Seller or their respective Affiliates) to furnish to the Indenture Trustee, the Servicer, the Seller, the Swap Counterparty, the Note Insurer and each Rating Agency each attestation report on assessments of compliance with the Servicing Criteria with respect to the Servicer or any affiliate thereof during the related fiscal year delivered by such accountants pursuant to paragraph (c) of Rule 13a-18 or Rule 15d-18 of the Exchange Act and Item 1122 of Regulation AB. The certification required by this paragraph may be replaced by any similar certification using other procedures or attestation standards which are now or in the future in use by servicers of comparable motor vehicle receivables.
Annual Servicing Report of Independent Public Accountants. On an annual basis on or before December 31 of each calendar year, beginning with December 31, 1998, the Collection Agent shall cause nationally recognized independent public accountants acceptable to the Deal Agent, (the Deal Agent acknowledges that in each case any of the "Big 5" accounting firms will be acceptable to the Deal Agent,) to furnish a report to each of the Collection Agent, the Seller, the Purchaser, the Deal Agent and each Rating Agency then rating the Commercial Paper at the request of EagleFunding substantially to the effect that (i) such accountants have examined certain documents and records relating to the servicing of Receivables under this Agreement, compared the information contained in the Daily Settlement Reports and Asset Reports delivered by or on behalf of the Seller under this Agreement during the annual period covered by such report (or such shorter initial period, as the case may be) with such documents and records and that, on the basis of such examination, and subject to such reasonable limitations and qualifications as may be set forth in such report, such accountants are of the opinion that the servicing has been conducted substantially in compliance with the terms and conditions as set forth in Article VI of this Agreement, except for such exceptions as they believe to be immaterial and such other exceptions as shall be set forth in such statement and (ii) such accountants have compared the mathematical calculations of each amount set forth in the Daily Settlement Reports and Asset Reports delivered pursuant to this Agreement during the period covered by such report with the Collection Agent's computer reports which were the source of such amounts and that on the basis of such comparison, such accountants are of the opinion that such amounts are in agreement, except for such exceptions as they believe to be immaterial and such other exceptions as shall be set forth in such statement.

On or before the 90th day following the end of each fiscal year, beginning with the fiscal year ending December 31, 2007, the Servicer shall cause a firm of nationally recognized independent public accountants (who may also render other services to the Servicer, the Seller or their respective Affiliates) acceptable to the Insurer to furnish to the Indenture Trustee, the Servicer, the Seller, the Insurer, the Swap Counterparty and each Rating Agency each attestation report on assessments of compliance with the Servicing Criteria with respect to the Servicer or any affiliate thereof during the related fiscal year delivered by such accountants pursuant to paragraph (c) of Rule 13a-18 or Rule 15d-18 of the Exchange Act and Item 1122 of Regulation AB.

The certification required by this paragraph may be replaced by any similar certification using other procedures or attestation standards which are now or in the future in use by servicers of comparable motor vehicle receivables, or which comply with any rule, regulation, "no action" letter or similar guidance promulgated by the Commission. Such report will also indicate that the firm is independent of Servicer within the meaning of the Code of Professional Ethics of the American Institute of Certified Public Accountants.
Annual Servicing Report of Independent Public Accountants. In addition to and without limiting any reports required to be provided by it in Exhibit IV hereto, at the request of the Administrative Agent (made no more than once in each calendar year), the Servicer shall cause a firm approved by the Administrative Agent (who may also render other services to the Servicer or the Seller) to furnish a report (addressed to the Administrative Agent) to the Administrative Agent and each Purchaser, to the effect that:

Annual Servicing Report of Independent Public Accountants. FORMS 10-Q AND 10-K. (a) (i) On or before 180 days after the Closing Date and annually thereafter (on the anniversary of such date after the Closing Date, or if such date is not a Business Day, the next succeeding Business Day), the Servicer shall, as an expense of the Servicer paid out of the Servicing Fee, cause Price Waterhouse LLP or another firm of nationally recognized independent public accountants (which may also render other services to the Servicer, the Sellers or the Issuer) to furnish a report to the Trustee, the Administrative Agent, the Servicer, the Applicable Rating Agencies and the Issuer (which report shall be addressed to the Trustee and the Administrative Agent). The report to be furnished by such accountants shall set forth the results of such accountants' performance of certain procedures that have been substantially determined prior to the Closing Date with respect to the Settlement Statements and Daily Reports delivered to the Trustee and the Administrative Agent pursuant to SECTION 3.04 during the prior year (or, in the case of the first such report, such lesser period of time since the Closing Date). Such procedures to be performed and reported upon will be substantially consistent with those set forth on EXHIBIT E.

Within 90 days after the Transfer Date and on an annual basis on or before March 31 of each calendar year, beginning with March 31, 1998, the Servicer shall at the Transferor's expense cause the Independent Public Accountants to furnish a report (addressed to the Trustee) to the Trustee, the Servicer, each Rating Agency and each Enhancement Provider substantially to the effect set forth in Exhibit I; provided, however, that all such Persons and a Majority in Interest may approve an alternative arrangement.

(a) On or before April 30 of each calendar year, beginning with April 30, 1997, the Servicer shall, at its own expense, cause a firm of Independent Public Accountants (who may also render other services to the Servicer or the Issuer) to furnish a report (addressed to the Trustee) to the Trustee, the Servicer and each Enhancement Provider substantially to the effect that (i) such accountants have examined certain documents and records relating to the servicing of Issuer Loans under this Indenture, compared the information contained in the Settlement Statements delivered pursuant to Section 3.05(b) during the period covered by such report with such documents and records and that, on the basis of such examination, and describing what exceptions, if any, they detected between such documents and records and such Settlement Statements and (ii) such accountants have compared the mathematical calculations of certain amounts set forth in the Settlement Statements delivered pursuant to Section 3.05(b) during the period covered by such report with the Servicer's computer reports which were the source of such amounts and describing what exceptions, if any, they detected between the calculations set forth in such certificates and contained in the Servicer's computer reports which were the source of such calculations.

On or before the Required Delivery Date for each year, beginning on the Required Delivery Date for 20[ ], the Servicer shall cause an independent registered public accounting firm (who may also render other services to the Servicer, the Depositor or their respective Affiliates) to furnish to the Indenture Trustee, the Servicer, the Depositor and each Rating Agency [and the Swap Counterparty] each attestation report on assessments of compliance with the Servicing Criteria with respect to the Servicer or any affiliate thereof during the related fiscal year delivered by such accounting firm pursuant to paragraph (c) of Rule 13a-18 or Rule 15d-18 of the Exchange Act and Item 1122 of Regulation AB.
