Settlement Reports. (a) The Servicer shall prepare and forward to the Administrator (with an electronic copy to each Purchaser Agent) (i) on each Settlement Reporting Date, a Settlement Report (certified by an Authorized Officer of the Servicer) and an electronic file of the data contained therein and (ii) at such times as the Administrator or any Purchaser Agent shall request, a listing by Obligor of all Receivables together with an aging of such Receivables; provided that, if an Amortization Event or an Unmatured Amortization Event shall exist and be continuing, the Administrator or any Purchaser Agent may request that the Servicer deliver a Settlement Report more frequently than monthly but not more frequently than weekly unless an Amortization Event or Unmatured Amortization Event has occurred and is continuing. (b) Upon the request of the Administrator or any Purchaser Agent (but not more frequently than every quarter), the Servicer shall provide in writing to the Administrator (which shall promptly forward a copy to each Purchaser Agent) the list of Obligors under Contracts related to the Receivables including, for each Obligor added to the list, the name, address, telephone number and account number of such Obligor and if there have been changes in the name, address, telephone number or account number of any existing Obligor, the revisions shall be provided.

Settlement Reports. On each Settlement Date, Distributor shall render to Issuer (with a copy to each Revenue Participation Holder, provided that Distributor’s inadvertent failure to provide such copy to any Revenue Participation Holder shall be a breach of this Agreement) a settlement report for each Funded Qualifying Project. Each Settlement Report shall be delivered by Distributor to Issuer on each Settlement Date together with any sums being shown due to Issuer. Settlement Reports rendered by Distributor may be changed from time to time to give effect to year-end adjustments made by Distributor’s accounting department or public accountants, to items overlooked, to correct errors, or to reflect any indebtedness which may become uncollectible for any similar purposes. Should Distributor make any overpayment to Issuer for any reason, Distributor shall have the right to deduct and retain for its own account an amount equal to any such overpayment from any sums that may thereafter become due or payable by Distributor to Issuer or for Issuer’s account. Should Distributor make any underpayment to Issuer for any reason, Distributor shall on the next succeeding Settlement Date pay to Issuer an amount equal to any such underpayment; provided, however, that all amounts payable to Issuer hereunder shall be subject to all laws and regulations now or hereafter in existence requiring the deduction or withholding of payments for income or other taxes payable by or assessable against Issuer arising out of or in connection with this Agreement. Distributor shall have the right to make such deductions and withholdings, and the payment thereof to the governmental agency concerned in accordance with its interpretation in good faith of such laws and regulations shall constitute payment hereunder to Issuer, and Distributor shall not be liable to Issuer for the making of such deductions or withholdings or the payment thereof to the governmental agency concerned. In any such event, Issuer shall make and prosecute any and all claims which it may have (and which it desires to make and prosecute) with respect to the same directly with the governmental agency having jurisdiction in the premises.

Settlement Reports. The Master Servicer shall, at the expense of the Master ------------------ Servicer cause Independent Public Accountants to furnish to the Company, the Trustee, the Liquidation Servicer, each Funding Agent and each Rating Agency within 120 days following the last day of the Master Servicer's fiscal year, beginning with the fiscal year ending December 31, 2000, a letter to the effect that such Independent Public Accountants have performed the agreed-upon procedures set forth in Schedule 2 hereto relating to the (a) review of the ----------- Master Servicer's performance related to (i) the preparation of the Daily Reports and (ii) the preparation of the Monthly Settlement Reports, and (b) review of the preparation of the Originator Daily Reports prepared by the Originators, during the preceding fiscal year and describing such accountants' findings with respect to such procedures. A copy of such report may be obtained by any Holder by a request in writing to the Trustee addressed to the Corporate Trust Office.
Settlement Reports. On or prior to each Settlement Date, the Borrower shall prepare and deliver to the Administrative Agent, the Servicer and the Account Administrator a written report substantially in the form attached as Exhibit 7.1, detailing (A) all Collections received since the immediately preceding Settlement Date and until the most recently ended quarter preceding such Settlement Date, (B) the Borrower’s calculations of the amounts payable to the applicable Persons on such Settlement Date pursuant to Section 2.11 (as applicable) and (C) all information which was necessary for preparation by the Borrower of such report (each such written report, statement or document, a “Settlement Report”). Each Settlement Report shall be delivered no later than three (3) Business Days prior to the applicable Settlement Date.

Settlement Reports. Borrower shall, as soon as practicable, ------------------- but in any event on or before Monday of each week or such more frequent intervals as required by Lender from time to time, prepare and deliver to Lender a settlement report that sets forth the gross domestic accounts receivable, together with accompanying documentation required by Lender, with respect to satisfaction of the Margin Requirement as of the last day of the reporting period (and on or before fifteen (15) days after the end of each month, a list of ineligible accounts receivable as of the last day of such month), in such form as specified in Exhibit "D" or such other form as Lender may deliver for ---------- such purpose to Borrower from time to time hereafter, the statements in which, in each instance, shall be certified as to truth and accuracy by a duly authorized officer of Borrower.

Settlement Reports. On each Settlement Date, Issuer or LGEI shall cause Distributor to submit to the Revenue Participation Holders a settlement report (“Settlement Report”) detailing (i) Gross Receipts received by Issuer, LGEI, Distributor or any affiliate thereof for each Funded Qualifying Project for and through the most recently concluded Accounting Period; (ii) the Distribution Expenses incurred with respect to each Funded Qualifying Project for and through such Accounting Period or payable within ***** after such Accounting Period; and (iii) any change or adjustment in the Pro Rata Amounts required due to (1) any change in the Direct Costs for such Funded Qualifying Project that may have occurred in such Accounting Period and/or (2) any difference between the Estimated Tax Credit Amount for such Funded Qualifying Project and the actual Tax Credit Amount for such Funded Qualifying Project, as may be determined in such Accounting Period.
