APPLICABILITY OF LAW. 4.1. This Contract is and shall be construed as being executed and delivered within the State of Washington and it is mutually agreed by the Contractor and the County that all contracts and contract modifications between the Contractor and the County shall be governed by laws of the State of Washington as to both interpretation and performance.
4.2. Venue shall be Xxxxx County, Washington.
APPLICABILITY OF LAW. This AGREEMENT shall be deemed executed in the State of Washington and the laws of the State of Washington shall govern the interpretation and application of its provisions. Venue for any suits between the CONSULTANT and the AGENCY arising from this AGREEMENT shall be brought and maintained in the Superior Court of the State of Washington, situated in the county in which the AGENCY is located.

Unless otherwise expressly agreed by the L/C Issuer and the Borrower when a Letter of Credit is issued (including any such agreement applicable to an Existing Letter of Credit), either (i) the rules of the “International Standby Practices 1998” published by the Institute of International Banking Law & Practice (or such later version thereof as may be in effect at the time of issuance) or (ii) the rules of Uniform Customs and Practice for Documentary Credits, as determined by the L/C Issuer, shall apply to each Letter of Credit.

The DB Contractor acknowledges and agrees that all records, documents, drawings, plans, specifications, and other materials in the DB Contractor’s or the District's possession directly related to the Project, including materials submitted to the District by the DB Contractor, are subject to the provisions of the D.C. FOIA. The DB Contractor shall be solely responsible for all determinations made by it under such act and for clearly and prominently marking each and every page or sheet of its materials with trade secret, privileged information, or confidential commercial, financial, geological, or geophysical data as it determines to be appropriate. The DB Contractor is advised to contact legal counsel concerning such act and its application to the DB Contractor.
APPLICABILITY OF LAW. Whenever possible, each provision of this Agreement and related documents shall be interpreted in such a manner as to be effective and valid under applicable law. If any provision of this Agreement is found to be invalid or unenforceable, such finding shall not affect the validity or enforceability of any other provision herein.

This Agreement is and shall be construed as being executed and delivered within the State of Tennessee, and it is mutually understood and agreed by each party hereto that all agreements and statements of work shall be governed by the laws of the State of Tennessee, both as to interpretation and performance. The parties agree that the venue for enforcement of any provisions shall be the courts of Xxxx County.
