(c) Subject to clause 31.4(d) to (g) (inclusive), the Agent appoints the Supervisor as its agent and attorney to do anything which the Agent can lawfully authorise an agent or attorney to do in connection with the exercise of its rights as Supervisor under this Agreement or which the Supervisor believes is reasonably required or expedient to give effect to or maintain the proper management and essential operation of the Branch in accordance with this Agreement. (d) The Bank acknowledges that the Supervisor it appoints is not entitled to: (i) waive any of the Agent’s rights under this Agreement; (ii) act in a manner which is inconsistent with the Agent’s obligations under this Agreement or any applicable Laws; or (iii) terminate this Agreement.
