ASSIGNMENT BY THE STATE. The State shall have the right to assign or transfer the contract or any of its interests herein to any agency, board, commission, or political subdivision of the State of Nebraska. There shall be no charge to the State for any assignment hereunder.
ASSIGNMENT BY THE STATE. The State may assign, novate or otherwise deal with its rights and obligations under this Agreement or allow any interest in them to arise or be varied in each case, without the consent the Grantee. The Grantee must enter into any agreements or deeds reasonably required by the State to give effect to any such assignment, novation or dealing.
ASSIGNMENT BY THE STATE. (a) The State may assign all or part of its interest in the LNG Precinct, the Project Rights and this Agreement to a State department, State public authority or State instrumentality (the assignee), provided that the assignee:
(i) has the functions and powers which permit and enable the assignee to exercise the rights and obligations of the State under this Agreement to the extent of the interest assigned; and
(ii) executes a Deed of Assignment and Assumption by which it agrees to be bound by the terms of this Agreement and to assume the rights and obligations of the State under this Agreement to the extent of the interest assigned.
(b) For the avoidance of doubt, the State may not assign an interest in the LNG Precinct or the Project Rights without also assigning corresponding interests under this Agreement.
(c) The Parties to this Agreement are deemed to have consented to any such assignment under paragraph (a), and the State will provide each other Party with a copy of the Deed of Assignment and Assumption executed by it and the assignee, and the other Parties must execute and return the Deed of Assignment and Assumption within 14 days of receipt of it.
(d) Other than as specified above, the State may only assign their rights and obligations under this Agreement with the written consent of the other Parties, which consent may be withheld at the absolute discretion of those other Parties.
ASSIGNMENT BY THE STATE. 30.3.1 The State reserves the right to assign or transfer any of its rights or obligations hereunder to the CTA or any other duly designated authority appointed by the State or governmental entity, provided that: (i) any such assignment or transfer shall become effective only after the CTA and the assignee or transferee, as the case may be, have furnished written notice to the Concessionaire of the said assignment or transfer; (ii) any such assignment or transfer shall not adversely affect the rights or obligations of the Concessionaire; and (iii) the State shall remain the guarantor of all its obligations pursuant to Section 15A of this Agreement.
30.3.2 In the event of the CTA being dissolved or ceasing to have the power or authority to perform its obligations under this Agreement or for another reason the CTA is unable to fulfill its undertakings hereunder, the rights and obligations of the CTA under this Agreement shall, unless the provisions of Section 30.3.1 have been invoked, automatically be assigned and transferred to the State. Written notice of such assignment shall be delivered by the State to the Concessionaire.
ASSIGNMENT BY THE STATE. The State will not assign or otherwise transfer its rights or obligations under the Contract Documents without LAEP’s prior written consent, which consent may be withheld or conditioned in LAEP’s sole discretion.
ASSIGNMENT BY THE STATE.
(a) The State must not sell, transfer or assign or otherwise dispose of its interest in the State Project Documents without the prior consent of Project Co.
(b) Project Co must give its consent in accordance with Clause 46.4(a) if:
(i) it has been provided with details of the proposed transferee and the terms and conditions of the proposed transfer;
(ii) the proposed transferee is a Government Agency (including any Minister) which is an agent of, or the obligations of which are supported by, the State of Western Australia; and
(iii) the proposed transferee has agreed to be bound by the relevant State Project Documents.
ASSIGNMENT BY THE STATE.
(a) Subject to Clause 35.3(b), the State must not sell, transfer or assign or otherwise dispose of its interest in the State Project Documents without the prior consent of the Operator.
(b) The consent of the Operator is not required in accordance with Clause 35.3(a) if:
(i) it has been provided with details of the proposed transferee and the terms and conditions of the proposed transfer;
(ii) the proposed transferee is a Government Agency (including any Minister) which is an agent of, or the obligations of which are supported by, the State of Western Australia; and
(iii) the proposed transferee has agreed to be bound by the relevant State Project Documents.
ASSIGNMENT BY THE STATE. The State will not assign or otherwise transfer its rights or obligations under the Contract Documents without LEP’s prior written consent, which consent may be withheld or conditioned in LEP’s sole discretion.
ASSIGNMENT BY THE STATE. Nothing will prevent the assignment, novation or transfer by the State to an assignee, novatee or transferee of the State's rights and obligations under the Project Agreement made in accordance with clause 47.10 (Assignment by the State) of the Project Agreement, provided the proposed assignee, novatee or transferee agrees to execute a deed in favour of the Security Trustee (in such form as the Security Trustee reasonably requires) under which the assignee, novatee or transferee agrees to be bound by this Deed as if it were the State.
ASSIGNMENT BY THE STATE. (a) During the Term of this Agreement, THE STATE shall not transfer or assign its rights or obligations in this Agreement or in the Mine or create or permit to be created any encumbrance or claim on its rights in this Agreement or on all or any portion of the Mine. The foregoing shall not prohibit the CENTRAL BANK from transferring or selling shares of the capital stock of Company owned by it to another governmental entity of the STATE. The STATE shall not sell, mortgage, divest, lease, otherwise dispose of or terminate the Fiscal Reserve and assets leased hereunder during the Term of this Agreement.
(b) The restrictions and obligations set forth in Section 14.1(a) shall be recorded in the Public Registry of Mining Rights. Any attempted disposition in violation of Section 14.1(a) shall be void.
