Audit and Investigations. 17.1 All payments made by UNDP under this Agreement shall be subject to a post-payment audit by auditors, whether internal or external, of UNDP or by other authorized and qualified agents of UNDP at any time during the term of this Agreement and for a period of five (5) years following the completion of the Activities or the termination of this Agreement.
17.2 The CSO acknowledges and agrees that, from time to time, UNDP may conduct investigations relating to any aspect of this Agreement or the selection of the CSO as a responsible party, the obligations performed under this Agreement, and the operations of the CSO generally relating to the performance of this Agreement. The right of UNDP to conduct an investigation and the CSO’s obligation to comply with such an investigation shall not lapse upon completion of the Activities or the termination of this Agreement, whichever is earlier.
17.3 The CSO shall provide its full and timely cooperation with any post-payment audits or investigations. Such cooperation shall include, but shall not be limited to, the CSO’s obligation to make available the CSO Personnel and any relevant documentation for such purposes at reasonable times and on reasonable conditions, and to grant to UNDP access to the CSO’s premises at reasonable times and on reasonable conditions. The CSO shall cause the CSO Personnel to reasonably cooperate with any post-payment audits or investigations carried out by UNDP hereunder.
17.4 UNDP shall be entitled to a refund from the CSO for any amounts shown by audits and investigations to have been paid by UNDP other than in accordance with the terms and conditions of this Agreement.

Where the company fails to reimburse such funds, UNDP reserves the right to seek recovery and/or to take any other action as it deems necessary. The Contractor acknowledges and agrees that, at anytime, UNDP may conduct investigations relating to any aspect of the Contract, the obligations performed under the Contract, and the operations of the Contractor generally. The right of UNDP to conduct an investigation and the Contractor’s obligation to comply with such an investigation shall not lapse upon expiration or prior termination of the Contract. The Contractor shall provide its full and timely cooperation with any such inspections, post-payment audits or investigations. Such cooperation shall include, but shall not be limited to, the Contractor’s obligation to make available its personnel and any documentation for such purposes and to grant to UNDP access to the Contractor’s premises. The Contractor shall require its agents, including, but not limited to, the Contractor’s attorneys, accountants or other advisers, to reasonably cooperate with any inspections, post-payment audits or investigations carried out by UNDP hereunder.

Audit and Investigations. 18.1 In order to determine whether funds transferred to a NGO have been and are being used for their intended purpose and in accordance with the project documents, including the work plan, UNDP as a MA will regularly perform spot checks (financial monitoring) and scheduled audits, as part of risk-based assurance activities under HACT Framework.

The right of UNDP to conduct an investigation and the NGO’s obligation to comply with such an investigation shall not lapse upon completion of the Activities or the termination of this Agreement, whichever is earlier.
18.4 The NGO shall provide its full and timely cooperation with any post-payment audits or investigations. Such cooperation shall include, but shall not be limited to, the NGO’s obligation to make available the NGO Personnel and any relevant documentation for such purposes at reasonable times and on reasonable conditions, and to grant to UNDP access to the NGO’s premises at reasonable times and on reasonable conditions. The NGO shall cause the NGO Personnel to reasonably cooperate with any post-payment audits or investigations carried out by UNDP hereunder.
18.5 UNDP shall be entitled to a refund from the NGO for any amounts shown by audits and investigations to have been paid by UNDP other than in accordance with the terms and conditions of this Agreement.
Audit and Investigations. WHO may request a financial and operational review or audit of the goods supplied by the Vendor under this Purchase Order, to be conducted by WHO and/or parties authorized by WHO, and the Vendor undertakes to facilitate such review or audit. This review or audit may be carried out at any time during the period of the supply of the goods under this Purchase Order, or within five years of the supply of the goods. In order to facilitate such financial and operational review or audit, the Vendor shall keep accurate and systematic accounts and records in respect of the goods supplied under this Purchase Order. Similarly, WHO may initiate an investigation into credible allegations of fraud and corruption and other forms of misconduct based on information received in accordance with its respective policies, procedures and rules. In this context, the Vendor shall make available, without restriction, to WHO and/or parties authorized by WHO:
(i) the Vendor’s books, records and systems (including all relevant financial and operational information) relating to this Purchase Order; and
(ii) reasonable access to the Vendor’s premises and personnel. The Vendor shall provide satisfactory explanations to all queries arising in connection with the aforementioned audit and access rights. WHO may request the Vendor to provide complementary information about the goods supplied under this Purchase Order that is reasonably available, including the findings and results of an audit (internal or external) conducted by the Vendor and related to the goods supplied hereunder.
Audit and Investigations. (a) Subject to the provisions of chap- ter 75 of title 31, United States Code, and 44 CFR part 14, relating to require- ments for single audits, the Associate Director or Regional Director shall conduct audits and investigations as necessary to assure compliance with the Xxxxxxxx Act, and in connection therewith may question such persons as may be necessary to carry out such audits and investigations.
(b) For purposes of audits and inves- tigations under this section, FEMA or State auditors, the Governor’s Author- ized Representative, the Regional Xx- xxxxxx, the Associate Director, and the Comptroller General of the United States, or their duly authorized rep- resentatives, may inspect any books, documents, papers, and records of any person relating to any activity under- taken or funded under the Xxxxxxxx Act.

WHO may request a financial and operational review or audit of the work performed by Company Contractors under this agreement, to be conducted by WHO and/or parties authorized by WHO, and the Company Contractor undertakes to facilitate such review or audit. This review or audit may be carried out at any time during the implementation of the work performed under this agreement, or within five years of completion of the work. In order to facilitate such financial and operational review or audit, the Company Contractor shall keep accurate and systematic accounts and records in respect of the work performed under this agreement. Similarly, WHO may initiate an investigation into credible allegations of fraud and corruption and other forms of misconduct based on information received in accordance with its respective policies, procedures and rules. In this context, the Company Contractor shall make available, without restriction, to WHO and/or parties authorized by WHO:
(i) the Company Contractor’s books, records and systems (including all relevant financial and operational information) relating to this agreement; and
(ii) reasonable access to the Company Contractor’s premises and personnel. The Company Contractor shall provide satisfactory explanations to all queries arising in connection with the aforementioned audit and access rights. The right of UNDP to conduct an investigation and the Responsible Party’s obligation to comply with such an investigation shall not lapse upon completion of the Activities or the termination of this Agreement, whichever is earlier.
17.3 The Responsible Party shall provide its full and timely cooperation with any post-payment audits or investigations. Such cooperation shall include, but shall not be limited to, the Responsible Party’s obligation to make available the Responsible Party’s Personnel and any relevant documentation for such purposes at reasonable times and on reasonable conditions, and to grant to UNDP access to the Responsible Party’s premises at reasonable times and on reasonable conditions. The Responsible Party shall cause the Responsible Party Personnel to reasonably cooperate with any post-payment audits or investigations carried out by UNDP hereunder.
17.4 UNDP shall be entitled to a refund from the Responsible Party for any amounts shown by audits and investigations to have been paid by UNDP other than in accordance with the terms and conditions of this Agreement.
Audit and Investigations. 25.1 Each invoice paid by Gavi may be subject to audit by Gavi, or by other authorized and qualified agents of Gavi, at any time during the Term and for a period of five (5) years following the Expiry Date or prior termination of this Agreement. Gavi shall be entitled to a refund from the Company for any amounts shown by such audits to have been paid by Gavi other than in accordance with the terms and conditions of this Agreement.
25.2 Gavi may conduct investigations relating to any aspect of this Agreement or the award thereof, the obligations performed under this Agreement, and the operations of the Company generally relating to performance of this Agreement at any time during the Term and for a period of five (5) years following the Expiry Date or prior termination of this Agreement.
25.3 The Company shall provide its full and timely cooperation with any such inspections, audits, or investigations. Such cooperation shall include, but shall not be limited to, the Company’s obligation to make available its personnel and any relevant documentation for such purposes at reasonable times and on reasonable conditions and to grant to Gavi access to the Company’s premises at reasonable times and on reasonable conditions in connection with such access to the Company’s personnel and relevant documentation. The Company shall require its agents, including, but not limited to, the Company’s attorneys, accountants, or other advisers, to reasonably cooperate with any inspections, audits or investigations carried out by Gavi in accordance with this Clause 25.
25.4 The provisions of this Clause 25 shall be without prejudice to Clauses 9.4, 10.3 and 14.
Audit and Investigations. Allegations of wrongdoing by Contracted individuals shall be reported to the Office of Audit and Investigations, which may, at its discretion, conduct an investigation. Contracted individuals are required to fully cooperate with any audit or investigation conducted by UNDP.
