SOFTWARE SERVICE. This agreement provides Customer access to and usage of an Internet based software service, to be used on behalf of its clients, and as specified on an order (Service).
SOFTWARE SERVICE. 2.1. The Software Service is a paid service whereby the Customer gets access to some or all of the Software Service features. The Software Service is provided by Pleo Technologies A/S. The Software Service includes the following features (but not limited to): ● Organisation management tools ● Onboarding of Users ● Delegation of Mastercard cards (virtual and/or plastic) to Users ● Overview of purchase activity ● Purchase notifications ● Tools to capture receipts, analytics, categorize expenses and make comments ● Export functionality to accounting software ● Access for External Bookkeeper ● Mileage feature.
2.2. Pleo shall provide any part or all of the Software Service to the Customer and strives to attain extremely high levels of the Software Service features. Pleo may decide to change its Software Service or add new features in the future. By agreeing to this Agreement, the Customer acknowledges and agrees that the form and nature of the Software Service may change without prior notice to the Customer.
2.3. The Customer acknowledges and agrees that Xxxx is not an accounting service. The Customer undertakes to ensure the accuracy and correctness of the data deriving from the Customer or the Users when using the Software Service. Pleo is not liable for any loss incurred by the Customer while using the Software Service if the data deriving from the Customer or the User is not accurate or correct.
2.4. Pleo offers different types of Subscription Plans for the Software Service. The details of the Subscription Plans are accessible on Pleo’s Website on the Pricing Page. In the Online Platform the Customer can see which Subscription Plan the Customer has subscribed to. In the Online Platform the Customer is able to change the Subscription Plan unless the Customer is subject to an Initial or Renewal Term Period in accordance with a separate Order Form.
SOFTWARE SERVICE. In support of performing Services, or as a stand-alone product made available to Client, UST may deploy tools and software into Client’s on-site IT network, or make tools and software available to Client through the internet as set forth in an SOW (“Software Services”). UST shall retain all ownership, rights, title and interested in Software Services, including all IPR contained therein, and any modifications, enhancements, improvements or derivatives thereto. Client’s rights, if any, with respect to Software Services, will be set forth in the applicable SOW. In the case of Software Services deployed into Client’s on-site IT network, Client grants UST the right to install and operate the Software Services on Client’s designated server(s) or within Client’s internal computing environment in accordance with the applicable SOW. Upon termination of the SOW, Client grants UST the right to promptly uninstall and remove the Software Services. UST will comply with Client’s policies and procedures as provided to UST applicable to UST exercising the rights granted under this Section 5.5. Client may not (1) modify, reverse engineer, or de-compile the Software Services, or create derivative works based on the Software Services, (2) port, translate or localize the Software Services, or (3) sell, lease, license, sublicense, copy, reproduce, market, download, distribute or convey the Software Services to any third party, or use or access the Software Services separate and apart from its use with the Services or except as authorized under the applicable SOW.
SOFTWARE SERVICE. This agreement provides Customer access and usage of proprietary Software as a Service as specified on a specific purchase order separately signed between Customer and QualiSystems and any specific limitation or exclusion of use detailed under xxxx://xxxxx.xxx/legal ("Usage Restriction"), which may be changed from time to time by written notification to Customer, and Schedule 1, which all form an integral part of this Agreement, as this all relates to the Licensed Software. QualiSystems will provide the services through the Licensed Software as described in Schedule 1, or through other QualiSystems approved interfaces under the terms below. “
SOFTWARE SERVICE. This agreement provides Partner access to and usage of an Internet based software service as specified on an order (Service). Implementation services (Implementation Services) may also be provided by Liongard if specified under an order.
SOFTWARE SERVICE. The following terms apply only to the Software Service. If PickNik is providing Perpetual Licensed Software under a Software Order, the terms of Section 2.2 apply.
SOFTWARE SERVICE. This agreement and the applicable order provide Customer and its Affiliates (defined below) access to and usage of an Internet-based software service, including, without limitation, its features, functions, and user interface, and underlying software, as specified on an order (Service). Professional services (Professional Services) may also be provided by WorkRails if specified under an order.
SOFTWARE SERVICE. IBI will provide Customer the Software Service and hereby grants Customer a revocable, non-exclusive, nontransferable, non-sublicensable, royalty-free limited Term right to access and use the Software Service within the Authorized Territory in accordance with the terms of this Agreement. The Software Service shall be used on a trial basis for a non-production environment solely for Customer’s testing and evaluation purposes and for no other purpose. The Software Service and any output may be used for evaluation by up to 10 Users. Customer understands that the Software Service is provided as software-as-a-service and is not customized to Customer’s unique requirements. Customer acknowledges that throughout the Term IBI may make regular and sometimes substantial upgrades, changes and improvements to the Software Service in order to enhance the Software Service generally and/or remedy any issues with the Software Service.
