Availability of Key Personnel. 8.2.1 Contractor acknowledges and agrees that the award of this Contract by Owner to Contractor was based, in large part, on the qualifications and experience of the Key Personnel identified by Contractor during the RFQI and RFP process, as well as Contractor’s commitment that such individuals would be available to undertake and perform the Work. Contractor represents, warrants and covenants that such individuals are available for and will fulfill the roles identified for them in connection with the Project. If any of the Key Personnel will not be assigned full time to the Project, Contractor shall so advise Owner and shall obtain Owner’s approval of the lesser amount of time to be spent by each such individual on the Project, which amount shall in all events be sufficient for satisfactory performance of the tasks to be performed by such individual. Upon Owner’s request, Contractor shall document the time commitment for each Key Personnel to Owner’s satisfaction.
Availability of Key Personnel. 14 8.6.1.1 Except as provided in Section 8.6.3.1, (a) Developer 15 represents, warrants, and covenants that all Key Personnel are available for and will 16 perform the roles identified for them in Exhibit 9, and (b) Developer shall not replace or 17 permit replacement of any individual filling a Key Personnel position without ADOT’s prior 18 written approval.

  • Availability of Services CBT agrees not to discontinue or refuse to provide any service provided or required hereunder other than in accordance with the terms of this Agreement, or unless required by the Commission.

  • Availability of Service We will use reasonable efforts to make the Service available for your use on a continuous basis. The Service may be unavailable for short periods of time for regular or emergency system maintenance. We will endeavor to have our scheduled maintenance occur during non-peak hours. In addition, accessibility to the Service may be interrupted because of conditions beyond our control, including outages in Internet, cellular or other communications availability. We will use diligent efforts to re-establish the Services as promptly as possible. We do not promise the Service will always be available for your use. We may elect to discontinue this Service at any time. If we choose to discontinue the Service, we will provide you with reasonable notice in advance of that fact. We reserve the right at all times to take actions to protect our systems and information, including denial of access to users of the Service.

  • EPP service availability Refers to the ability of the TLD EPP servers as a group, to respond to commands from the Registry accredited Registrars, who already have credentials to the servers. The response shall include appropriate data from the Registry System. An EPP command with “EPP command RTT” 5 times higher than the corresponding SLR will be considered as unanswered. If 51% or more of the EPP testing probes see the EPP service as unavailable during a given time, the EPP service will be considered unavailable.

  • Service Availability You understand that Service availability is at all times conditioned upon the corresponding operation and availability of the communication systems used in communicating your instructions and requests to the Credit Union. We will not be liable or have any responsibility of any kind for any loss or damage thereby incurred by you in the event of any failure or interruption of such communication systems or services resulting from the act or omission of any third party, or from any other cause not reasonably within the control of the Credit Union.

  • Availability for Duty Where an employee is on availability duty (as defined by Clause 22.11 of the Award), he/she shall be paid an, ‘Availability for Duty Allowance’ of a minimum of $100.00 per week increasing to $105.00 per week on 1 July 2006, $110.00 per week on 1 July 2008 and $115.00 per week on 1 July 2010. Companies who have superior arrangements will maintain those superior arrangements.

  • Replacement of Key Personnel The Engineer must notify the State in writing as soon as possible, but no later than three business days after a project manager or other key personnel is removed from association with this contract, giving the reason for removal.

  • DNS service availability Refers to the ability of the group of listed-­‐as-­‐authoritative name servers of a particular domain name (e.g., a TLD), to answer DNS queries from DNS probes. For the service to be considered available at a particular moment, at least, two of the delegated name servers registered in the DNS must have successful results from “DNS tests” to each of their public-­‐DNS registered “IP addresses” to which the name server resolves. If 51% or more of the DNS testing probes see the service as unavailable during a given time, the DNS service will be considered unavailable.

  • Non-Availability of Funds Every obligation of the State under this Agreement is conditioned upon the availability of funds appropriated or allocated for the fulfillment of such obligations. If funds are not allocated and available for the continuance of this Agreement, this Agreement may be terminated by the State at the end of the period for which the funds are available. No liability shall accrue to the State in the event this provision is exercised, and the State shall not be obligated or liable for any future payments as a result of termination under this paragraph.
