Background Material. If requested, the Contractor shall deliver to the Department and the SCA background material prepared or obtained by the Contractor incidental to the performance of this Agreement. Background material is defined as original work papers, notes and drafts prepared by the Contractor to support the data and conclusions in the final reports, and includes, but is not limited to, completed questionnaires and material in electronic data processing form, computer programs, other printed materials, pamphlets, maps, drawings and books acquired by the Contractor during the term of the Agreement and directly related to the services being rendered.
Background Material. Include all relevant details e.g. the type of Background Material and to the extent that any such Research Organisation Background Material will be incorporated, attached to or embedded in the Project Outputs Date made available to Project Restrictions / limitations on use for dissemination or Commercialisation of Project Outputs <Choose date> <Choose date> <Choose date>
Background Material. 7.1 Nothing in this Agreement alters or transfers ownership in any Background Material, including any Intellectual Property Rights subsisting in Background Material.
7.2 Each party grants to each other party a non-exclusive, royalty-free licence to use its Background Material:
(a) during the Term - for the purpose of carrying out the Project in accordance with this Agreement; and
(b) during and after the Term - in conjunction with Project Material for purposes other than Commercialisation which are solely for research or academic purposes and only to the extent the Background Material is necessary for the other party to exercise the full benefit of the rights in the Project Material granted to it under this Agreement, BUT subject to the confidentiality obligations herein and any restrictions or obligations made known to the other party prior to that Background Material being used in the Project.
7.3 For the avoidance of doubt, no rights are given to a party to sublicense any rights in Background Material to a third party.
Background Material. 5.1 Nothing in this Agreement shall transfer or affect the ownership of a Party’s Background IP.
5.2 Unless otherwise specified in Item 9 of the Schedule, each Party hereby grants a non-excusive royalty free licence to each other Party to use its Background IP for the purposes of undertaking the Project, but not for Commercialisation.
5.3 A separate written agreement with respect to the use of a Party’s Background Material for Commercialisation may be negotiated in good faith between the relevant Parties and UniSA Ventures.
Background Material. Each Party acknowledges and agrees that nothing in this Agreement assigns ownership of any Intellectual Property Rights in a Party’s Background Material to any other Party. Each Party grants to each other Party a non-exclusive, irrevocable, world-wide, non-transferable, royalty free licence to use its Background Material solely for the purposes of fulfilling their obligations under this Agreement, including for the avoidance of doubt in the case of the Candidate, the purpose of completing their Studies, Research Project and Thesis. Each Party warrants to each other Party that its Background Material and any data or Intellectual Property Rights owned by a third party that is provided to each other Party: is appropriately licensed to the Party by the relevant third party; when used by another Party, will not infringe the Intellectual Property Rights of any third party; and is not supplied to either of the other Parties in breach of any confidentiality obligations owed by the Party to any third party or in breach of the Privacy Laws. Project IP will be owned in accordance with one of the following options as set out in Item 11.
Background Material. This chapter is designed to set up the notation, definitions and results to be used in the thesis, and to provide the reader with a background of these areas as needed. References are given where appropriate.
Background Material. The Background Material remains the property of the Client and, on termination of this agreement, the Consultant must immediately return the Background Material and all copies of it to the Client.
Background Material. (a) If a party supplies to the other party any Background Materials, the supplying party authorises the receiving party to, for the sole purpose of fulfilling its obligations or exercising its rights under this Agreement, use and/or reproduce those Background Materials in whole or part including to create or develop Developed Material.
(b) The parties acknowledge that this Agreement does not transfer ownership of any Intellectual Property Rights comprised in any Background Material.
