The Supplier assigns to Telstra all IP Rights in and to the Developed Material, and any modifications or enhancements to the Telstra Material, made by or on behalf of the Supplier on and from creation.
This assignment operates as an assignment of future Intellectual Property Rights to the extent that the Developed Material is not in existence at the Effective Date of this Contract.
The parties must do all things necessary to ensure that the ownership of the Developed Material, and all Intellectual Property Rights in that Developed Material, vests in accordance with clause 4.1 a (iii).
In the event that the Contractor is an individual, that individual shall be considered a key person and, as such, essential to this Contract.
