Developed Material definition

Developed Material means any Material created or developed by the Contractor on or following the date of this Agreement Commencement Date, for the purpose of or as a result of performing its obligations under this Agreement and includes any modifications that may be required under clause 6.6(b), but excludes Contractor Material and Excluded Developed Material.
Developed Material means any Materials that are created by or on behalf of the Supplier under the Agreement in connection with the Supplies. Disaster means the occurrence of one or more events which materially adversely affects the provision of Supplies.
Developed Material means all intellectual property which: is created by one or both parties in the course of carrying out the Activities; is described and/or subsists in the Deliverable(s), and excludes general skills and capability.

Examples of Developed Material in a sentence

  • The Supplier assigns to Telstra all IP Rights in and to the Developed Material, and any modifications or enhancements to the Telstra Material, made by or on behalf of the Supplier on and from creation.

  • This assignment operates as an assignment of future Intellectual Property Rights to the extent that the Developed Material is not in existence at the Effective Date of this Contract.

  • In the event that the Contractor is an individual, that individual shall be considered a key person and, as such, essential to this Contract.

  • To this end, where relevant, the Authority absolutely, unconditionally and irrevocably assigns to Contractor in perpetuity all Intellectual Property Rights throughout the world that it may have in the Developed Material and will obtain any Moral Rights, as defined below, waivers and consents necessary to enable Contractor to freely use and exploit that Developed Material.

More Definitions of Developed Material

Developed Material means all software and other materials produced by the Contractor Personnel in the performance of Projects associated with the Department’s systems and processes, including software program code, in both object code and source code forms, and all related materials, including designs, data models, database models, object models, program listings, flow charts, application manuals, technical manuals, training manuals, user manuals, and operating procedures. The term “Developed Material” does not include pre-existing software not owned by the Department, or commercially-available upgrades or modifications thereto, but does include any modifications, enhancements or interfaces created specifically for the Department in the delivery of Contract services.
Developed Material means any material developed by the Service Provider for Transnet at the specific instance and request of Transnet (including as part of a Project) as part of the Services, which for the avoidance of doubt includes training materials, technical and operating manuals, architecture documentation, reports and technical and function specification documentation;
Developed Material means all material developed by the Student for the purpose of conducting and completing the Project, including any analysis, specifications, source code and Intellectual Property associated with such materials or modifications to a party’s Background Material; and
Developed Material means any and all designs, drawings and other documents provided and/or to be provided by the External Provider as part of the Deliverables;
Developed Material means Numerica-Owned Developed Material and Seller-Owned Developed Material (each defined below).
Developed Material means materials developed for the purposes of this agreement.

The term "Developed Materials" does not include any pre-existing software, such as baseline software or upgrades or generic modifications thereto, but does include all modifications, enhancements, and interfaces to baseline software or other pre- existing materials that are created in the performance of the Contract.
