Bonds Not an Obligation of the State or Any Political Subdivision; Limited Liability of Issuer. (a) The Bonds are not general obligations of the Issuer, but are limited obligations payable solely from the Trust Estate. The Bonds do not constitute an indebtedness or obligation of the State or any county (other than the Issuer, to the limited extent set forth in this Indenture), municipality or political subdivision thereof, and will not constitute or result in the creation of an indebtedness of the State or any county (other than the Issuer, to the limited extent set forth in this Indenture), municipality or political subdivision thereof. No Owner of the Bonds will ever have the right to compel any exercise of the taxing power of the Issuer, or the State or any county, municipality or political subdivision thereof, nor to enforce the payment thereof against any property of the Issuer (other than against the Trust Estate), or the State or any county, municipality or political subdivision thereof.

  • GOVERNING LAW AND JURISDICTION 39.1 This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

  • TERM OF AGREEMENT This Agreement shall continue in full force and effect until the tenth (10th) anniversary of Bank Closing; provided, that the provisions of Section 6.3 and 6.4 shall survive the expiration of the term of this Agreement; and provided further, that the receivership of the Failed Bank may be terminated prior to the expiration of the term of this Agreement, and in such event, the guaranty of the Corporation, as provided in and in accordance with the provisions of Section 12.7 shall be in effect for the remainder of the term of this Agreement.   • Relationship of the Parties Nothing contained in this Agreement shall be construed to make one Party an agent of the other Party nor shall either party have any authority to bind the other in any respect, unless expressly authorized by the other party in writing. The Parties are independent contractors and nothing in this Agreement creates a relationship of employment, trust, agency or partnership between them.

  • Amendment This Warrant may be modified or amended or the provisions hereof waived with the written consent of the Company and the Holder.
