Consultants and other service providers must maintain the confidentiality of any information entrusted to them by the Company or its customers, and any other confidential information about the Company that comes to them, from whatever source. Confidential information includes all non-public information that might be of use to competitors, or harmful to the Company or its customers, if disclosed. The Company encourages the reporting of illegal or unethical behavior and encourages its consultants and other service providers to speak with the appropriate Company personnel about the best course of action in a particular situation, whether that be violations of laws, rules or regulations or concerns regarding the company’s business or operations.

The Purchaser has implemented a comprehensive Business Ethics and Conduct Program which is summarized in the General Dynamics Handbook entitled “General Dynamics Standards of Business Ethics and Conduct” which is available for viewing on-line at EB’s Web Site: xxx.xxxx.xxx (click on “Suppliers”, click on “Doing Business with EB”.) The Seller shall be familiar with this handbook and abide by its principles; in particular, Seller shall not offer any gift or gratuity to Purchaser's employees, their families, customers or their representatives in a manner inconsistent with the guidance provided in this handbook. Seller agrees that it will adhere to similar standards of ethical behavior including developing a suitable system for identifying and reporting possible violations and agrees that it will invoke similar requirements on its lower-tier subcontractors. Furthermore, any falsification, concealment, or alteration of any material fact, or any false, fraudulent or fictitious statement or representation in connection with the work under a Purchase Order within the jurisdiction of the Federal Government is not only prohibited by the Purchaser's policy, but may also be punishable under Federal Law. You may also refer to EB’s annual holiday letter to active suppliers which reinforces our policies.
BUSINESS CONDUCT AND ETHICS. During the term of employment with Odyssey, Executive will engage in no activity or employment which may conflict with the interest of Odyssey, and will comply with Odyssey's policies and guidelines pertaining to business conduct and ethics. Noting in this Agreement shall prohibit Executive from serving on one or more boards of director's of either for profit or not-for-profit companies or chartable organizations so long as the entities do not compete with Odyssey.
BUSINESS CONDUCT AND ETHICS a) BUYER expects all of its suppliers to maintain the highest standards of professionalism and integrity in the performance of all business dealings. All Work must be performed in an ethical manner and in accordance with Purchase Order requirements and specifications, and all applicable government laws and regulations.
b) BUYER’s goal is to cultivate mutually beneficial and professional relationships with our suppliers. In doing so, it is imperative that BUYER and SELLER maintain an honest, objective and efficient procurement process. BUYER and SELLER must avoid actual and perceived improper conduct in all business dealings. Any situation that could impair objectivity, impartiality or the ability to make sound, ethical business decisions is a conflict of interest. Avoiding the appearance of a conflict of interest is as important as avoiding an actual conflict because others tend to judge a situation by what they perceive.
c) BUYER may, by written notice to SELLER, terminate this Purchase Order for default if BUYER has reasonable cause to believe that SELLER has engaged in improper or unethical conduct such as, but not limited to, the offering or providing of gratuities or kickbacks by SELLER, or any agent or representative of SELLER, to any officer, employee or representative of BUYER with a view toward securing business or securing favorable treatment with respect to awarding, amending or the making of any determination with respect to the performance of this Purchase Order.
d) SELLER shall not recruit, or induce, BUYER's permanent employees whose area of direct responsibility is related to this Order to become employees of SELLER during the term of this Order or for a period of twelve (12) months thereafter.
