By Company Other than for Cause or by Executive for Good Reason. If Executive's employment is terminated by Company other than for Cause or by Executive for Good Reason (as defined in Section 6.3, below), then Company's obligation to pay compensation and benefits under this Agreement shall immediately terminate, except that: (a) Company shall pay to Executive and, if applicable, Executive's heirs, any earned but unpaid Base Salary through such termination date; (b) Company shall pay to Executive any earned but unpaid incentive compensation or bonuses through the termination date, subject to the terms of the applicable bonus plan, including without limitation any eligibility requirements or any limitations on such payment under applicable law; (c) Company shall permit Executive to receive continuation of the benefits as set forth in Section 5.5, below, to the extent applicable; and (d) Company shall pay to Executive, as severance benefits, an amount equal to 6 months of Base Salary (the "SEVERANCE BENEFITS"). The Severance Benefits shall be paid in a lump sum, as soon as practicable following such termination date, subject to the following conditions: (x) Executive shall execute a written, complete waiver and release of all claims relating to Company, or Executive's employment by Company or any termination thereof, within any applicable consideration or execution periods and in a form that is acceptable to Company; and (y) subject to confirmation by Company that Executive does not later revoke such waiver and release of claims within any revocation period required by applicable law.
By Company Other than for Cause or by Executive for Good Reason. Company may terminate Executive’s employment hereunder other than for Cause at any time upon thirty (30) days’ written notice to Executive and Executive may terminate Executive’s employment hereunder for Good Reason at any time upon thirty (30) days’ written notice to Company. In the event of a termination of Executive’s employment under this Section 5(d), in addition to the Final Compensation, Executive shall receive continuation of Executive’s Base Salary, at the rate in effect as of the date immediately preceding the date of termination, until the earlier of (x) the Term End Date and (y) the first anniversary of the date of termination (provided, however if the date of termination is after the first anniversary of the Start Date, the period pursuant to this subsection (y) shall be eighteen (18) months after the date of termination), payable in accordance with the Company’s regular payroll practices, less applicable withholdings, commencing at the conclusion of the period set forth in this Section 5(d), provided that the first installment of such payments shall include all amounts which would have been paid during the period between Executive’s date of termination and the date of such first installment.
By Company Other than for Cause or by Executive for Good Reason. If, prior to the end of the Term of this Agreement, (i) the Company terminates Executive’s employment without Cause or, (ii) after the occurrence of a Change in Control, Executive terminates his employment for Good Reason, and if Executive executes and does not timely revoke a release of claims in favor of the Company (as discussed in Section 6(g) below), Executive shall be entitled to receive, as damages payable as a result of, and arising from, a breach of this Agreement, the compensation and benefits set forth in (i) through (iv) below. The time periods in (i) through (iii) below shall be the lesser of the 24-month period stated therein or the time period remaining from Executive’s Termination Date to the end of the Term of this Agreement. All compensation payable under (i) through (iv) below shall be subject to the terms of Section 9 below, which may delay the payment of the compensation for up to 6 months.

By Company Other than for Cause or by Executive for Good Reason. If, prior to the end of the Term of this Agreement and outside of Executive’s Protection Period, (i) the Company terminates Executive’s employment without Cause and other than due to Disability (or death) or, (ii) Executive terminates his employment for Good Reason after complying with the Good Reason Process, and in each case if Executive executes and does not timely revoke a release of claims in favor of the Company (as discussed in Section 6(h) below), Executive shall be entitled to receive as damages payable as a result of, and arising from, a breach of this Agreement (in addition to any amounts that have otherwise accrued but remain unpaid prior to such termination), the compensation and benefits set forth in (i) through (v) below.
