Calculation of Gross Revenue. The purchase of any Launching Game (including without limitation any Launching Game Updates, Localized Versions, DLCs, and demo versions) by an End User through STOVE using ‘Platform Cash’ or another method of payment available on Stove such as credit card or PayPal shall be included in Gross Revenue; provided, however, that any purchase of DLC by an End User within the Launching Game using In-game Virtual Currency shall not be included in Gross Revenue. For clarification purpose, if any discount event for any Launching Game (including without limitation any Launching Game Updates, Localized Versions, DLCs, and demo versions) is held within STOVE, the amount actually paid to SGS by the End Users (that is, the discounted price after applying the discount rate of the applicable discount event) shall be included in Gross Revenue.

Calculation of Gross Revenue. “Gross Revenue” of the Hotel for any Financial Year shall mean the total amount of revenue and receipts of every kind (from both cash and credit transactions) derived by the Operator from the operation of the Hotel and its facilities, as certified by the statutory auditors of the Operator, including receipts from room occupancy charges, room service charges, telephone, telefax and telex charges, laundry, sale of food, beverages, liquor, recreational amenities (outdoor pool, health club, spa, sauna, fitness facility etc.), outdoor catering, receipts from vending machines; parking, restaurants, banquet, convention/exhibition/ meeting halls, commercial or other spaces on account of rent and / or License fee from the sub-Licensees of every description and kind, and the recovery in respect of any other service or facility provided by the Concessioner to the users / guests of the said Property, which are availed/ realized by the Concessioner from an outside party(s) at a consideration BUT shall exclude and be arrived at after deducting the following:-
6.1.9.1 all statutory applicable indirect taxes such as luxury tax, sales tax, entertainment tax, expenditure tax, service tax, goods & services tax and the like by whatever name called now or in future, which the operator has agreed to pay or is bound to pay;
6.1.9.2 revenue on sale of assets of capital nature owned by the Concessionaire; and
6.1.9.3 interest income from investments made.
Calculation of Gross Revenue. Within 75 days following the twelve month period in respect of which the Earnout Portion of the Purchase Price is payable, the Purchaser shall cause its accountants, Ernst & Young, to determine the Gross Revenue received by the Corporation and its Affiliates in respect of such 12 month period and to deliver a written notice (the "Gross Revenue Notice") to the Vendors setting forth such determination including a breakdown of Gross Revenue by product. The Vendors may dispute any aspect of the Gross Revenue Notice by notice in writing given to the Purchaser within 14 days following delivery of the Gross Revenue Notice to the Vendors. During such time, the Vendors shall, if they so request, have access to Ernst & Young's working papers. If the Purchaser has not received a notice of a dispute within the 14-day period referred to in this Section 2.7, the Purchaser shall pay the Earnout Portion of the Purchase Price in accordance with Section 2.2(3). If the Vendors and the Purchaser cannot resolve a dispute relating to the Gross Revenue Notice promptly by agreement, the Vendors and the Purchaser may request the Independent Accountant to arbitrate the dispute in accordance with the provisions of Section 2.5. On agreement with respect to all matters in dispute or upon a decision of the Arbitrator with respect to all matters in dispute, the Purchaser shall forthwith pay the amount of the Earnout Portion of the Purchase Price, if any, to the Vendors.
Calculation of Gross Revenue. In determining the amount of Gross Revenue in any circumstances, the following rules and principals shall apply:
(a) in the event any Methane Gas is sold and delivered from the New Concession by Buyer to an Affiliate of Buyer, such Methane Gas will be deemed to have been sold to such Affiliate at the greater of the actual sales price for such Methane Gas and the Fair Market Value of such Methane Gas, but solely and exclusively for the purpose of calculating Net Profit under this Agreement;
(b) no revenue shall be attributed to, nor shall Buyer be deemed to have received any revenue for, any Methane Gas production resulting from, or incidental to, any core hole drilling, production tests or pilot projects or for any Methane Gas used by Buyer for the purpose of enhancing production, reservoir maintenance, pressure maintenance or as fuel for operations on the New Concession; and
(c) Gross Revenue shall include the proceeds from the sale of any asset of Buyer, the cost of which was included as a Capital Cost, except where:
(i) the asset is included in a sale of all or substantially all of the assets of Buyer;
(ii) the asset is sold to Seller; or
(iii) the sale involves a Controlling Interest in Buyer.
