Cancellation and Changes. 4.1. The Order may only be cancelled, postponed or varied with Buyer’s prior written consent. 4.2. Buyer reserves the right to cancel the Order at any time prior to delivery of the Goods or performance of the Services by giving Seller written notice to this effect. Save for Buyer paying fair and reasonable compensation to Seller for any work in progress on the Goods and/or Services and/or Deliverables at the time of cancellation, Buyer will have no liability whatsoever to Seller as a consequence of cancelling the Order. 4.3. Buyer may at any time make changes in writing relating to the Order, including changes to the Specification, method of shipment, quantities, packing or time or place of delivery. If such changes result in an increase in cost of, or time required for, performance of the Contract a fair adjustment will be made to the Price, Delivery Date or both. Cancellation and Changes. Recochem may, at any time, upon notice to Seller, without cause and without liability to Recochem, cancel or change the Order, in whole or part, prior to shipment. The Order may not be otherwise amended unless there is a written document signed by both parties. Notwithstanding any other provisions of these Terms, Recochem may terminate this Order immediately, without liability, and without limiting any of Recochem’s other rights or remedies, upon written notice to Seller if: (a) Seller is in breach of any of its obligations under these Terms; (b) Seller is in breach of any of its representations or warranties; (c) an action or claim against Seller may, in Recochem’s reasonable opinion, harm Seller’s continued business operations; (d) Seller becomes insolvent or bankrupt; or (e) either party is unable to carry out its obligations under the Order by reason of a force majeure event, meaning any delay or state of affairs beyond the control of a party which causes either party to be unable to fulfill, or to be delayed or restricted in the fulfillment of, an obligation.

Cancellation and Changes. Participating shall have the right to change or cancel any Order by delivering written notice to Dealer. Except as otherwise provided herein, any such change or cancellation shall be without charge prior to commencement of production of such Order. If production has begun (including the ordering of parts and materials), a charge may be applied up to the full invoice amount of the Order.
Cancellation and Changes. Purchaser may not cancel Orders, change the timing of scheduled shipments, or direct temporary suspension of scheduled shipments without Seller’s prior written consent. Cancellations of Orders or rescheduling of shipments shall be subject to cancellation charges which will include payment of any finished Goods, work-in-progress, and all other materials made, purchased by Seller, or otherwise committed for the Order. All changes to Orders must be submitted by Purchaser to Seller in writing and will not be effective unless and until Seller consents in writing to the change(s). Seller will not be required to accept any changes without Purchaser’s written acknowledgement of any price and/or delivery schedule adjustments, if any.

If a change affects the cost or time for performance, an equitable adjustment shall be made, and this Purchase Order shall be amended. Any claim for such adjustment by Supplier must be asserted in writing by Supplier within 30 days from the date the change is ordered by Verizon. Pending negotiation of an equitable adjustment, Supplier will continue with Work as directed by Verizon.
