Cancellation, Termination and Suspension. Buyer reserves the right to cancel all or any part of the undelivered portion of this Order. This Order may be terminated by Buyer or by Seller at any time immediately upon written notice in the event of the other party’s material breach of any term or provision of this Order or upon the occurrence of any of the following events: (a) such other party makes an assignment for the benefit of creditors, or is subject to any voluntary or involuntary provincial or federal receivership, insolvency or bankruptcy proceedings, or becomes unable, or admits in writing its inability, to meet its obligations as they mature; (b) such other party makes any materially false or misleading statement, representation or claim; (c) such other party fails to prosecute the work so as to endanger performance of this Order; (d) dissolution or liquidation of such other party; and/or (e) such other party’s failure to pay any indebtedness which is due and payable and which failure is not remedied within 60 days following written notice. Buyer will not be responsible for any specific cancellation fees or charges. Notwithstanding anything to the contrary in this Order, upon termination, cancellation or expiration of this Order, Seller shall immediately cease use of any of Buyer’s intellectual property, trade secrets and formula(e) and shall have no further right to use the same. If this Order is cancelled due to an event caused by Seller or resulting from Seller’s acts or omissions, Xxxxx may complete Seller’s performance by such reasonable means as Buyer determines, and Seller shall be responsible for, and shall indemnify Buyer against any damages and reasonable costs, including, without limitation, attorneys’ fees, incurred by Buyer as a result thereof.

Cancellation, Termination and Suspension. (a) Time is of the essence for this Order. As a result, UNICOM Government reserves the right at its option and without liability to the Seller, at any time, by written notice of default, to either cancel, terminate, or suspend this Order in whole or in part in the event of a breach of any material condition of the Seller’s performance hereunder that is not cured within ten (10) calendar days after receipt of such notice or such longer period as may be authorized in writing by UNICOM Government. UNICOM Government may procure similar articles or services elsewhere, and Seller assumes the financial liability for any excess cost associated with such procurement, provided, however, that Seller shall not be liable for excess costs where the failure to perform is excusable as provided for in clause 5 above (Excusable Delays & Defaults / Force Majeure). In addition, UNICOM Government may at any time cancel or suspend this Order, or any part thereof, by serving written notice upon Seller, specifying the extent and effective date of such cancellation, termination, or suspension. To the extent this Order is not cancelled, terminated or suspended under the provisions of this clause, the Seller shall continue performance. UNICOM Government’s acceptance of performance, other than that specifically called for herein, with or without objection or reservation, shall not waive the right to claim damage for such breach not constitute a waiver of the requirement for timely performance of any obligation remaining to be performed by Seller. Failure of UNICOM Government to enforce any right under this clause shall not be deemed a waiver of any subsequent right hereunder. UNICOM Government’s rights and remedies reserved under this clause shall not be exclusive, and are in addition to any other rights or remedies provided for by law or under this Order.
(b) Without affecting or otherwise limiting UNICOM Government’s right to cancel, terminate, suspend or reject as set forth in (a) above, UNICOM Government may at any time terminate all or any part of this Order with no fees or penalties.
(c) In no event will UNICOM Government be liable for any damages caused by Seller’s failure to perform Seller’s responsibilities, or for any lost profits or other incidental or consequential damages, even if UNICOM Government has been advised of the possibility of such damage.
Cancellation, Termination and Suspension. 14.1. You may cancel Your Card and Card Account up to 14 days after You receive Your Card (‘the Cancellation Period’), without reason, by contacting Customer support. We will not charge You a cancellation fee. We will require You to confirm Your wish to cancel in writing. This will not entitle You to a refund of any Transactions You have made (authorised or pending) or charges incurred in respect of such Transactions. The purchase price of the Card (Card Fee) will not be refundable.
14.2. Depending on the method by which You choose to have Your remaining Card Account balance refunded, a fee may be charged which will be deducted from the balance of Your Account (see Fees Summary for details).
14.3. You may cancel Your Card , or at any time and without penalty i. during the Cancellation Period (see Section 14.1 above) or ii. if You disagree with a charge we intend to make to these Terms and Conditions. You may also cancel Your Card at any time, for any reason however a cancellation fee will apply (see Fees Summary for details).
14.4. To cancel Your Card You must notify Customer support. You will be responsible for any Transaction You have made or charges incurred before You cancelled Your Card. Once We have been notified by You, We will block the Card straight away so it cannot be used We will wait 21 days for all Transactions to be processed before We refund the remaining balance of money to You. This is to ensure all Your pending Transactions have been settled.
14.5. When Your Card is cancelled You must destroy it by cutting it in half through the chip and magnetic strip.
14.6. We can terminate Your Card at any time if We give You 2 months’ notice and refund any remaining funds to Your nominated bank account.
14.7. We can suspend or terminate these Terms and Conditions with You and Your use of Your Card immediately if i. You have not complied with these Terms and Conditions, or ii. if We have reason to believe that You have used or intend to use the Card in a negligent manner or for fraudulent or other unlawful purposes or iii. if We can no longer process Your Transactions for any legal or security reason or due to actions of any third party or iv. if You fail to pay any fees or charges that You have incurred or fail to repay any overspend incurred on Your Card Account.
14.8. These Terms and Conditions will terminate in the event of Your death.
