Cease Trade Orders. No Governmental Body has issued any order preventing or suspending the trading of the Company’s securities, the use of the Pricing Disclosure Package or the Offering Memorandum or the issuance and sale of the Notes and the Company is not aware of any investigation, order, inquiry or proceeding which has been commenced or which is pending, contemplated or threatened by any such authority.
Cease Trade Orders. It shall advise Laurus promptly after it receives notice of issuance by the SEC or any other regulatory authority of any cease trade order or of any order preventing or suspending any offering of any securities of the Company, or of the suspension of the qualification of the Common Stock of the Company for offering or sale in any jurisdiction, or the initiation of any proceeding for any such purpose.
Cease Trade Orders. No Securities Authority has issued any order that is currently outstanding preventing or suspending trading in the Common Shares and no such proceeding is, to the knowledge of DirectCash, pending, contemplated or threatened.
Cease Trade Orders. Except as set forth in Section 5.10 of the Disclosure Schedule, Parent is not subject to any cease trade or other order of any applicable stock exchange or securities regulatory authority and, to the knowledge of Parent, no investigation or other proceeding involving Parent which may operate to prevent or restrict trading of any securities of Parent is currently in progress or pending before any applicable stock exchange or securities regulatory authority.
Cease Trade Orders. No order ceasing, halting or suspending trading in the securities of Scorpio Gold nor prohibiting the sale of such securities has been issued to and is outstanding against Scorpio Gold.

To the knowledge of Stem Cell, no securities commission or similar regulatory authority has issued any order preventing or suspending trading of any securities of Stem Cell and Stem Cell is in compliance in all material respects with the Applicable Securities Laws and not materially in default of any material provision of Applicable Securities Laws.
Cease Trade Orders. No securities commission or similar regulatory authority has issued any order preventing or suspending trading in any securities of IFCO and there is currently no reasonable basis for such order;
