NuVasive may modify, change or supplement the Specifications upon 60 days' written notice to ITC or upon the mutual agreement of the parties; provided, however, that any requested modifications, changes or supplements shall not affect existing firm purchase orders unless both parties agree to such changes. ITC shall notify NuVasive at least 30 days in advance of any change in any processing procedures or protocols.

Change of Specifications. 8.13A Licensee or the Sub-Licensee may make any change(s) in the specifications or to the physical appearance of the Products, provided that such change(s) shall be at the risk and responsibility of Licensee and that Licensee shall defend, indemnify and hold Licensor harmless from any losses, liabilities, damages, claims, actions, suits, proceedings, costs and expenses (including fees and expenses of counsel) arising out of or in connection with such change(s). Company shall be under no liability to Reseller on account of any such changes; nor shall Company be required to modify or install such changes on Products previously purchased by Reseller.
