Change to Scope. Any change to the Scope of Services shall be accomplished only by a written amendment signed by the parties. If Artist determines that a proposed change will require a change in the costs or the schedule, Artist shall advise County in writing within ten (10) calendar days of such determination. Artist shall furnish County with an itemized estimate of any adjustments to the costs or the schedule resulting from the proposed change. Artist must receive the written approval of Contract Administrator prior to Artist taking any action on a proposed change. During negotiations for a proposed change, Artist shall continue performance of this Agreement other than the terms and conditions to be addressed in the proposed change amendment, unless otherwise directed by County.

Change to Scope. Any minor change to the Scope of Services that does not increase the total cost to County (excluding the Contingency Reserve) under this Agreement or the timeline for Final Acceptance of the Artwork may be approved in writing by the Contract Administrator. Any other change to the Agreement or Scope of Services (including any change that would include payment from the Contingency Reserve) must be accomplished by a written amendment signed by the Parties. If Artist determines that a proposed change will require a change in the costs or the schedule, Artist must advise County in writing within ten (10) days following receipt of notice from the Contract Administrator of the proposed change, and Artist must promptly furnish County with an itemized estimate of any adjustments to the costs or the schedule resulting from the proposed change. Artist must receive the written approval of the Contract Administrator or County pursuant to this section prior to taking any action on a proposed change. During negotiations for a proposed change, Artist must continue performance in compliance with all then-current terms and conditions of this Agreement other than the item subject to the proposed change, unless otherwise directed by County.

  • Change of Scope (i) The Authority may, notwithstanding anything to the contrary contained in this Agreement, require the Contractor to make modifications/ alterations to the Works (“Change of Scope”) within a period of six months counted from the Appointed Date. Upon the Authority making its intention known to the Contractor for the specific Change of Scope, be it positive or negative, the Contractor shall submit his proposal for the said Change of Scope involving additional cost or reduction in cost. Any such Change of Scope shall be made and valued in accordance with the provisions of this Article 13. (ii) Provided that any such Change of Scope, excluding major structures (e.g. Major Bridge/ ROB/ RUB/ Flyover/ elevated road of more than 50 m length) may be required and agreed to be executed between the parties beyond the period of six months of the Appointed Date but before expiry of 50% of the original Scheduled Construction Period of the Project Highway, subject to the condition that it shall not entail any claims (e.g. Extension of Time/ Prolongation related claims), against the Authority. (iii) The Change of Scope shall mean the following: (a) change in specifications of any item of Works; (b) omission of any work from the Scope of the Project except under Clause 8.3 (iii); provided that, subject to Clause 13.5, the Authority shall not omit any Work under this Clause in order to get it executed by any other authority; and / or (c) any additional Work, Plant, Materials or services which are not included in the Scope of the Project, including any associated Tests on completion of construction.

  • Data Return and Destruction of Data (a) Protecting PII from unauthorized access and disclosure is of the utmost importance to the EA, and Contractor agrees that it is prohibited from retaining PII or continued access to PII or any copy, summary or extract of PII, on any storage medium (including, without limitation, in secure data centers and/or cloud-based facilities) whatsoever beyond the period of providing Services to the EA, unless such retention is either expressly authorized for a prescribed period by the Service Agreement or other written agreement between the Parties, or expressly requested by the EA for purposes of facilitating the transfer of PII to the EA or expressly required by law. As applicable, upon expiration or termination of the Service Agreement, Contractor shall transfer PII, in a format agreed to by the Parties to the EA. (b) If applicable, once the transfer of PII has been accomplished in accordance with the EA’s written election to do so, Contractor agrees to return or destroy all PII when the purpose that necessitated its receipt by Contractor has been completed. Thereafter, with regard to all PII (including without limitation, all hard copies, archived copies, electronic versions, electronic imaging of hard copies) as well as any and all PII maintained on behalf of Contractor in a secure data center and/or cloud-based facilities that remain in the possession of Contractor or its Subcontractors, Contractor shall ensure that PII is securely deleted and/or destroyed in a manner that does not allow it to be retrieved or retrievable, read or reconstructed. Hard copy media must be shredded or destroyed such that PII cannot be read or otherwise reconstructed, and electronic media must be cleared, purged, or destroyed such that the PII cannot be retrieved. Only the destruction of paper PII, and not redaction, will satisfy the requirements for data destruction. Redaction is specifically excluded as a means of data destruction. (c) Contractor shall provide the EA with a written certification of the secure deletion and/or destruction of PII held by the Contractor or Subcontractors. (d) To the extent that Contractor and/or its subcontractors continue to be in possession of any de-identified data (i.e., data that has had all direct and indirect identifiers removed), they agree not to attempt to re-identify de-identified data and not to transfer de-identified data to any party.

  • Integration of Exhibits All Exhibits attached to this Agreement are integral parts of this Agreement as if fully set forth herein, and all statements appearing therein shall be deemed disclosed for all purposes and not only in connection with the specific representation in which they are explicitly referenced.

  • Restrictions on Change of Scope (i) No Change of Scope shall be executed unless the Authority has issued the Change of Scope Order save and except any Works necessary for meeting any Emergency. (ii) The total value of all Change of Scope Orders shall not exceed 10% (ten per cent) of the Contract Price. (iii) Notwithstanding anything to the contrary in this Article 13, if any change is necessitated because of any default of the Contractor in the performance of its obligations under this Agreement, the same shall not be deemed to be Change of Scope, and shall not result in any adjustment of the Contract Price or the Project Completion Schedule.
