Changing our Agreement. During the term of our Agreement, we may need to change the terms of our Agreement due to circumstances beyond our control, including changes in Law, urgent changes required for security reasons, changes by one of our Third Party Suppliers of the terms on which they supply services to us or to the functionality or nature of a Service or its underlying technology. We are therefore not always able to provide you with ongoing supply of a Service on the same terms and conditions that existed when we first commenced providing that Service to you. In addition to changes which we are required to make due to circumstances beyond our control, we may elect to make changes for our own purposes during the term of our Agreement.

Changing our Agreement a. During the term of our Agreement, we may need to change the terms or charges of our Agreement due to circumstances beyond our control, including changes in law, urgent changes required for security reasons, changes by one of our Suppliers of the terms on which they supply services to us or to the functionality or nature of a Service or its underly- ing technology. We are therefore not always able to provide you with ongoing supply of a Service on the same terms and conditions that existed when we first commenced provid- ing that Service to you. b. In addition to changes which we are required to make due to circumstances beyond our control, we may elect to make changes for our own purposes during the term of our Agree- ment. Any changes we elect to make will take effect for your Service in accordance with Clauses 3.4 and 3.5 below. c. You acknowledge and agree that in accordance with paragraphs (a) and (b), from time to time the nature of the Services and the terms on which we supply those Services to you may change and that if we elect to change those terms we will give you notice in accord- ance with Clauses 3.4 and 3.5 below.
Changing our Agreement. 14.1.1 During the term of our Agreement, we may propose a change to the terms of our Agreement, for a variety of reasons, due to circumstances beyond our control, including without limitation changes in Law, urgent changes required for security reasons, changes by one of our suppliers of the terms on which they supply services to us or to the functionality or nature of a Service or its underlying technology. If we propose a change, we will notify you as set out below in clause 14.2, except where clause 14.3 applies. You agree this clause is reasonably necessary to protect our legitimate interests. 14.1.2 In addition to changes pursuant to clause 14.1.1, we may also propose to make changes, due to circumstances within our control, for our own legitimate business purposes during the term of this Agreement. If we propose such a change, we will notify you as set out below in clause 14.2, except where clause 14.3 applies. You agree that this clause is also reasonably necessary to protect our legitimate interests. 14.1.3 You acknowledge and agree that in accordance with clauses 14.1.1 and 14.1.2, we may propose to change the terms of this Agreement and that if we do we will give you notice in accordance with clauses 14.2 and 14.3 below.
Changing our Agreement. 18.1 We may need to change the terms of our Agreement with you Services and features may change (a) Over time, we may need to change the features and functions of a Service and we may need to change a Service itself. This means, we aren’t able to provide you with ongoing supply of a Service on the same terms that existed when we first started delivering a Service to you. (b) We may need to change a Service, or certain features, as well as the terms of our Agreement with you due to circumstances beyond our control, including: ● changes in law, ● urgent changes for security reasons, ● changes by a Supplier in relation to: (c) We may also need to change the terms of our Agreement with you for our own legitimate business purposes, including: ● changes we make to keep pace with technology updates, ● changes in our supply chain requirements, ● changes in the technical Services we have available to support a Service or feature, ● changes in our business strategy, and many other business reasons for changing Services and features. 18.2 Your rights if we change the Agreement You can cancel your Service within 42 days in some circumstances (a) If we give notice of changes that will cause more than a minor detriment to you, then you may cancel the affected Service by giving us notice in writing. (b) You must give this notice within 42 days from the date we gave notified you of the change. For example, by notifying us using the method listed in the notice we send you about the change. (c) You will still need to pay all outstanding amounts for installation costs, Services we’ve delivered, and Equipment we’ve provided (and return that Equipment, if relevant). ● Other than any outstanding amounts, we will not charge an Early Termination Fee. (d) If you don’t cancel within the 42 day notice period, then: ● We consider that you accept our proposed changes from the date we stated the changes take effect, and ● our Agreement is amended by those changes and will govern the relationship between you and us from that date. 18.3 When changes take effect

We are therefore not always able to provide you with ongoing supply of a Program Service on the same terms and conditions that existed when we first commenced providing that Program Service to you. (b) In addition to changes which we are required to make due to circumstances beyond our control, we may elect to make changes for our own purposes during the term of our Agreement. If there is no Fixed Term for a Program Service that you acquire from us, or the Fixed Term has expired, then any changes we elect to make will take effect for that Program Service in accordance with Clauses 3.5 and 3.6 below. If you acquire a Program Service from us for a Fixed Term and that Fixed Term has not expired then any changes we elect to make in relation to that Program Service for our own purposes will not take effect until expiry of the Fixed Term (unless you provide your express consent, in which case such changes we elect to make will take effect in accordance with Clauses 3.5 and 3.6 below) notwithstanding anything to the contrary in Clause 3.5. (c) All changes made under this Clause 3.4 are subject to prior approval by the Department. (d) You acknowledge and agree that in accordance with paragraphs (a), (b) and (c), from time to time the nature of the Program Services and the terms on which we supply those Program Services to you may change and that if we elect to change those terms we will give you notice in accordance with Clauses 3.5 and 3.6 below.
Changing our Agreement. We can change this Agreement by giving you reasonable written notice of the change before it comes into effect. If you continue to use your Account or the Card after a change comes into effect, the change will apply to you.

Related to Changing our Agreement

  • Cooperative Agreement The provisions and pricing of this Contract will be extended to other California local or state governmental entities. Governmental entities wishing to use this Contract will be responsible for issuing their own purchase documents/price agreements, providing for their own acceptance, and making any subsequent payments. Contractor shall be required to include in any Contract entered into with another agency or entity that is entered into as an extension of this Contract a Contract clause that will hold harmless the County of Orange from all claims, demands, actions or causes of actions of every kind resulting directly or indirectly, arising out of, or in any way connected with the use of this contract. Failure to do so will be considered a material breach of this Contract and grounds for immediate Contract termination. The cooperative entities are responsible for obtaining all certificates of insurance and bonds required. The Contractor is responsible for providing each cooperative entity a copy of the Contract upon request by the cooperative entity. The County of Orange makes no guarantee of usage by other users of this Contract. The Contractor shall be required to maintain a list of the cooperative entities using this Contract. The list shall report dollar volumes spent annually and shall be provided on an annual basis to the County, at the County’s request.

  • Effective Date of the Agreement The date indicated in the Agreement on which it becomes effective, but if no such date is indicated, it means the date on which the Agreement is signed and delivered by the last of the two parties to sign and deliver.

  • Amendment; Termination (a) This Addendum (including the Schedules hereto) may not be amended without the prior written consent of the Majority Japan Local Currency Banks hereunder and subject to the provisions of Section 8.01 of the Credit Agreement. (b) This Addendum may not be terminated without the prior written consent of each Japan Local Currency Bank party hereto, CFSC and CFKK unless there are no Japan Local Currency Advances or any other amounts outstanding hereunder, in which case no such consent of any Japan Local Currency Bank shall be required; provided, however, that this Addendum shall terminate on the date that the Credit Agreement terminates in accordance with its terms.

  • INTEGRATED AGREEMENT; MODIFICATION This Amendment constitutes the entire agreement and understanding of the Parties with respect to the subject matter and supersedes all prior negotiations and representations. In the event of any conflict between this Amendment and the Contract or any earlier amendment, this Amendment shall control and govern. This Amendment may not be modified except in writing signed by the Parties.
