Company Duties and Responsibilities. As hereinafter set forth, the Company understands and agrees to perform the following duties and accepts the responsibilities as herein identified. Company shall: Obtain prior written approval from NBI for any and all printed literature, radio/television media, web sites, materials, membership cards, or similar printed items as to their content, design, format, use of any trade name, use of any vendor name, trademark or service xxxx of NBI or any vendor under contract with NBI. Send to NBI all new member information electronically or on a mutually agreed upon medium. Pay NBI compensation for each membership on a monthly basis. Said compensation shall be paid by the tenth (10th) day of each month for all active members enrolled by the last day of the previous month. If Company is paid monthly, then Company agrees to pay NBI monthly. If Company is paid annually, Company agrees to pay NBI annually. If Company fails to pay NBI within ten (10) days of receipt of billing, NBI may notify Company in writing of such failure to pay and issue a warning to Company that if payment in full for all previously billed amounts is not received within fourteen (14) days from date of notice, the Agreement may be terminated at the sole discretion of NBI. If Company fails to pay in full all previously billed invoices within the fourteen (14) day period following notification, NBI may notify Company of such failure to pay and immediately terminate this Agreement. A termination of the Agreement does not relieve Company of the obligation to pay all moneys due. Be responsible for all marketing materials. Allow NBI to change service providers with 30 days notice. Authorize NBI to reference Company as a client. Agree not to multilevel market or network market NBI benefits. Identify, market, and refer NBI potential clients and/or customers on a non-exclusive basis. Agree to grant a complete refund to members for any reason for the first 30 days of membership. After 30 days and up to 6 months, Company agrees to grant a complete refund of membership fees upon request of any member with a complaint. In each case, NBI will be responsible for refunding its pro-rata share of the membership fee. Be required to submit a completed Group Activation Form and census (when applicable) to NBI a minimum of three (3) weeks before the enrollment date.
