Duties and Responsibilities of Employee. (a) During the Employment Period, Employee shall devote substantially all of Employee’s business time and attention to the business of the Company and its Affiliates, will act in a manner that Employee reasonably believes is consistent with the best interests of the Company and its Affiliates and will perform with due care Employee’s duties and responsibilities. Employee’s duties will include those normally incidental to the position(s) set forth in Section 1 above of as well as whatever additional duties may be assigned to Employee, with Employee’s consent, by any senior officers or by the Board of Managers of EPE Acquisition (the “Board”) from time to time. Employee agrees not to engage in any activity that materially interferes with the performance of Employee’s duties hereunder. Without limiting the foregoing, during the Employment Period, Employee will not hold any type of outside employment, engage in any type of consulting or otherwise render services to or for any other person, entity or business concern without the advance written approval of the Board. Notwithstanding the foregoing, the parties acknowledge and agree that Employee may (i) serve on corporate boards or committees (A) listed on Schedule 2(a) hereto or (B) approved by the Board, (ii) serve on civic, educational, religious, public interest, or charitable boards or committees, (iii) manage Employee’s personal and family investments, provided that such activity is not expressly prohibited by Section 10 and (iv) engage in passive investments (the activities referred to in the immediately preceding clauses (i), (ii), (iii) and (iv) being “Permitted Activities”); provided, however, that such activities shall be permitted so long as such activities do not materially interfere with the performance of Employee’s duties and responsibilities under this Agreement or conflict with the business and affairs of the Company.
(b) Employee expressly represents and covenants to the Company that Employee is not subject or a party to any employment agreement, noncompetition covenant, nondisclosure agreement, or any other agreement, covenant, understanding, or restriction that would prohibit Employee from executing this Agreement and fully performing Employee’s duties and responsibilities hereunder.
Duties and Responsibilities of Employee. (a) During the Employment Period, Employee shall, subject to the terms of this Section 2(a), devote Employee’s best efforts and full time and attention to the businesses of GMR and its direct and indirect subsidiaries as may exist from time to time (collectively, GMR and its direct and indirect subsidiaries, including the Company, are referred to as the “Company Group”) as may be necessary to discharge Employee’s duties and responsibilities hereunder. Employee’s duties and responsibilities shall include those that are usual and customary to the position(s) identified in Section 1, as well as such additional duties relating to such position(s) as may be reasonably assigned to Employee by the CEO from time to time. Notwithstanding the foregoing, Employee may, and it shall not be considered a violation of this Agreement for Employee to, (i) as a passive investment, own publicly traded securities; (ii) engage in or serve such professional, charitable, trade association, community, educational, religious, civic or similar types of organizations and activities, as Employee may select; (iii) serve on the boards of directors or advisory committees of any entities; and (iv) attend to Employee’s personal matters and/or Employee’s and/or his family’s personal finances, investments and business affairs, so long as such service or activities described in clauses (i)-(iv) immediately preceding do not interfere with Employee’s performance of Employee’s duties and responsibilities under this Agreement and are not competitive with the Business (as defined herein) of any member of the Company Group, and so long as such service or activities do not result in Employee’s violation of the terms of Sections 9 or 10 below.
(b) Employee hereby represents and warrants that Employee is not the subject of, or a party to, any non-competition, non-solicitation, restrictive covenant, non-disclosure or similar agreement that would prohibit Employee from executing this Agreement or fully performing each of Employee’s duties and responsibilities hereunder, or would in any manner, directly or indirectly, limit or affect any of the duties and responsibilities that may now or in the future be assigned to Employee hereunder. Employee expressly acknowledges and agrees that Employee is strictly prohibited from using or disclosing any confidential information belonging to any prior employer in the course of performing services for any member of the Company Group, and Employee promises that Employ...
Duties and Responsibilities of Employee. The Executive shall serve as the Director of Administration of the Company and shall have such authority, duties and responsibilities that are consistent with those commonly given to an executive of the Company (which duties are executive in nature) and such additional authority, duties and responsibilities as may from time to time be conferred upon or assigned to theExecutive by or pursuant to authority delegated by the President of the Company which duties may include the performance of services for subsidiaries of the Company. The Executive shall devote all of his working time and efforts to the business and affairs of the Company and/or its subsidiaries. Reasonable travel outside the State of New York may be required in order to perform Executive's duties hereunder. Notwithstanding the foregoing, Executive shall be entitled to maintain other passive business interests or holdings that do not interfere with his ability to provide the services required hereunder.
Duties and Responsibilities of Employee. (a) Employee will be the Chief Financial Officer of Company, subject to the other provisions of this Section 2. Employee may work from his home office so long as Employee is able to perform the duties associated with Chief Financial Officer of the Company in accordance with the Company’s By-Laws.
(b) During the term of this Agreement, Employee will exercise such authority, perform such executive duties and functions and discharge such responsibilities as he deems appropriate as are customarily vested in an officer of a public company with said title.
Duties and Responsibilities of Employee. (a) Employee shall be employed as Managing Director of the Vidikron European Division, subject to the other provisions of this Section 2, initially based out of the Vidikron European Division Office.
(b) In the performance of his duties, Employee shall report to Employer's Chief Executive Officer. Employee shall use his best efforts to maintain and enhance the business and reputation of Employer. Employee's duties and responsibilities shall include, without limitation, responsibilities for overseeing matters related to the Vidikron European Division's accounting, personnel, information technology, technical production, sales department and quality assurance program, and such other duties commensurate with and appropriate to his position as may, from time to time, be designated to Employee by the Board or its designee(s). Upon Employer's request, Employee shall also perform similar services in an identical capacity for any other subsidiary or division of Employer designated by Employer in Italy. Employee shall be available to travel as the reasonable needs of Employer shall require.
(c) Employer agrees not to take any action to denigrate or lessen the status, authority, responsibilities or perquisites of Employee hereunder. Employee shall be entitled during the "Term" (as defined in Section 6 below), to an office, secretary, and all senior executive privileges commensurate with his title and position and he shall generally be treated in the same fashion as all other senior executives of Employer.
Duties and Responsibilities of Employee. During the Employment Period, Employee shall devote his services full-time to the business of the Company and perform the duties and responsibilities assigned to him under the Company’s certificate of incorporation or bylaws, or as assigned by the Chairman of the Board, the Board, or the Compensation Committee, to the best of his ability and with reasonable diligence. In determining Employee’s duties and responsibilities, Employee shall not be assigned duties and responsibilities that are inappropriate for his position. This Section 3 shall not be construed as preventing Employee from (a) engaging in reasonable volunteer services for charitable, educational or civic organizations, or (b) investing his assets in such a manner that will not require a material amount of his time or services in the operations of the businesses in which such investments are made; provided, however, no such other activity shall conflict with Employee’s loyalties and duties to the Company. Employee shall at all times use his best efforts to in good faith comply with United States laws applicable to Employee’s actions on behalf of the Company and its Affiliates (as defined in Section 6(e)). Employee understands and agrees that he may be required to travel from time to time for purposes of the Company’s business.
Duties and Responsibilities of Employee. Employee shall be based in Los Angeles, California and during the Term, the Employee shall serve as President of Company under the direction of the Chief Operating Officer of HMC (the “Supervisor”) or Supervisor’s designee, and shall diligently and faithfully perform all duties and responsibilities as may be assigned to him from time to time or delegated to Employee by or upon the authority of Company’s Board of Directors or by the Supervisor or HMC’s President or Chief Operating Officer to utilize Employee’s special, unique and extraordinary skills in conjunction with the Company’s businesses. Employee accepts such employment upon the terms and conditions contained in this Agreement. Employee shall at all times perform his duties and responsibilities under this Agreement and conduct Company’s business in compliance with all applicable laws, rules, regulations or ordinances and in compliance with any judgments, order or decrees or other legal obligations binding on Company and HMC.
Duties and Responsibilities of Employee. Employee shall be employed as Chief Operating Officer of the PS division of AVSG and as Executive Vice President of Employer, subject to the other provisions of this Section 2. In the performance of his duties, Employee shall report to Chief Executive Officer of PS or such other person as may be designated by the Chief Executive Officer of Employer. Employee shall use his best efforts to maintain and enhance the business and reputation of Employer and PS. Employee's duties and responsibilities shall be designated to Employee by the Chief Executive Officer of PS and by the Chief Executive Officer of Employer. Upon Employer's request, Employee shall also perform similar services in an identical capacity for (and, if requested, shall hold directorships with) any subsidiary or division of Employer designated by the Board. Employee shall be available to travel as the reasonable needs of Employer shall require. Employee shall be based in Employer's offices to be located in Southern California.
Duties and Responsibilities of Employee. Employee shall be employed as the Chief Executive Officer of CAVS, subject to the other provisions of this Section 2. Employee's duties shall be commensurate with those of a Chief Executive Officer of a company engaged in the business engaged in by CAVS. In the performance of his duties, Employee shall report to the Chief Executive Officer of Employer. Employee shall use his best efforts to maintain and enhance the business and reputation of CAVS. Employee's duties and responsibilities shall be designated to Employee by Employer's Chief Executive Officer and Employer's Board of Directors (the "Board"). Upon Employer's request, Employee shall also perform similar services in an identical capacity for (and, if requested, shall hold directorships with) any subsidiary or division of Employer (or a subsidiary thereof) designated by the Board. Employee shall be available to travel as the reasonable needs of Employer shall require. Employee shall initially be based in CAVS's offices located in New York, New York (or the New York City metropolitan area, which for purposes hereof shall mean within a fifty (50) mile radius of CAVS's current offices) and shall thereafter be based in Employer's offices to be located in Southern California.
Duties and Responsibilities of Employee. (1) Employer hereby employs Employee as a licensed ARNP, for the purpose of rendering on behalf of Employer professional nursing services to such members of the general public as are or hereafter shall be, accepted as patients by Employer. Such services shall include homeopathic treatment and may include other alternative modalities of health care and treatment. Employee shall maintain a valid and current State of Florida dual ARNP license. Employee’s ARNP license shall be in the field of pediatrics or family practice. Employee shall be experienced in working with pediatric patients. Employee agrees that in dealing with patients or prospective patients, she shall deal with such patients for and on behalf of Employer. Employee shall provide appropriate protocols for the state licensing board in the State of Florida. Employer shall file appropriate documentation with the state licensing board for the State of Florida indicating that (Employee) is employed by Employer and shall work under the supervision and monitoring of Employer’s principal, , M.D. Employee shall follow-up to ensure such protocols are received, on file, and current with the state licensing board and shall advise Employer if they are not or if they should be amended.
(2) During the term of this Agreement, Employee shall, under the supervision of Employer, devote her entire working time, skill and experience to advancing and rendering profitable the interests of Employer, which shall include the continuing development of her competence in the field of nursing. Employee shall work thirty-two (32) to forty (40) hours a week for fifty (50) weeks per year as required by Employer and shall be available to work one or two Saturday mornings per month as required by Employer. Employee shall take call after hours Monday through Thursday from 5:00 p.m. until 8:00 a.m. No additional compensation shall be paid to Employee for this on-call duty. If the needs of Employer change in the future and on call duty is to include weekends, Employee will take call on weekends alternating with Employer.
(3) During the term of employment and any renewal term, Employee shall devote her professional time, attention and energies to the practice of Employer. At all times, Employee shall:
(I) continue to faithfully and competently perform her duties hereunder using her full professional skill and knowledge;
