Compliance with Laws and Governmental Approvals. In connection with the performance of this Agreement, each Party agrees to comply in all material respects with all Laws, and each Party agrees that it or its agent will use commercially reasonable efforts to acquire and maintain, in a timely manner, all material Governmental Approvals required by Law or Governmental Bodies to exercise its rights or perform its obligations under this Agreement and, in the case of Producer, to use and operate the Facility on the Site.
Compliance with Laws and Governmental Approvals. (a) The Verizon Parties and the Verizon Lessors are operating each Site and the related Tower and Improvements on such Site in accordance with all applicable Laws and Governmental Approvals, except where the failure to so operate, individually or in the aggregate, would not reasonably be expected to have a Material Adverse Effect. None of the Verizon Parties or the Verizon Lessors have received any notification that any Site lacks any necessary Governmental Approvals, except where the failure to have such Governmental Approvals would not, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect.
Compliance with Laws and Governmental Approvals. The Lessee shall comply with all Applicable Laws (including Environmental Laws) and Governmental Approvals, except where noncompliance could not reasonably be expected to result in one or more Claims against or being incurred by the Lessee in excess of $1,500,000, taking into account any Claims arising under Sections 5.2, 5.9 and 5.28 hereunder.

The T-Mobile Parties have not received any notification that any Site lacks any necessary Governmental Approvals or is not in compliance with any applicable Laws (excluding any Environmental Laws) affecting such Site, except where the failure to have such Governmental Approvals or to be in such compliance, individually or in the aggregate, has not resulted and would not reasonably be expected to result in a Tower Liability.

The T-Mobile Parties have not received any notification that any Site lacks any necessary Governmental Approvals or is not in compliance with any applicable Laws (excluding any Environmental Laws) affecting such Site, except where the failure to have such Governmental Approvals or to be in such compliance, individually or in the aggregate, has not resulted and would not reasonably be expected to result in a Tower Liability. 58 (b) None of the T-Mobile Contributors or any Affiliates thereof has received written notice of any Legal Action from any Governmental Authority or other Person as to the condition, operation or use of any Site that, individually or in the aggregate, has resulted or would reasonably be expected to result in a Tower Liability. Compliance with Laws and Governmental Approvals. (a) SM is operating each Sale Site and the related Tower and Improvements on such Sale Site in material compliance with all applicable Laws and Governmental Approvals.

The Company shall comply in all material respects with, and ensure that the Facility is constructed, maintained and operated in compliance in all material respects with, all Applicable Laws (including Environmental Laws) and Governmental Approvals. Without limitation to the foregoing, the Company shall promptly perform all required investigations, removals or remediations of all Environmental Conditions at or relating to the Site or the Facility.
Compliance with Laws and Governmental Approvals. (a) Except as set forth in Section 5.10(a) of the Cumulus Disclosure Letter, to the Knowledge of the Cumulus Parties, the Cumulus Parties or their Affiliates are operating each Portfolio Site and the related Tower and Equipment on such Portfolio Site in all material respects in accordance with all applicable Laws (excluding any Environmental Laws). No Portfolio Site lacks any material and necessary Governmental Approvals or is not in compliance in any material respects with any applicable Laws (excluding any Environmental Laws) affecting such Portfolio Site. All material and necessary Governmental Approvals are in full force and effect and no condition exists that, with notice or lapse of time or both, would constitute a default, under any material and necessary Governmental Approvals in any material respect.
