Compression Fee. As defined in Section 5.1(a)(iii).
Compression Fee. For all of Shipper’s Gas received by Gatherer at the Receipt Points that receives compression prior to delivery to a Delivery Point, Shipper will pay Gatherer the applicable compression fee set forth in Exhibit 1.43 (the “Compression Fee”). Compression Fees will be based on a cost per stage (in half-stage increments) per MMBtu. If compression services are not provided on a System, no Compression Fee will be incurred. The Compression Fee per Stage will escalate effective January 1 of each year in proportion to the average percentage change (the “Inflation Factor”) for the twelve (12) Month period ending June 30 of the preceding calendar year, using the column titled “Annual Average”, or its equivalent, in the Consumer Price Index - All Urban Consumers as published by the United States Department of Labor Bureau of Labor Statistics (“CPI Index”). In no event will the adjustment result in a decrease of the Compression Fee. In the event the CPI Index ceases to be published without a designated replacement index, the Anchor Shippers (by Shipper Supermajority Approval) and Gatherer will mutually agree to an alternative price index reasonably similar to the CPI Index.
4.5.1 For Systems with expected pressures at Delivery Points greater than or equal to 900 Psig and less than or equal to 1300 Psig, the stages assumed for each System will be based on the following Design Suction Pressures (“Deemed Compression Stages”):
4.5.2 For Systems with a Design Suction Pressure or an expected Delivery Point pressure that falls outside of Section 4.5.1, the Deemed Compression Stages assumed for each System will be discussed and mutually agreed to by Shipper and Gatherer, but shall generally be based on the expected Compression Ratio for the service provided as follows: CR >= 40.0 4.0 27.0 <= CR < 40.0 3.5 15.0 <= CR < 27.0 3.0 9.0 <= CR < 15.0 2.5 5.0 <= CR < 9.0 2.0 3.3 <= CR < 5.0 1.5
Compression Fee. For all of Shipper’s Gas received by Gatherer at the Receipt Points that receives compression prior to delivery to a Delivery Point, Shipper will pay Gatherer the applicable compression fee set forth in Exhibit 1.32 (the “Compression Fee”). Compression Fees will be based on a cost per stage (in half-stage increments) per MMBtu. If compression services are not provided on a System, no Compression Fee will be incurred. The Compression Fee per Stage will escalate effective January 1 of each year in proportion to the Inflation Factor for the twelve (12) month period ending June 30 of the preceding calendar year. In no event will a change in the Inflation Factor result in a decrease of the Compression Fee.
4.2.1 For Systems with expected pressures at Delivery Points greater than or equal to 900 Psig and less than or equal to 1300 Psig, the stages assumed for each System will be based on the following Design Suction Pressures (“Deemed Compression Stages”):
4.2.2 For Systems with a Design Suction Pressure or an expected Delivery Point pressure that falls outside of Section 4.2.1, the Deemed Compression Stages assumed for each System will be discussed and mutually agreed to by Shipper and Gatherer, but shall generally be based on the expected Compression Ratio for the service provided as follows:
Compression Fee. As defined on Exhibit K. Condensate. Gas that condenses in the Facilities at ambient temperatures and is recovered from the Facilities as a hydrocarbon liquid.
Compression Fee. In addition to the Gathering Fee, each month during the Term, Shipper shall pay to Gatherer an amount (the “Compression Fee”) equal to the product obtained by multiplying (a) all volumes of Dedicated Gas, in MMBtu, delivered by Shipper to Gatherer at the Receipt Points of the Low Pressure Pipelines during the relevant month, less all volumes of Dedicated Gas delivered to the Reinjection Points during such month, by (b) the number of stages of compression at the compression facilities on the Low Pressure Pipelines, by (c) the Compression Rate. For purposes of this Agreement, Gatherer’s compression facilities connected to the Low Pressure Pipelines shall be deemed to provide three (3) stages of compression. If, during the Term, compression other than in connection with the Low Pressure Pipeline is provided on Gatherer’s Systems through facilities in operation as of the Effective Date, the Compression Fee payable with respect to such other compression shall be equal to the product obtained by multiplying (x) the volume of Dedicated Gas, in MMBtu, measured at the inlet flange of such other compression facilities, by (y) the number of stages of compression at such other facilities, by (z) the Compression Rate.
Compression Fee. Shipper shall pay [***] ($[***]) per MMBtu for compression fee for all gas delivered to the CDPs into the AGS Gathering System (“AGS Compression Fee”) and Shipper shall pay [***] ($[***]) per MMBtu for compression fee for all gas delivered to the CDPS into the Denex Gathering System (“Denex Compression Fee”). No Denex Compression Fee shall be assessed to a CDP when Gatherer has that specific CDP on bypass of compression as permitted by Section 2.2(d) of this Agreement.
Compression Fee. Notwithstanding the fact that RDD will be performing pad-level dehydration as set forth herein, during the Service Period and subject to the other provisions of the GGA, RDD shall be assessed the Compression Fee for all quantities of Gas received from RDD or for RDD’s account at the Walking Tall Receipt Point that are compressed at a System Compressor Station.
Compression Fee. Gatherer may charge Shipper a fee (the "Compression Fee") for activities including, but not limited to, the following: Shipper (a) delivers Gas at any Receipt Point(s) into one of Gatherer's pipelines whereon compression facilities are installed; or (b) the natural well pressure available from one or more of Shipper's xxxxx is insufficient to produce and deliver Gas in economic quantities into Gatherer's high pressure Gathering System without compression, and Gatherer reduces the pressure of its Gathering System at the affected Receipt Point(s); or (c) Gatherer or its designee compresses the Gas downstream of such point(s). Shipper shall pay Gatherer the Compression Fee set forth in each Individual Transaction Confirmation. In addition, Shipper agrees to furnish its prorata share of Fuel (or the percentage set forth on the Individual Transaction Confirmation) for the compression services provided by Gatherer at no cost to Gatherer.
Compression Fee. Where Gatherer installs compression pursuant to Section VII of Exhibit A, Delivery Pressure, between the Receipt Point(s) and the Delivery Point(s) to cause Gas to be delivered to downstream pipelines at the Delivery Point(s), then:
a) if the Gas delivered hereunder in any Month moves through such compression, a fee of seven cents ($0.07) per Mcf per theoretical stage of compression, shall be assessed on all Gas (in Mcfs) received hereunder at the applicable Receipt Point during each month. In addition, Shipper will bear its prorata share of actual fuel, and will reimburse Gatherer its prorata share of all electrical charges, associated with the operation of such compression. For purposes of this Agreement, the theoretical stages of compression shall be determined as follows: Each Month, Gatherer shall determine the average suction pressure and the average discharge pressure of each compressor station during its period of operation. Such average discharge pressure in pounds per square inch gauge (psig) shall be divided by the average suction pressure in psig, and then be divided by three and one-half (3.5) compression ratios, with the resulting number being the number of theoretical stages of compression for such compressor station for which Shipper shall be charged. For example, if in a Month, the average suction pressure and the average discharge pressure of a compressor station during its period of operation are 300 psig and 1,050 psig, respectively, then the number of theoretical stages of compression for such compressor station would be 1.0 (i.e. 1,050 ÷ 000, ÷ 3.5) and the fee for such compression for such Month would be $0.08 per Mcf.
b) In addition to the fees set forth in Section 2(a) of this Exhibit C, Shipper will bear its prorata share of actual fuel consumed in such compression and will reimburse Gatherer its prorata share of all electrical charges, associated with the operation of such compression.
