COMPUSERVE. The standard, narrow-band U.S. version of the CompuServe brand service, specifically excluding (a) any international versions of such service, (b) any web-based service including "compxxxxxx.xxx", "cserxx.xxx" xxd "cs.cxx", xr any similar product or service offered by or through the U.S. version of the CompuServe brand service, (c) Content areas owned, maintained or controlled by CompuServe affiliates or any similar "sub-service," (d) any programming or Content area offered by or through the U.S. version of the CompuServe brand service over which CompuServe does not exercise complete or substantially complete operational control (e.g., third-party Content areas), (e) Netscape Netcenter(TM) and any other Netscape products or services, (f) any yellow pages, white pages, classifieds or other search, directory or review services or Content and (g) any co-branded or private label branded version of the U.S. version of the CompuServe brand service, (h) any version of the U.S. version of the CompuServe brand service which offers Content, distribution, services and/or functionality materially different from the Content, distribution, services and/or functionality associated with the standard, narrow-band U.S. version of the CompuServe brand service, including, without limitation, any version of such service distributed through any platform or device other than a desktop personal computer and (i) any property, feature, product or service which CompuServe or its affiliates may acquire subsequent to the Effective Date.

COMPUSERVE. CompuServe’s primary Internet-based interactive site marketed under the “CxxxxXxxxx.xxx™” brand, specifically excluding (a) the CompuServe Service and AOL Service, (b) any international versions of such site and/or any non-English language based feature or area of such site, (c) AXX.xxx, Netscape Netcenter, any other AOL or Netscape products or services or interactive sites, (d) “ICQ™,” “AOL Search,” “You’ve Got Pictures,” “Shop @,” “My News,” “AOL PIusSM,” “AOL Instant Messenger™,” “NetMail™” or any similar independent product or service offered by or through such site or any other AOL or CompuServe interactive site, (e) any programming or Content area offered by or through such site over which AOL does not exercise complete operational control (including, without limitation, Content areas controlled by other parties and member-created Content areas), (f) any programming or Content area offered by or through the U.S. versions of the America Online® brand service or CompuServe brand service which was operated, maintained or controlled by the former AOL Studios division, (g) any yellow pages, white pages, classifieds or other search, directory or review services or Content offered by or through such site or any other AOL or CompuServe interactive site, (h) any property, feature, product or service which AOL or its affiliates may acquire subsequent to the Effective Date and (i) any other version of an AOL or CompuServe interactive site which is materially different from CompuServe’s primary Internet-based interactive site marketed under the “CxxxxXxxxx.xxx™” brand, by virtue of its branding, distribution, functionality, Content or services, including, without limitation, any co-branded versions and any version distributed through any broadband distribution platform or through any platform or device other than a desktop personal computer.

COMPUSERVE. After the Amendment Date, so long as ICP is in compliance with this Agreement, the Weddings Department of the CompuServe Service (the "Wedding Department") shall be the primary comprehensive programming area on the CompuServe Service that is dedicated to covering the entire spectrum of topics directly related to [****]; provided, however, that this sentence shall not be construed to limit or otherwise affect AOL's editorial discretion within the Weddings Department (e.g. to influence the overall programming plan of, limit the Content that AOL may program into, or to require AOL to include certain Content within, the Weddings Department) and (ii) ICP shall have the premier programming rights on the Weddings Department main screen described in Exhibit A-1.

COMPUSERVE. ICP shall create a version of the ICP Internet Site customized for distribution through the CompuServe Service (the "ICP-CS Site") by (x) displaying framing (including headers, footers and left side navigation/menu bars) on each page of the ICP-CS Site of size and type determined by AOL and which contain, as and to the extent determined by AOL, CompuServe and ICP branding, links to the CompuServe Service, a search box and promotional spaces to be programmed/served by AOL (provided AOL agrees knot to promote ICP Competitors in such spaces), (y) programming each page of the ICP-CS Site with a co-branded domain name (i.e., thekxxx.xxxxxxxxxx.xxx) xxd (z) matching the look and feel of the CompuServe Service on the ICP-CS Site. All terms and conditions of this Agreement applicable to the ICP Internet Site shall apply to the ICP-CS Site except as expressly otherwise stated. In the case of a service described in clause (h), the mere delivery method technology, in and of itself, will in no way cause such site or service to be excluded from the definition of the applicable site or service such that, delivery of the site or service to a personal computer via cable modem, high speed telephone connection (e.g. DSL or ISDN) or satellite does not, alone thereby cause such site or service to be excluded from the definition of the applicable site or service. Notwithstanding anything to the contrary in the foregoing, AOL's integrated xxxx payment product shall be deemed to be part of CompuServe.

  • Internet Services Transfer Agent shall make available to Fund and Shareholders, through its web sites, including but not limited to xxx.xxxxxxxxxxxxx.xxx (collectively, “Web Site”), online access to certain Account and Shareholder information and certain transaction capabilities (“Internet Services”), subject to Transfer Agent’s security procedures and the terms and conditions set forth herein and on the Web Site. Transfer Agent provides Internet Services “as is,” on an “as available” basis, and hereby specifically disclaims any and all representations or warranties, express or implied, regarding such Internet Services, including any implied warranty of merchantability or fitness for a particular purpose and implied warranties arising from course of dealing or course of performance. Transfer Agent shall at all times use reasonable care in performing Internet Services under this Agreement.

  • Call Center Services Answer telephone inquiries during mutually agreed upon hours each day on which the Fund is open for trading. In the event that the Fund plans to be open on a business day when the New York Stock Exchange is to be closed, the Fund shall provide the Transfer Agent with reasonable advance notice and the parties shall discuss the call center resources available for such day. The Transfer Agent shall answer and respond to inquiries from existing Shareholders, prospective Shareholders of the Fund and broker-dealers on behalf of such Shareholders in accordance with the instructions provided by the Fund to the Transfer Agent for purpose of fulfilling its duties under this Agreement, including, accepting transaction requests on behalf of the Fund.

  • Customer Services Provide services and systems dedicated to customer service, including billing, remittance, credit, collections, customer relations, call centers, energy conservation support and metering.

  • CUSTOMER SERVICE FUNCTIONS The Servicer shall handle all Customer inquiries and other Customer service matters according to the same procedures it uses to service Customers with respect to its own charges.

  • Legal Services Legal services and expenses in connection with the affairs of the Trust, including registering and qualifying its shares with regulatory authorities;

  • Customer Service As between Fig and Developer, Developer shall be solely responsible for providing and maintaining customer service and technical support in the Territory to Distributors and end users with respect to the Licensed Game (including, for the avoidance of doubt, any Distributors and end-users of Fig pursuant to Fig Sales (as defined below)). Such customer service and technical support shall be of a quality that is comparable to such customer service and technical support as Developer provides for its other “top-tier” titles. For the purposes of this Section, “customer service” means the resolution of issues pertaining to the Licensed Game in the following general categories: payment processing, order inquiries, replacements and refunds, and technical support.

  • Information Services The Custodian may rely upon information received from issuers of Securities or agents of such issuers, information received from Subcustodians or depositories, information from data reporting services that provide detail on corporate actions and other securities information, and other commercially reasonable industry sources; and, provided the Custodian has acted in accordance with the standard of care set forth in Section 6 (a), the Custodian shall have no liability as a result of relying upon such information sources, including but not limited to errors in any such information.

  • SPECIAL SERVICES Should the Trust have occasion to request the Adviser to perform services not herein contemplated or to request the Adviser to arrange for the services of others, the Adviser will act for the Trust on behalf of the Fund upon request to the best of its ability, with compensation for the Adviser's services to be agreed upon with respect to each such occasion as it arises.

  • Company and Master Servicer Not to Resign Subject to the provisions of Section 6.02, neither the Company nor the Master Servicer shall resign from its respective obligations and duties hereby imposed on it except upon determination that its duties hereunder are no longer permissible under applicable law. Any such determination permitting the resignation of the Company or the Master Servicer shall be evidenced by an Opinion of Counsel to such effect delivered to the Trustee. No such resignation by the Master Servicer shall become effective until the Trustee or a successor servicer shall have assumed the Master Servicer's responsibilities and obligations in accordance with Section 7.02.
