Confirmation of No Claims. I confirm that upon receipt of the payments and entitlements listed in the attached List of Final Payments, I will have received all that I am entitled to for my work with My Employer and in connection with the termination of such employment (including but not limited to wages, overtime pay, annual leave and vacation pay, recuperation pay, remuneration of work on weekly rest, bonuses, royalties, intellectual property rights, options, stocks, pension, notice pay, severance pay, and other compensation in connection with my employment and the termination of that employment) and that upon such receipt, I will have no claim or demand for any payment, benefit or rights of any kind in connection with my employment and the termination of that employment. I agree that, subject to such receipt and compliance by My Employer with the terms hereof, I will not commence any complaint, claim, or proceeding under any applicable law or agreement with respect to any aspect of my employment with My Employer or the cessation of that employment or alleging breach of any of the provisions of any employment agreement or law, except as otherwise provided herein.

Confirmation of No Claims. (i) The Sellers confirm that with effect from the relevant Closing each of the Sellers and each of the Group Companies which are the subject of that Closing shall have no claim (whether in respect of any breach of contract, compensation for loss of office or monies due to it or on any account whatsoever) outstanding against any of those directors of the Group Companies who are to resign with effect from Closing.
Confirmation of No Claims. To the fullest extent permitted by law, I represent and affirm that (i) I have not initiated, filed or caused to be initiated or filed on my behalf any claim for relief against the Company and, to the best of my knowledge and belief, no outstanding claims for relief have been initiated, filed or asserted against the Company or any Released Party on my behalf regarding any conduct or activities that I believe would be improper, unethical or illegal under any applicable law; (ii) I have no knowledge of any conduct or activities that I believe would be improper, unethical or illegal under any applicable law, including but not limited to any violation of any state, city and/or municipal statute or ordinance; (iii) that I have no known and unresolved occupational illness or injury; (iv) that I have been paid all wages owed to me up through my Retirement Date (including any commission, bonus, or incentive pay); (v) that I have no unreimbursed business expenses; and (vi) I have not reported any such improper, unethical or illegal conduct or activities to any supervisor, agent or other representative of the Company. The Sellers and the Buyer shall jointly control and participate in all proceedings taken in connection with any Tax Claim relating to Taxes of the Company for a Straddle Period. Neither the Sellers nor the Buyer shall settle any such Tax Claim without the prior written consent of the other. The Buyer shall control all proceedings with respect to any Tax Claim relating to a taxable period beginning after December 31, 1998. None of the Sellers shall have any right to participate in the conduct of any such proceeding. The Buyer shall, and shall cause the Company and each of its affiliates, on the one hand, to, and each Seller and its affiliates, on the other hand, shall, reasonably cooperate in contesting any Tax Claim, which cooperation shall include the retention and, upon request, the provision to the requesting person of records and information which are reasonably relevant to such Tax Claim, and making employees available on a mutually convenient basis to provide additional information or explanation of any material provided hereunder or to testify at proceedings relating to such Tax Claim.

  • Confirmation of Representations Borrower shall deliver, in connection with any Securitization, (a) one or more Officer’s Certificates certifying as to the accuracy of all representations made by Borrower in the Loan Documents as of the date of the closing of such Securitization in all relevant jurisdictions, and (b) certificates of the relevant Governmental Authorities in all relevant jurisdictions indicating the good standing and qualification of Mortgage Borrower, Senior Mezzanine Borrower, Borrower and Holdings as of the date of the Securitization.
