Conflicts in Terms. In the event of any conflict in terms between this Amendment and the Note, the terms and conditions of this Amendment shall prevail.

Conflicts in Terms. In case of any conflict between the terms of any Application with respect to a Letter of Credit and the terms hereof, the terms of this Agreement shall control, except to the extent the Application states that certain specified provisions thereof control, in which case those specified provisions of the Application in question shall control.
Conflicts in Terms. In the event there is a conflict between the terms of this Agreement, any Work Order issued and accepted hereunder, and the other Contract Documents applicable to Work Order, the terms of the Work Order shall control over this Agreement and the other Contract Documents and the terms of this Agreement shall control over the other Contract Documents.

All agreements between METROLOGIC and SYMBOL for the sale of Elected New METROLOGIC Products by METROLOGIC to SYMBOL pursuant to purchase orders issued pursuant to this Agreement shall be governed exclusively by this Purchasing Provision of Article 11, Part II and the Terms and Conditions of Sale set forth in Exhibit C. In case of any conflict between such provision and any releases, purchase orders, acceptances, acknowledgments, correspondence, memoranda or other documents for or relating to the METROLOGIC Product purchased by SYMBOL from METROLOGIC during the term of this Part II which are not executed by a duly authorized representative of both of the parties, the Order of Precedence set forth in Exhibit C shall govern and prevail.

All agreements between METROLOGIC and SYMBOL for the sale of Special Products by METROLOGIC to SYMBOL pursuant to purchase orders issued pursuant to this Agreement shall be governed exclusively by this Part III Purchasing Provision, and the Terms and Conditions of Sale set forth in Exhibit C and engineering fee and production pricing schedule negotiated and mutually agreed by the Parties. In case of any conflict between such provision and any releases, purchase orders, acceptances, acknowledgments, correspondence, memoranda or other documents for or relating to the METROLOGIC Product purchased by SYMBOL from METROLOGIC during the term of this Part III which are not executed by a duly authorized representative of both of the parties, the Order of Precedence set forth in Exhibit C shall govern and prevail.
Conflicts in Terms. In the event of any conflict between the terms of the November 2006 Placement Agent Agreement and the terms of this Agreement, the terms of this Agreement shall control and take precedence.
Conflicts in Terms. The State has previously approved the Project as set forth in Attachment B and Attachment C. Any conflicts in terms between the terms set forth in this Grant Agreement and Attachments A, B and C, shall be resolved first in favor of any controlling law or regulation, and then second in favor of this Agreement, and third in favor of the Attachment A terms and conditions, followed by Attachment B and Attachment C.
