CONTACTING OTHER PARTIES. 16.1 We may disclose to any company in the Bank of Ireland Group or to your bank, auditors, accountants and other professional advisers any information about you which they may ask for. 16.2 We may obtain from any company in the Bank of Ireland Group or from your bank, auditors, accountants and other professional advisers any information they may hold about you. 16.3 We may disclose this Agreement and any information which we have obtained in carrying out this Agreement: 16.3.1 to any actual or potential assignee, transferee or sub-participant; 16.3.2 to any agency, security trustee, agent and/or arranger in connection with any financing of any such assignee, transferee or sub-participant; 16.3.3 in any listing particulars, prospectus or offering circular; 16.3.4 to our professional advisers and/or agents or to any person engaged by us for the purposes of collection of Debts outside Ireland; or 16.3.5 as may be required by law. 16.4 You must keep any information about us or the operation of this Agreement or the Computerised Services confidential and not disclose such information to any other party, except as required by law. However this will not apply to any information which comes into the public domain other than through a breach by you of this condition.

CONTACTING OTHER PARTIES. (a) At any time, where relevant, the Purchaser may notify the Account Banks of the Receivables Purchase Agreements and the Parent will provide such assistance as is reasonably required by the Purchaser in making any such notifications. (b) The Purchaser may, according to the mandatory provisions of article L.511-33 of the French Monetary and Financial Code, disclose the Facility Documents, any information which it has obtained from an Obligor or any information which it has generated from such information to: (i) its Subsidiaries and Affiliates from time to time on a need to know basis only (based on reporting and regulatory requirements); and (ii) any potential assignee, transferee or sub-participant or party with whom it is intended to assign or transfer any right or obligation under the Facility Documents and, in the context of any securitisation transaction, to any person managing or supervising any relevant Securitisation Vehicle, any investor, any person, directly or indirectly, taking credit risk or otherwise providing funding to such Securitisation Vehicle and any rating agency.
CONTACTING OTHER PARTIES. 7.1 We, or any representative or agent of ours, may: 7.1.1 provide your bank, auditors, accountants and other professional advisers with such information about your accounts with us or the running of the Business Finance Agreement, as they may ask; and 7.1.2 obtain from your bank, auditors, accountants and other professional advisers such information as we may need. 7.2 You will authorise and direct the persons referred to in clause 7.1 above to give us such information. 7.3 We may disclose the Business Finance Agreement, any information which we have obtained from you or any information which we have generated ourselves from such information: 7.3.1 to any actual or potential assignee, transferee or sub- participant or party with whom we intend to novate any Financing Document; 7.3.2 to any agency, security trustee, agent and/or arranger in connection with any financing by any such assignee, transferee or sub-participant; 7.3.3 in any listing particulars, prospectus or offering circular; and 7.3.4 to any other member of the group of companies comprising General Electric Company and its Subsidiaries and affiliates from time to time. 8.1 You will maintain the confidentiality of our Confidential Information and you will not use, disclose, copy, modify or destroy our Confidential Information (or permit others so to do) without our prior written consent. 8.2 You will notify us of any unauthorised use, misuse, disclosure, theft or other loss of our Confidential Information immediately upon becoming aware of same. 8.3 The existence and terms of the Business Finance Agreement are confidential and may not be disclosed by you without our prior written consent. 8.4 You must treat any information we give you as legally privileged and you will indemnify us against all claims, losses and costs arising from breach of your duty of confidentiality. We are not a credit reference agency. 8.5 The obligations under clauses 8.1 to 8.4 above shall survive the variation, expiry or termination of the Business Finance Agreement.

  • Parties’ Representatives Both Parties shall ensure that throughout the term of this Agreement, a duly appointed Representative is available for communications between the Parties. The Representatives shall have full authority to deal with all day-to-day matters arising under this Agreement. If a Party’s Representative becomes unavailable, the Party shall promptly appoint another Representative. Acts and omissions of Representatives shall be deemed to be acts and omissions of the Party. Owner and CAISO shall be entitled to assume that the Representative of the other Party is at all times acting within the limits of the authority given by the Representative’s Party. Owner’s Representatives and CAISO’s Representatives shall be identified on Schedule J.

Part B: Development and Promotion of Use of Treated Wastewater in Agriculture 1. Carrying out of: (a) a feasibility study aimed at assessing, costing and testing the options to maximize benefits to be derived from the use of treated wastewater produced from the Greater Tunis area and transferred to rural areas; and (b) an assessment of degraded lands susceptible to being improved through the use of treated wastewater for agricultural purposes, and for adapting and mitigating the impact of climate change. 2. Development of pilot schemes to demonstrate the value and benefits to be derived from the use of treated wastewater to preserve and intensify agricultural production systems on degraded lands. Part C: Institutional Strengthening and Sensitization to Environmental Issues and IPA Methodology 1. Strengthening the capacity of institutions involved in implementation of the Project at the national, regional and local levels including RCADs and ADGs through the provision of logistical support, technical advisory services and adequate training programs. 2. Strengthening the CCU’s capacity to manage the Project efficiently including ensuring adequate monitoring and evaluation, and compliance with all safeguard measures related to implementation of the environment and social protection framework. 3. Development and execution of a communication and sensitization action plan aimed at raising awareness on environmental themes and IPA methodology.

  • Information and Services Required of the Owner The Owner shall provide information with reasonable promptness, regarding requirements for and limitations on the Project, including a written program which shall set forth the Owner’s objectives, constraints, and criteria, including schedule, space requirements and relationships, flexibility and expandability, special equipment, systems, sustainability and site requirements.

  • Action by Written Consent or Telephone Conference Any action permitted or required by the Act, the Certificate or this Agreement to be taken at a meeting of the Members may be taken without a meeting if a consent in writing, setting forth the action to be taken, is signed by the Majority Members. Such consent shall have the same force and effect as a unanimous vote at a meeting and may be stated as such in any document or instrument filed with the Secretary of State of Delaware, and the execution of such consent shall constitute attendance or presence in person at a meeting of the Members. Subject to the requirements of the Act, the Certificate or this Agreement for notice of meetings, unless otherwise restricted by the Certificate, the Members may participate in and hold a meeting by means of a telephone conference or similar communications equipment by means of which all persons participating in the meeting can hear each other, and participation in such meeting shall constitute attendance and presence in person at such meeting.
