Copies and Inspection of Records. Merck shall have the right, during normal business hours and upon reasonable notice, to inspect and copy all such records of Company referred to in Section 2.8.1. Merck shall maintain such records and the information disclosed therein in confidence in accordance with Section 4.1. Merck shall have the right to arrange for its employee(s) and/or consultant(s) involved in the activities contemplated hereunder to visit the offices and laboratories of Company and any of its Third Party contractors as permitted under Section 2.2 during normal business hours and upon reasonable notice, and to discuss the Research Program work and its results in detail with the technical personnel and consultant(s) of Company. Upon request, Company shall provide copies of the records described in Section 2.8.1.
Copies and Inspection of Records. Pfizer shall have the right, during normal business hours and upon reasonable notice, to inspect and copy all such records of Arvinas referred to in Section 2.6.1 as reasonably appropriate in the performance of this Agreement or the exercise of any rights granted hereunder. Pfizer shall maintain such inspected records and the information disclosed therein in confidence in accordance with Article 4. Pfizer shall have the right to arrange for its employee(s) or consultant(s) involved in the activities contemplated hereunder to visit the offices and laboratories of Arvinas and any of its Third Party contractors as permitted under Section 2.2 during normal business hours and upon reasonable notice, at mutually agreeable times to discuss the Research Program work and its results in detail with the technical personnel and consultant(s) of Arvinas. Upon reasonable request, Arvinas shall provide copies of the records described in Section 2.6.1
Copies and Inspection of Records. Athersys shall have the right, during normal business hours and upon reasonable notice, to inspect the Records for purposes consistent with this Agreement. Athersys shall maintain all Information learned from such inspection of the Records in confidence in accordance with Article 7. All inspections, copying and visits hereunder shall be conducted in a manner and frequency so as not to disrupt BMS’s business and in a manner so as not to cause any disclosure of any other BMS Confidential Information.

To the extent such records contain Confidential Information of Ablynx, Merck shall maintain such Confidential Information disclosed therein in confidence in accordance with Section 4.1 and 4.2. Merck shall have the right to arrange for its employees and/or consultants involved in the activities contemplated hereunder to visit the offices and laboratories of Ablynx (and any of its Affiliates) and any of its Third Party contractors (as permitted under Section 2.3) during normal business hours and upon reasonable notice, and to discuss the Research Program work and its results in detail with the technical personnel and consultants of Ablynx, provided that, after expiry of the period of […***…] after the date that the Research Program Term for the applicable Research Program ends, Merck shall not be allowed to do so more than […***…]. Upon written request by Merck, Ablynx shall provide to Merck copies of the records described in Section 2.8.1 above, provided that, after expiry of the period of […***…] after the date that the Research Program Term for the applicable Research Program ends, Ablynx shall not be obligated to do so more than […***…].

1. Each Party shall maintain such records and the information disclosed therein in confidence in accordance with Section 4.1. Each Party shall have the right to arrange for its employees and/or consultants involved in the activities contemplated hereunder to visit the offices and laboratories of the other Party during normal business hours and upon reasonable notice, and to discuss the Research Program work and its results in detail with the technical personnel and consultants of the other Party. Upon request, each Party shall provide copies of the records described in subsection 2.6.1 to the other Party.

During the period that such records are required to be maintained pursuant to Section 3.2.1, each Party shall have the right, during normal business hours and upon reasonable notice, to inspect and copy all such records referred to in Section 3.2.1, solely for purposes of exercising its rights or fulfilling its obligations under this Agreement. At the other Party’s reasonable request, each Party shall provide to the other Party: (a) copies of the records described in Section 3.2.1, at the other Party’s expense and (b) reports of the activities conducted by or under authority of such Party in the conduct of the Workplan, including the results thereof. Celgene shall have the right to arrange with Zymeworks for its employee(s) involved in the activities contemplated hereunder to visit the offices and laboratories of Zymeworks during normal business hours and upon reasonable notice, and to discuss the Research Program work and its results in detail with the technical personnel; provided that any such visit shall occur no more frequently than once per Calendar Quarter andeach Party shall bear its own expenses related to such visits.

Each Party shall have the right, during normal business hours and upon reasonable notice, to inspect and copy all records of the other Party referred to in Section 3.13.1. The reviewing Party shall maintain such records and the information disclosed therein in confidence in accordance with Section 11.1. Upon request, the non-reviewing Party shall provide copies of the records described in this Section 3.13.2.
Copies and Inspection of Records. Once every [***], during normal business hours and upon reasonable notice not less than [***], Xxxxxxx will have the right to inspect all records of Morphic or its authorized Third Party designees that relate to the performance of Research Activities by or on behalf of Morphic. Notwithstanding anything to the contrary set forth in this Agreement, Xxxxxxx will have the right to inspect such records more than once every [***] for reasonable cause. Xxxxxxx will have the right to arrange for its employees or independent consultants and (sub)contractors involved in the performance of activities under this Agreement to (a) visit the offices and laboratories of Morphic and its Third Party contractors once every [***] during normal business hours and upon reasonable notice not less than [***] and (b) discuss with Morphic’s technical personnel and consultants the performance and progress of the Research Activities and applicable Deliverables and associated Results in detail. After preparing or receiving the report for such visit or inspection, Xxxxxxx will provide Morphic with a written summary of Xxxxxxx’x findings of any deficiencies or other areas of remediation that Xxxxxxx identifies during any such visit or inspection. Morphic will use its Commercially Reasonable Efforts to remediate any such deficiencies within [***] after Morphic’s receipt of such report, at Morphic’s cost and expense.
Copies and Inspection of Records. During the period that such records are required to be maintained pursuant to Section 3.3.1, Zymeworks shall have the right to request copies of such records referred to in Section 3.3.1, which request shall be fulfilled by GSK, where it is reasonably necessary for Zymeworks to exercise its rights or fulfil its obligations under this Agreement, or to confirm compliance by GSK with Section 3.3.1.

During the period that such records are required to be maintained pursuant to Section 3.3.1, each Party shall have the right, during normal business hours and upon reasonable notice, to inspect and copy all such records referred to in Section 3.3.1, solely for purposes of exercising its rights or fulfilling its obligations under this Agreement. Upon reasonable request, each Party shall provide copies of the records described in Section 3.3.1, at the other Party’s request and expense. Lilly shall have the right to arrange with Zymeworks for its employee(s) or consultant(s) involved in the activities contemplated hereunder to visit the offices and laboratories of Zymeworks and any of its contractors during normal business hours and upon reasonable notice, and to discuss the Research Program work and its results in detail with the technical personnel and consultant(s); provided that any such visits shall occur no more frequently than once per Calendar Quarter. Lilly shall have the right, not more than once per Calendar Year during the Research Program Term, to conduct compliance audits per applicable GLPs, GCPs and GRPs to ensure activities performed under a Research Program are being conducted in compliance with such practices as applicable and to ensure the integrity of data generated in connection therewith. Costs and expenses incurred by Zymeworks in connection with any audits conducted by Lilly pursuant to this Agreement shall be included in Expenses.
