Manager may provide, sub-contract for the provision of, or arrange for the employment (by Manager or Company) of all personnel as may be reasonably necessary for the provision of the Corporate Management Services on behalf of and at the expense of the Company, subject to the approval of the Company; provided, however, that Manager shall remain primarily responsible for the provision of such Corporate Management Services, whether provided through Manager’s employees, subcontractors or personnel employed by the Company at Manager’s direction. Notwithstanding any of the foregoing to the contrary, no executive managerial services to be provided by Xxxxxxx X. Cloobeck (or JHJM Nevada I, LLC, as applicable) or Xxxxx X. Xxxxxx (or Chautauqua Management, LLC, as applicable) may be subcontracted by Manager.

CORPORATE MANAGEMENT SERVICES. Upon the request of the appropriate officers of BSL, NWNL will provide the following Corporate Management Services functions to BSL: NWNL through its Chairman and Chief Executive Officer; President and Chief Operating Officer; Senior Vice President, General Counsel and Secretary; Senior Vice President, Financial Management; Senior Vice President, Strategic Marketing and Technology; Senior Vice President, Investments; Senior Vice President and Chief Financial Officer; or through other officers and/or the staff of NWNL, shall provide to BSL the following services:
