Court or Administrative Order. Buyer or Seller if (i) there shall be in effect a final, non-appealable order of a court or government administrative agency of competent jurisdiction prohibiting the consummation of the transactions contemplated hereby or (ii) if there shall be any Law that makes consummation of the transactions contemplated hereby illegal or otherwise prohibited; or

Notwithstanding any other provisions of this Article, Contractor may disclose any of the Confidential Information in the event, but only to the extent that, based upon reasonable advice of counsel, Contractor is required to do so by the disclosure requirements of any law, rule, or regulation, or any order, decree, subpoena, or ruling or other similar process of any court, governmental agency, or regulatory authority. Before making or permitting any such disclosure, Contractor shall provide the applicable Utility Participant with prompt Notice of any such requirement so that such Utility Participant (with Contractor’s assistance if requested by such Utility Participant) may seek a protective order or other appropriate remedy. Publicity. Except in the event Contractor is required to disclose any Confidential Information in accordance with the foregoing provisions, Contractor shall not, without the prior written consent of Company, disclose to any third party (a) the fact that such Confidential Information has been made available to Contractor, or (b) the existence of any ongoing business relationship between the Parties.
Court or Administrative Order. An Enrolled Employee shall have 30 days after the date of a court or administrative order requiring the Enrolled Employee to provide health care coverage for a Spouse or Child who meets the eligibility requirements as a Dependent to enroll the Spouse or Child in Plan. If so enrolled, coverage will be effective not later than the first day of the first calendar month beginning after the date of request for enrollment is received, unless otherwise required by the court or administrative order.
Court or Administrative Order. In the event that Dermion, IOMED or Ciba is requested or required pursuant to Applicable Law by any Governmental Authority to disclose any Confidential Information, such party shall provide the party whose Confidential Information is the subject of the request or requirement (as used in this paragraph (e), the "other party") with prompt written notice of such request or requirement so that the other party may seek a protective order or other appropriate remedy or waive compliance with the provisions of this Agreement. If, in the absence of a protective order or other remedy or the receipt of a waiver by the other party, the party being requested or required to disclose any Confidential Information is nonetheless legally compelled to disclose such Confidential Information, it may, without liability hereunder, disclose only that portion of the Confidential Information which it is legally compelled to disclose.

Notwithstanding the provisions of Article 29.2 above, Xxxxxxx.xxx and its Representatives may disclose any of the Confidential Information in the event, but only to the extent, that, based upon advice of counsel, it is required to do so by the disclosure requirements of any law, rule, or regulation or any order, decree, subpoena or ruling or other similar process of any court, governmental agency or governmental or regulatory authority. Prior to making or permitting any of its Representatives to make such disclosure, Xxxxxxx.xxx shall provide SEMPRA ENERGY with prompt written notice of any such requirement so that SEMPRA ENERGY (with Xxxxxxx.xxx's assistance) may seek a protective order or other appropriate remedy.

Nothing in this Agreement shall prevent the Receiving Party or its Affiliates to disclose Confidential Information of the Disclosing Party as and to the extent that such Confidential Information is required to be disclosed by the Receiving Party or its Affiliates to comply with a court or administrative order, Applicable Law, IFRS, GAAP, applicable regulations of a stock exchange or to defend or prosecute litigation, provided that the Receiving Party or its Affiliates furnishes prompt notice (in no event less than *** days of such disclosure to the Disclosing Party to enable it to resist such disclosure and, to the extent practicable, takes reasonable and lawful actions to minimize the degree of such disclosure. No notice shall be required under this Section 17.6 if and to the extent that the specific information contained in the proposed disclosure has previously been included in any previous disclosure made by either Party hereunder pursuant to Article 17, or is otherwise approved in advance in writing by the other Party.
