Covered Person Hold Harmless. Unless the requirement is expressly waived in the applicable Payor Contract and except for applicable cost-sharing obligations of a Covered Person applicable to Covered Services furnished to the Covered Person, Physician agrees that in no event, including but not limited to, nonpayment, the applicable Payor’s insolvency, or breach of this Agreement, shall Physician xxxx, charge, collect a deposit from, seek payment, compensation, remuneration, or reimbursement for Covered Services from, or have any recourse against, a Covered Person or any person who may be acting on a Covered Person’s behalf, other than the applicable Payor. This Section 4.2 shall not prohibit collection of supplemental charges or copayments, deductibles, co-insurance or other cost- sharing amounts that are the obligation of the Covered Person in accordance with the terms of an applicable Product Description. Physician agrees that (a) the hold harmless provision in this Section 4.2 shall survive the termination of this Agreement regardless of the cause, and shall be construed to be for the benefit of Covered Persons, and (b) the hold harmless provision in this Section 4.2 supersedes any oral or written contrary agreement now or hereafter entered into between Physician and any Covered Person or any persons acting on a Covered Person’s behalf.

Covered Person Hold Harmless. Provider agrees that in no event including, but not limited to, non-payment by XXXX, MCNA insolvency, or breach of this Agreement, shall Provider bill, charge, collect a deposit from, seek compensation, remuneration or reimbursement from, or have any recourse against Covered Person for Covered Services provided pursuant to this Agreement. This provision shall not prohibit collection of any applicable copayments or other amounts that are the Covered Person’s financial responsibility. This provision shall survive termination or expiration of this Agreement for any reason, shall be construed for the benefit of Covered Persons, and supersedes any oral or written agreement entered into between the Provider and a Covered Person.
Covered Person Hold Harmless. For each Program approved by Physician Group, unless the requirement is expressly waived in the applicable Program Description, Physician Group hereby agrees that in no event, including, but not limited to, nonpayment, the applicable Payor’s insolvency, or breach of this Agreement, shall Physician Group or any Physician Group Participating Physician xxxx, charge, collect a deposit from, seek compensation, remuneration, or reimbursement for Covered Services from, or have any recourse against, a Covered Person or any person who may be acting on a Covered Person’s behalf other than the applicable Payor. This provision shall not prohibit Physician Group’s collection of deductibles, supplemental charges, or co-payments made in accordance with the terms of the Covered Person’s benefit plan. Physician Group further agrees that (i) the hold harmless provision in this Section shall survive the termination of this Agreement regardless of the cause, if any, giving rise to the termination and shall be construed to be for the benefit of Covered Persons and that (ii) the hold harmless provision in this Section supersedes any oral or written contrary agreement now existing or hereafter entered into between Physician Group and any Covered Person, or persons acting on his/her behalf under any Program approved by Physician Group.
Covered Person Hold Harmless. Out-of-Network Provider is prohibited from seeking or obtaining funding through fees or charges to a Covered Person receiving Covered Services, except as permitted or required by DHFS in 89 Ill. Admin. Code Part 125 and DHFS's Fee-For- Service Medicaid Program copayment policy then in effect, and subject to CCH’s election to charge copayments to the Covered Person. CCH does not charge copayments to the Covered Person for Covered Services, other than pharmacy copayments. Out-of-Network Provider acknowledges that imposing charges on the Covered Person in excess of those permitted violates Social Security Act § 1128B(d) (42 U.S.C. § 1320a-7b(d)) and may subject Out-of- Network Provider to criminal penalties. The hold harmless provision survives termination of this Single Case Agreement. (MCCN Contract §§ 5.34, 5.32.12, 7.8)
Covered Person Hold Harmless. Physician hereby agrees that in no event, including, but not limited to, nonpayment by Medicare or breach of this Agreement, shall Physician xxxx, charge, collect a deposit from, seek compensation, remuneration, or reimbursement for Covered Services from, or have any recourse against, a Covered Person or any person who may be acting on a Covered Person’s behalf other than Medicare. This provision shall not prohibit Physician’s collection of deductibles, supplemental charges, or co-pay- ments made in accordance with the terms of the Covered Person’s benefit plan.
Covered Person Hold Harmless. Provider shall not seek payment from a Covered Person for any Covered Services provided to the Covered Person within the terms of the State Medicaid Contract. In accordance with 42 CFR Part 447.15, as may be amended from time to time, the Covered Person is not liable to Provider for any services for which Subcontractor Health Plan is liable and as specified under the State’s relevant health insurance or managed care statutes, rules or administrative agency guidance. Provider shall also be prohibited from charging Covered Persons for missed appointments if such practice is prohibited under the State Contractor applicable law. Neither the State, the Agency nor Covered Persons shall be in any manner liable for the debts and obligations of Subcontractor or Health Plan and under no circumstances shall Provider, or any providers used to deliver services covered under the terms of the State Contract, charge Covered Persons for Covered Services. Provider shall look solely to Subcontractor and Health Plan for compensation for services rendered, with the exception of nominal cost sharing, pursuant to the Florida State Medicaid Plan and the Florida Coverage and Limitations Handbooks and in accordance with this Contract as follows: (a) If a capitated, then to Subcontractor or Health Plan for compensation; (b) If fee-for-service, then to the Agency or its fiscal agent, unless the service is a transportation service for which Health Plan receives a capitation payment from the Agency. For such capitated transportation services, Subcontractor and Health Plan shall require providers to look solely to Subcontractor or Health Plan. This provision shall survive any termination of the Agreement, including breach of the Agreement due to insolvency.
Covered Person Hold Harmless. Neither Provider nor its Subcontractors shall, in any event, including, without limitation, insolvency of ACO or HFN or breach of this Agreement, bill, charge, collect a deposit from, seek compensation or remuneration or reimbursement from, hold responsible, or otherwise have any recourse against any Covered Person or any other person acting on behalf on any Covered Person other than for Medicare cost sharing amounts or non-Covered Services. Provider agrees that Provider shall not maintain any action at law or equity against a Covered Person to collect sums owed to Provider pursuant to this Agreement other than for Member Costs or non-Covered Services. This Section 8 shall (a) survive the termination or expiration of this Agreement regardless of the cause giving rise to such termination and shall be construed to be for the benefit of Covered Persons; and

  • Indemnification/Hold Harmless As a separate and independent covenant from CONTRACTOR’s obligations under Section 22 hereof, CONTRACTOR shall indemnify, protect, defend with counsel acceptable to the CITY, and hold CITY and CITY’s officers, employees, agents, and volunteers harmless and free from any and all claims, liabilities, or expenses, including attorney’s fees, arising out of or relating to any negligent act, negligent omission, or wrongful conduct, or any loss, damage, or injury (including, but not limited to, death or other injury that is sustained from any communicable disease), related in any way to CONTRACTOR’s performance of its services pursuant to this Agreement. In the event CITY and/or any of CITY’s officers, employees, agents, or volunteers are named in any lawsuit, or should any claim be made against it or any of them by lawsuit or otherwise arising out of or relating to such negligent act, negligent omission, wrongful conduct, or any loss, damage, or injury (including, but not limited to, death or other injury that is sustained from any communicable disease), CONTRACTOR shall indemnify them for any judgment rendered against them for such negligent act, negligent omission, wrongful act, or any loss, damage, or injury (including, but not limited to, death or other injury that is sustained from any communicable disease), any sums paid out in settlement or otherwise, and all costs incurred by them in their defense, including but not limited to attorney’s fees. XXXXXXXXXX also understands and agrees that it is being employed to perform the services provided for by this Agreement because of CONTRACTOR’s professed expertise and experience in performing such services. In addition, CONTRACTOR understands and agrees that while CITY or CITY’s officers, employees, agents, or volunteers may elect to do so, they have no duty to review, inspect, monitor, or supervise the work performed by CONTRACTOR pursuant to this Agreement except as otherwise expressly provided for by this Agreement. As a consequence, CONTRACTOR waives any right of contribution against CITY or any of CITY’s officers, employees, agents, or volunteers arising out of such failure to inspect, review, monitor, or supervise the work performed by CONTRACTOR pursuant to this Agreement. CONTRACTOR’s obligations under this Section of the Agreement shall survive the termination of the Agreement.

  • Hold Harmless Contractor shall indemnify and save harmless County, its officers, agents, employees, and servants from all claims, suits, or actions of every name, kind, and description, brought for, or on account of: (A) injuries to or death of any person, including Contractor, or (B) damage to any property of any kind whatsoever and to whomsoever belonging, (C) any sanctions, penalties, or claims of damages resulting from Contractor’s failure to comply with the requirements set forth in the Health Insurance Portability and Accountability Act of 1996 (HIPAA) and all Federal regulations promulgated thereunder, as amended, or (D) any other loss or cost, including but not limited to that caused by the concurrent active or passive negligence of County, its officers, agents, employees, or servants, resulting from the performance of any work required of Contractor or payments made pursuant to this Agreement, provided that this shall not apply to injuries or damage for which County has been found in a court of competent jurisdiction to be solely liable by reason of its own negligence or willful misconduct. The duty of Contractor to indemnify and save harmless as set forth herein, shall include the duty to defend as set forth in Section 2778 of the California Civil Code.

  • Indemnify and Hold Harmless The Trust shall be the policy holder of any insurance plan or health care coverage plan offered by and through the Trust. Contractor's obligation to indemnify shall not be restricted to insurance proceeds, if any, received by the District, its directors, officials officers, employees, agents, or volunteers. Notwithstanding the foregoing, to the extent Contractor's Services are subject to Civil Code Section 2782.8, the above indemnity shall be limited, to the extent required by Civil Code Section 2782.8, to claims that arise out of, pertain to, or relate to the negligence, recklessness, or willful misconduct of the Contractor. Contractor agrees to waive all rights of subrogation against the District. a) THE PARTIES UNDERSTAND AND AGREE THAT ARTICLE VIII, PARAGRAPH 1 OF THIS AGREEMENT SHALL BE THE SOLE INDEMNITY, AS DEFINED BY CALIFORNIA CIVIL CODE § 2772, GOVERNING THIS AGREEMENT. ANY OTHER INDEMNITY THAT MAY BE ATTACHED TO THIS AGREEMENT AS AN EXHIBIT SHALL BE VOID AND UNENFORCEABLE BETWEEN THE PARTIES. b) ANY ATTEMPT TO LIMIT THE CONTRACTOR’S LIABILITY TO THE DISTRICT IN AN ATTACHED EXHIBIT SHALL BE VOID AND UNENFORCEABLE BETWEEN THE DISTRICT AND THE CONTRACTOR.
