Customer Furnished Material. Consistent with the charges specified in the Quote and with StandardAero’s prior written approval, Customer may supply agreed parts to StandardAero if the part is: (a) furnished with an Approved Aviation Authority serviceability tag, when applicable; and (b) ready for immediate use. If Customer delay in providing parts delays StandardAero performance, StandardAero may supply the parts at Customer expense. StandardAero disclaims all liability for such parts and Customer will indemnify StandardAero from and against any and all claims, demands, losses, costs and expenses for the performance of such parts.

Customer Furnished Material. All property used by Seller in connection with this Agreement which is owned, furnished, charged to, or paid for by Buyer including, but not limited to, materials, tools, dies, jigs, molds, patterns, fixtures, equipment, drawings and other technical information, specifications, and any replacement thereof, shall be and remain the property of Buyer subject to removal and inspection by Buyer at any time without cost or expense to Buyer and Buyer shall have free access to Seller’s premises for the purpose of inspecting or removing such property. All such property shall be identified and marked as Buyer’s property, used only for this Agreement and adequately insured by Seller at its expense for buyer’s protection. Seller shall assume all liability for and maintain and repair such property and return the same to Buyer in its original condition, reasonable wear and tear accepted and when such property is no longer required hereunder, Seller shall furnish Buyer with a list thereof and shall comply with any Buyer disposition instructions applicable thereto. Buyer shall not be obligated to pay any invoices for tooling until the first article produced therefrom shall have been received and accepted.

If Customer’s delay in providing parts delays StandardAero’s performance, StandardAero may supply the parts at Customer’s expense. StandardAero disclaims all liability for such parts and Customer will indemnify StandardAero from and against any and all claims, demands, losses, costs and expenses for the performance of such parts.
Customer Furnished Material. Customer agrees to deliver to Sikorsky, at no charge, the Customer furnished material as identified in Exhibit B, Part 2 in a timely manner to support the helicopter completion schedule. Additionally, Customer agrees to provide replacement components for failures of such customer furnished materials during completions installation. Customer agrees to supply the customer furnished material to the Sikorsky Designated Facility no later than 30 days from receipt of a purchase order from Sikorsky. Any delays in providing such material shall be considered Excusable Delays pursuant to this Agreement and may result in a delay in the final delivery of a Custom Helicopter.

Customer Furnished Material. Customer-Furnished Material shall be handled in accordance with SANMINA-SCI’s procedures regarding Customer-Furnished Material, incorporated by reference herein and attached hereto as Exhibit E. If CUSTOMER makes Material available to SANMINA-SCI and responds to SANMINA-SCI’s requests for information concerning the Material in a timely fashion, SANMINA-SCI shall use its Best Efforts to purchase CUSTOMER’s Material before purchasing similar Material from third party vendors.
Customer Furnished Material. In the event I.T. provides material to Seller to be incorporated by Seller into the Goods, Seller will compensate I.T. for any such material that is lost or damaged while in possession of the Seller or during the Seller’s manufacturing process.

Customer Furnished Material. In the event that Buyer, with Newport’s prior approval, provides products, raw materials, fixtures or tools (collectively, the “Customer Furnished Material” or “CFM”) to Newport for incorporation into, or use in the manufacture of, the Products, or in conjunction with the Services, Buyer shall retain title to, and shall continue to bear all risk of loss or damage to, such CFM. CFM IS PROVIDED BY BUYER AT BUYER’S RISK. IN NO EVENT SHALL NEWPORT BE LIABLE FOR ANY LOSS OR DAMAGE TO SUCH CFM RESULTING FROM ANY CAUSE WHILE IN NEWPORT’S POSSESSION. Customer Furnished Material. Licensee shall provide the necessary workspace and all data processing hardware necessary for Licensor to complete work at Licensor’s facility. Licensor shall provide hardware specifications necessary to complete onsite work.
Customer Furnished Material. Seller shall not be liable for any loss or damage from any cause whatsoever, except for gross negligence or willful misconduct on the part of the Seller, to property owned by Buyer and furnished to Seller or to other material furnished to Seller, and the risk of loss for material furnished to or left with Seller shall remain with Buyer.
