Deliveries by the Companies. At the Closing, the Companies shall deliver or cause to be delivered to Buyer the following items: (a) The Deeds, duly executed by Real Estate Holdings or Industries, as applicable; (b) The Bxxx of Sale and Assumption Agreements, duly executed by the Companies; (c) A certificate of the Secretary of State or other applicable Governmental Authority of the state of incorporation or formation of each Company as to the good standing of such Company in such jurisdiction as of the most recent practicable date; (d) A certificate of the Secretary of each Company, certifying as of the Closing attached copies of the certificate of incorporation and by-laws or the certificate of formation and operating agreement, as applicable, of such Company, certifying and attaching all requisite resolutions or actions of such Company’s board of directors and stockholders or board of managers and sole member, as applicable, approving the execution and delivery of this Agreement and the Related Documents and the consummation of the transactions contemplated hereby and thereby, and certifying to the incumbency and signatures of the officers of such Company executing this Agreement and the Related Documents and any other document relating to the transactions contemplated hereby or thereby; (e) A certificate of an officer of each Company and of each Stockholder to the effect that the conditions set forth in Sections 7.3(a), 7.3(b), 7.3(f), 7.3(g) and 7.3(h) applicable to the Companies and the Stockholders have been satisfied; (f) The Escrow Agreement, duly executed by the Companies, the Seller Representative and the Escrow Agent; (g) The Non-Competition Agreement, duly executed by the Companies and the Stockholders; (h) The Employment Agreements, duly executed by each of the Stockholders; (i) The Legal Opinion; (j) Payoff letter and UCC-3 termination statements as reasonably required by Buyer; and (k) Non-foreign person affidavits in a form reasonably satisfactory to Buyer that comply with the requirements of Section 1445 of the Code, duly executed by the Companies.

Deliveries by the Companies. At the Closing, the Companies shall deliver, or cause to be delivered: (i) to Parent, a certificate of good standing or similar certificate for each of Holdings and Nutritionals and each of their Subsidiaries issued by the Secretary of State of the State of Delaware (or similar authority of the jurisdiction of organization of such entity, with respect to those entities not organized in Delaware) as of a date that is no earlier than five (5) Business Days prior to the Closing Date; (ii) to each of Parent and the Escrow Agent, a copy of the Escrow Agreement, duly executed by the Stakeholders’ Representative; (iii) to Parent, the certificate referred to in Section 6.1(a)(iii) hereof; (iv) to Parent, payoff letters or an acknowledgement of discharge, as applicable, reasonably acceptable in form and substance to Parent and issued by the agents, lenders and holders, as applicable, of the outstanding Debt Amount as of the Closing Date, setting forth the amounts required to repay such Debt Amount in full on the Closing Date; (v) with respect to each Stockholder and Unitholder (i) a certificate of non-foreign status as described in Treasury Regulation Section 1.1445-2(b)(2) and (ii) an Internal Revenue Service Form W-9; and (vi) Section 338 Forms as required pursuant to Section 5.12(e) of this Agreement.
Deliveries by the Companies. At the Closing, the Companies shall deliver, or cause to be delivered, to Buyer the following: (a) a certificate from an officer of Parent, given on behalf of Parent and not in such officer’s individual capacity, certifying to the effect that the conditions set forth in Sections 8.2(a), 8.2(b) and 8.2(f) have been satisfied; (b) the Working Capital Escrow Agreement, executed by the Sellers; (c) the Transition Services Agreement, executed by the Sellers and Companies; (d) the Operating Agreement, executed by Parent, the Sellers and JV LLC; (e) any assignments required to transfer the Securities to Buyer and reasonably requested by Buyer no later than five (5) Business Days prior to Closing, executed by the Sellers; and (f) evidence of the resignation or removal (as applicable) of any officer, director and/or manager of the Company Group who is not an employee of the Company Group or anticipated to be a Continuing Employee.
Deliveries by the Companies. At the Closing, Express US Holdings LP and Express Holdings (Canada) LP shall deliver, or cause to be delivered, to Buyer the certificate to be delivered pursuant to Section 8.2(c)(iii).

Deliveries by the Companies. At or before the Closing, the Companies shall deliver or cause to be delivered to Purchaser (and, solely in the case of clause (ii) below, the Escrow Agent): (i) duly executed resignations from each of the members of the boards of managers and directors of each of the Companies and each of its Subsidiaries identified by Purchaser, effective as of the Closing Date, in a mutually agreed form (the “Resignations”); (ii) a duly executed counterpart to the Escrow Agreement; and (iii) audited financial statements of the Consolidated Companies for the fiscal year ending December 31, 2014; (iv) a duly executed officer’s certificate from the Companies pursuant to Section 9.3(e); and (v) a duly executed statement issued by CP LP and signed by Cogent GP, LLC under penalties of perjury certifying that fifty percent or more of the value of the gross assets of CP LP does not consist of U.S. real property interests, or that ninety percent or more of the value of the gross assets of CP LP does not consist of U.S. real property interests plus cash or cash equivalents and complying with the requirements of temporary Treasury Regulation section 1.1445-11T(d)(2).

  • Deliveries by the Company (a) At the Closing, the Company shall deliver or cause to be delivered to Purchaser Sub: (i) a certificate, dated as of the Closing Date, executed by the Company confirming the satisfaction of the conditions specified in Section 7.2(a) and Section 7.2(b); (ii) a certification of non-foreign status reasonably acceptable to Parent, for purposes of Section 897 and 1445 of the Code; (iii) duly executed counterparts by the Company or any Affiliate of the Company to each of the Ancillary Agreements applicable to the Closing; and (iv) an Operational Duplicate IT System Certificate, executed by the Company, dated as of the Closing Date. (b) At each Subsequent Closing and at the Distribution Center Closing, as applicable, the Company shall deliver or cause to be delivered to Purchaser Sub: (i) the certificate described in Section 2.1(b)(i), dated as of each Subsequent Closing Date or Distribution Center Closing Date, as applicable, executed by the Company, each reference therein to “Closing Date” shall be deemed to be such Subsequent Closing Date or Distribution Center Closing Date, as applicable, solely with respect to the Acquired Stores or Distribution Centers (and Purchased Assets related thereto) to be transferred at such Subsequent Closing and the Distribution Center Closing (as applicable); (ii) a certificate dated as of each Subsequent Closing Date or Distribution Center Closing Date, as applicable, executed by the Company regarding the accuracy of the matters set forth in Section 7.2(b) and, solely with respect to the first Subsequent Closing, Section 7.2(d) and where, for purposes of this Section 2.3(b)(ii), each reference therein to “Closing Date” in Section 7.2(b) and, solely with respect to the first Subsequent Closing, Section 7.2(d), as applicable, shall be deemed to be such Subsequent Closing Date or Distribution Center Closing Date, as applicable, solely with respect to the Acquired Stores or Distribution Centers (and Purchased Assets therein) to be transferred at such Subsequent Closing and the Distribution Center Closing (as applicable); (iii) solely with respect to the first Subsequent Closing, the Operational Duplicate IT System Certificate, executed by the Company, dated as of the first Subsequent Closing Date; (iv) a certification of non-foreign status reasonably acceptable to Parent, for purposes of Section 897 and 1445 of the Code; and (v) duly executed counterparts by the Company or any Affiliate of the Company to each of the Ancillary Agreements applicable to such Subsequent Closing and the Distribution Center Closing.

Xxxxxx and each Seller in substantially the form attached hereto as Exhibit A (the “Purchaser-Sellers Stockholders Agreement”), duly executed by each Seller; and (h) The Non-Competition and Non-Solicitation Agreement by Mxxxxxx Xxxxxxx in favor of the Company and the Purchaser (the “Non-Competition and Non-Solicitation Agreement”) in form and substance reasonably acceptable to each of Mxxxxxx Xxxxxxx, the Company and the Purchaser, duly executed by Mxxxxxx Xxxxxxx and, on behalf of the Company, another authorized officer of the Company.

Xxx Xxxxx Xxxxxxx; (l) a legal opinion from the Company's U.S. counsel with respect to such matters as set forth in Exhibit G attached to this Agreement; (m) a legal opinion from the Company's Russian counsel with respect to such matters as set forth in Exhibit H attached to this Agreement; (n) duly executed resignations of Xxxxx Xxxxxxx, Xxxxxx XxXxxxxxxx, Xxxxxx Xxxxxxxx, Xxxxxxxxx Vladislavlev and Xxxxxxx X. Xxxxx from the Board; and (o) an officer's certificate of the Chief Executive Officer and Chief Financial Officer of the Company certifying the satisfaction of the conditions set forth in Sections 6.03(a) and (e) hereof.

  • Reports by the Company (a) The Company will at all times comply with Section 314(a) of the Trust Indenture Act. The Company covenants and agrees to provide (which delivery may be via electronic mail) to the Trustee within 30 days, after the Company files the same with the Commission, copies of the annual reports and of the information, documents and other reports (or copies of such portions of any of the foregoing as the Commission may from time to time by rules and regulations prescribe) that the Company is required to file with the Commission pursuant to Section 13 or Section 15(d) of the Exchange Act; provided, however, the Company shall not be required to deliver to the Trustee any correspondence filed with the Commission or any materials for which the Company has sought and received confidential treatment by the Commission; and provided further, that so long as such filings by the Company are available on the Commission’s Electronic Data Gathering, Analysis and Retrieval System (XXXXX), or any successor system, such filings shall be deemed to have been filed with the Trustee for purposes hereof without any further action required by the Company. For the avoidance of doubt, a failure by the Company to file annual reports, information and other reports with the Commission within the time period prescribed thereof by the Commission shall not be deemed a breach of this Section 5.03. (b) Delivery of reports, information and documents to the Trustee under Section 5.03 is for informational purposes only and the information and the Trustee’s receipt of the foregoing shall not constitute constructive notice of any information contained therein, or determinable from information contained therein including the Company’s compliance with any of their covenants thereunder (as to which the Trustee is entitled to rely exclusively on an Officer’s Certificate). The Trustee is under no duty to examine any such reports, information or documents delivered to the Trustee or filed with the Commission via XXXXX to ensure compliance with the provision of this Indenture or to ascertain the correctness or otherwise of the information or the statements contained therein. The Trustee shall have no responsibility or duty whatsoever to ascertain or determine whether the above referenced filings with the Commission on XXXXX (or any successor system) has occurred.

  • Closing Deliveries by the Seller At the Closing, the Seller shall deliver or cause to be delivered to the Purchaser: (a) the bring-down certificates referred to in Sections 3.5(a) and 3.5(b); (b) a certificate signed by a senior officer of the Seller certifying (i) the articles and by-laws of the Seller, (ii) the resolution of the Seller's directors approving the subject matter of this Agreement and (iii) the signatures of the persons authorized to sign this Agreement and/or any of the documents contemplated herein on behalf of the Seller and certifying the genuineness of such signatures; (c) a certificate of status (or equivalent) for the Seller issued within two (2) days prior to the Closing; (d) all deeds, assignments, bills of sale and other conveyancing documents required to be executed and delivered by Seller or a Subsidiary of the Seller to transfer the various categories of Purchased Assets described in Section 2.1 and for the Purchaser to assume the Assumed Liabilities; (e) a duly executed signature page to the Escrow Agreement; (f) a duly executed signature page to the Non-Compete Agreement; (g) a duly executed request form (kabunushi-meibo-meigi-kakikae-seikyusho) in the name of the Seller in order to register the Purchaser as the holder of the CCSC Shares on the shareholders book (kabunushi-meibo) of CCSC, a copy of the minutes of the shareholders book of CCSC showing that the Purchaser is the owner of the CCSC Shares as of the Closing Date duly certified by the representative director of CCSC and a copy of the minutes of the shareholders meeting of CCSC approving the transfer of the CCSC Shares from the Seller to the Purchaser duly certified by the representative director of CCSC; (h) a duly executed signature page to the Transition Services Agreement; (i) evidence of receipt of the Required Consents; (j) possession of the Purchased Assets; (k) a certificate duly executed by Seller, pursuant to treasury regulations section 1.1445-2(b), stating under penalties of perjury that Seller is not a foreign person within the meaning of Section 1445 of the Code; (l) a properly executed IRS Form W-9 from Seller; (m) evidence reasonably satisfactory to Purchaser that Seller has requested, to the extent available, a Tax clearance certificate, and to the extent not available, a certificate of good standing or certificate of no tax due, from the taxing authorities of Florida, Georgia, Illinois, Colorado, California, New Jersey and Pennsylvania; and (n) such other stockholder approvals, Governmental Authority approvals, documents, instruments, certificates and other documents dated as of the Closing Date as are expressly required under the terms of this Agreement.
