Delivery of Supplemental Services. The purpose of this provision is to enable Exodus to provide Customer with certain limited services and equipment needed by Customer on a "one-off" or emergency basis ("Supplemental Services") where such services are not included within the scope of the Services as described in the Specification Sheets and/or Statement of Work. Supplemental Service may include, as an example, a request from Customer to Exodus via telephone that Exodus immediately replace a problem Customer server with an Exodus server for a temporary period of time. Exodus shall notify Customer of the fees for any Supplemental Services requested by Customer and obtain Customer's approval prior to providing such services. In the event Exodus reasonably determines that Supplemental Services are required on an emergency basis, Exodus may provide such services without the consent of Customer, thereafter provide notice of the services to Customer and xxxx Customer a reasonable fee for such services. Customer agrees to pay Exodus the fees charged by Exodus for Supplemental Services. Customer will be charged for Supplemental Services in the invoice issued the month following delivery of the services. Exodus will use commercially reasonable efforts to provide Supplemental Services, provided that Exodus has no obligation to determine the need for or provide Supplemental Services. All Supplemental Services provided pursuant to this paragraph 2.1(b) are provided on an "as-is" basis and exclude warranties of any kind, whether express or implied.

Delivery of Supplemental Services. The purpose of this provision is to enable Q9 to provide the Customer with certain limited services and equipment needed by the Customer on a “one-off” or emergency basis (“Supplemental Services”) where such services are not included within the scope of the Services as specifically described in a Sales Order Form. Supplemental Services may include, as an example, a request from the Customer to Q9 via telephone that Q9 immediately replace a problem Customer server with a Q9 server for a temporary period of time, Q9 shall notify the Customer of the Fees for any Supplemental Services requested by the Customer and obtain the Customer’s approval prior to providing such Supplemental Services. The Customer agrees to pay Q9 the Fees charged by Q9 for Supplemental Services. The Customer will be charged for Supplemental Services in an invoice issued the month following delivery of the Supplemental Services, Q9 will use commercially reasonable efforts to provide Supplemental Services, provided that Q9 has no obligation to determine the need for or provide Supplemental Services. All Supplemental Services provided pursuant to this paragraph 2(b) are provided on an “as-is” basis and exclude any representations, warranties or conditions of any kind, whether express or implied, other than as expressly contained herein or in the SLA.

Supplemental Services may include, as an example, a request from Customer to LightEdge via telephone that LightEdge immediately replace a problem Customer server with a LightEdge server for a temporary period of time or a response to a security incident occurring at Customer’s level. LightEdge shall notify Customer of the fees for any Supplemental Services requested by Customer and, except as provided in emergency, obtain Customer’s written approval prior to providing such Supplemental Services. LightEdge shall bill Customer a reasonable fee for such Supplemental Services as determined by LightEdge based on the services performed. Customer will be charged for the Supplemental Services performed in the invoice issued the month following delivery of the Supplemental Services. Notwithstanding the foregoing, nothing in this Section 2.4 shall obligate LightEdge to determine the need for or provide the Supplemental Services. IN THE EVENT LIGHTEDGE ELECTS TO PERFORM ANY SUPPLEMENTAL SERVICES SUCH SUPPLEMENTAL SERVICES ARE PROVIDED ON AN “AS-IS” BASIS AND EXCLUDE WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

Supplemental Services may include, as an example, a request from Customer to C&W via telephone that C&W immediately replace a problem Customer server with an C&W server for a temporary period of time. C&W shall obtain Customer's approval prior to providing such services. Customer agrees to pay C&W the fees charged by C&W for Supplemental Services based on C&W's then current rates for time and materials and set forth in the invoice issued following delivery of the Supplemental Services. C&W will use commercially reasonable efforts to provide Supplemental Services, provided that C&W has no obligation to determine the need for or provide Supplemental Services.

Supplemental Services may include, as an example, a request from Customer to Data Foundry via telephone that Data Foundry immediately replace a problem Customer server with a Data Foundry server for a temporary period of time. Data Foundry shall notify Customer of the fees for any Supplemental Services requested by Customer and, except as provided in the Customer Emergency Procedures (defined below), obtain Customer’s written approval prior to providing such Supplemental Services. Customer shall provide Data Foundry with effective emergency contact information, including procedures (the “Customer Emergency Procedures”) for Customer’s verbal authorization of Supplementary Services where such services are required on an emergency basis, or in the event of a true emergency, permission to act without the authority of Customer. Data Foundry shall xxxx Customer a reasonable fee for such Supplemental Services as determined by Data Foundry based on the services performed. Customer will be charged for the Supplemental Services performed in the invoice issued the month following delivery of the Supplemental Services. Notwithstanding the foregoing, nothing in this Section 2 shall obligate Data Foundry to determine the need for or provide the Supplemental Services. Customer agrees to pay VeriCenter the approved fees charged by VeriCenter for Supplemental Services. VeriCenter will use commercially reasonable efforts to provide Supplemental Services, which shall be subject to the terms hereof., including applicable express warranties. Vericenter shall have no obligation to determine the need for or to provide Supplemental Services.

Dominion Technology Partners shall notify Customer of the fees for any Supplemental Services requested by Customer and obtain Customer's approval prior to providing such services. In the event Dominion Technology Partners reasonably determines that Supplemental Services are required on an emergency basis, Dominion Technology Partners may provide such services without the consent of Customer, thereafter provide notice of the services to Customer and bill Xxxtomer a reasonable fee for such services. Customer agrees to pay Dominion Technology Partners the fees charged by Dominion Technology Partners for Supplemental Services. Customer will be charged for Supplemental Services in the invoice issued the month following delivery of the services. Dominion Technology Partners will use commercially reasonable efforts to provide Supplemental Services, provided that Dominion Technology Partners has no obligation to determine the need for or provide Supplemental Services. Customer will be charged for Supplemental Services in the invoice issued the month following delivery of the services. STARPOINT will use commercially reasonable efforts to provide Supplemental Services, provided that STARPOINT has no obligation to determine the need for or provide Supplemental Services. Liftr Insights shall notify Customer of the fees for any Supplemental Services requested by Customer and obtain Customer’s written approval prior to providing such Supplemental Services.
