DEMISE, TERM AND RENT. In consideration of the Rent and other provisions of this Lease the Landlord lets the Premises to the Tenant: for a term starting on the Term Start Date and ending on the Term End Date; together with the rights listed in Part 1 of the Schedule; excepting and reserving to the Landlord the reserved rights listed in Part 2 of the Schedule; subject to the provisions of any documents or matters specified or referred to in the title deeds; and subject to any servitudes, rights and privileges currently existing and affecting the Premises. The Tenant must pay: for the period starting on the Rent Commencement Date [and ending on the day before the first Rent Review Date] the Initial Rent[; and during the remainder of the Term, the Rent]. Rent is not payable for any period before the Rent Commencement Date. Starting on the Term Start Date the Tenant must pay: Service Charge due under Clause 4.3 and Part 4 of the Schedule; and Insurance Costs. The Tenant must pay VAT under Clause 4.4. The Rent is payable by equal [monthly] [quarterly] payments in advance on the Rent Days in every year. The first payment will be a proportionate payment for the period starting on (and to be paid on) the Rent Commencement Date and ending on the last day of that [month] [quarter]. The Rent and all other sums payable under this Lease must be paid by the Tenant by electronic transfer from a United Kingdom bank account to the United Kingdom bank account notified by the Landlord to the Tenant. The Tenant must not make any retention, deduction, set-off or counterclaim from any payment due under this Lease unless required to do so by law.

DEMISE, TERM AND RENT. 1. The Landlord hereby lets and the Tenant hereby takes ALL that portion of the Building known as “ALEXANDRA TECHNOPARK” at Xxxxx X Xxxxxxxxx Xxxx, Xxxxxxxxx 000000 (hereinafter called “the Building”) to contain A floor area of 689 square metres shown edged in red on the plan annexed hereto indicated as Xxxxx # #00-00/00 (now known as No. 000X Xxxxxxxxx Xxxx, # #0000/00 Xxxxxxxxx Xxxxxxxxxx, Xxxxxxxxx 000000) (hereinafter referred to as “the said premises”) TOGETHER also with all the fixtures and fittings therein installed and now belonging to the Landlord and with the use for the Tenant its servants and visitors of the lifts and the entrances staircases corridors and passages and accesses to the Building for the purpose only of ingress and egress to and from the said premises with or without parcels and packages for the term of three (3) years from the day of 16th day of September 2007 (hereinafter called “the Term”) a) for the period from the 16th day of September 2007 to the 15th day of September 2008 at the rent of Dollars Eighteen Thousand Eight Hundred and Two and Cents Eighty-One ($18,802 -81) per month calculated at the rate of Dollars Twenty-Seven and Cents Twenty-Nine ($27-29) per square metre to be paid without any deductions and in advance without demand on the first day of each calendar months the first of such payment to be made on the 16th day of September 2007; b) for the period from the 16th day of September 2008 to the 15th day of September 2009 at the rent Dollars Twenty Thousand Two Hundred and Eighty-Four and Cents Sixteen ($20,284-16) per month calculated at the rate of Dollars Twenty-Nine and Cents Forty-Four ($29-44) per square metre to be paid without any deductions and in advance without demand on the first day of each of the calendar months the first of such payment to be made on the 16th day of September 2008: c) for the period from the 16th day of September 2009 to the 15th day of September 2010 at the rent Dollars Twenty One Thousand Seven Hundred and Seventy-Two and Cents Forty ($21,772-40) per month calculated at the rate of Dollars Thirty-One and Cents Sixty ($31-60) per square metre to be paid without any deductions and in advance without demand on the first day of each of the calendar months the first of such payment to be made on the 16th day of September 2009; Tenant’s Covenants 2. The Tenant hereby covenants with the Landlord as follows:-
DEMISE, TERM AND RENT. 3.1 The Landlord leases the Premises to the Tenant with full title guarantee subject to the variations set out in clause 6.9: 3.1.1 for a term starting on the Term Start Date and ending on the Term End Date; 3.1.2 together with the rights listed in Part 1 of Schedule 1; 3.1.3 excepting and reserving to the Landlord the rights listed in Part 2 of Schedule 1; 3.1.4 subject to the matters contained or referred to in title numbers NGL692974, BGL125442, BGL125421, BGL125422, BGL125423 and BGL49405 as shown on the attached official copy entries save for the matters contained or referred to in the Confidential Documents; 3.1.5 subject to any easements, rights and privileges currently existing and affecting the Premises; 3.1.6 and subject to any rights reserved by the Podium Leases (including any rights on the part of any of the landlords under the Podium Leases to terminate any of the Podium Leases). 3.2 The Tenant must pay as rent: 3.2.1 for the period starting on the Rent Commencement Date and ending on the day before the first Rent Review Date one million four hundred and fifty three thousand three hundred and forty seven pounds (£1,453,347) per year; and 3.2.2 during the remainder of the Term, the rent set out in clause 3.2.1 as increased (if at all) under Schedule 2. 3.3 Main Rent is not payable for any period before the Rent Commencement Date. 3.4 If the Tenant does not serve any notice under clause 7.1 then the Tenant’s obligation to pay the Main Rent shall be suspended for the period of eight (8) months commencing on the Break Date. 3.5 Starting on the Ancillary Rent Commencement Date the Tenant must pay as rent: 3.5.1 Service Charge due under clause 4.3 and Schedule 3; 3.5.2 Insurance Rent;
DEMISE, TERM AND RENT. 2.1 The Landlord leases the Premises to the Tenant with full title guarantee subject to the variations set out in clause 5.9: 2.1.1 for a term starting on the Term Start Date and ending on the Term End Date; 2.1.2 together with the rights listed in Part 1 of Schedule 1; 2.1.3 excepting and reserving to the Landlord the rights listed in Part 2 of Schedule 1; 2.1.4 subject to the matters (excluding financial charges) contained or referred to in title number CH450000 on 13 August 2020 and timed at 15:27:17 and title number CH512739 on 26 October 2020 and timed at 15:08:48; 2.1.5 subject to any easements, rights and privileges currently existing and affecting the Premises; and 2.1.6 subject to any rights reserved by any Intermediate Lease. 2.2 Starting on the Rent Commencement Date, the Tenant must pay the Main Rent as rent. 2.3 Starting on the Ancillary Rent Commencement Date the Tenant must pay as rent: 2.3.1 Service Charge due under clause 3.3 and Schedule 3; and‌ 2.3.2 to the extent that the same is not recovered via the Service Charge, the Insurance Rent. 2.4 The Tenant must pay as rent VAT under clause 3.3. 2.5 The Main Rent is payable by equal quarterly payments in advance on the Rent Days in every year. The first payment will be a proportionate part calculated on a daily basis for the period starting on (and to be paid on) the Rent Commencement Date and ending on the last day of that quarter. 2.6 The Rents and all other sums payable under this Lease must be paid by the Tenant by electronic transfer from a United Kingdom bank account to the United Kingdom bank account notified by the Landlord to the Tenant. 2.7 The Tenant must not make any legal or equitable deduction, set-off or counterclaim from any payment due under this Lease unless required to do so by law.
DEMISE, TERM AND RENT. 3.1 The Landlord demises to the Tenant the Demised Premises TOGETHER with the rights specified in PART II of the First SCHEDULE EXCEPT AND RESERVING to the Landlord and those authorised by it the rights specified in PART III of the First SCHEDULE TO HOLD for a term of five years commencing on the 29th day of September Two thousand and one and expiring on the 28th day of September Two thousand and six. 3.2 The Tenant shall pay the following sums, which are reserved as rent: 3.2.1 FIRSTLY, during the Term, yearly, the rent of four hundred and fifty thousand pounds (L450,000). Such rent shall be payable by equal quarterly payments in advance on the usual quarter days in every year without any deduction or set off. The first payment shall be for the period commencing on (and to be paid on) the 290, day of September Two thousand and one and ending on the day prior to the quarter day next following that date; 3.2.2 SECONDLY, the sums paid by the Landlord in insuring the Building under sub-CLAUSE 5. 2.1 and the sums paid for insuring five years' rents firstly and thirdly reserved by this Lease. Such rent shall be payable on demand; 3.2.3 THIRDLY, from 1 May 2002 the sums due under CLAUSE 4.3, payable as specified in PART I of the Second SCHEDULE; 3.2.4 FOURTHLY, any sums due under CLAUSE 4.22; 3.2.5 FIFTHLY, the sums due under CLAUSE 4.23 (so far as they relate to the rents above reserved).

The first payment shall be for the period commencing on (and to be paid on) the 24 day of July Two thousand and ending on the day prior to the Quarter Day next following that date PROVIDED THAT during the period of twelve months from 24 July 2000 and expiring on 23 July 2001 the yearly rent shall be abated each quarter by the sum of Thirty two thousand seven hundred and fifteen pounds (L32,715) and the quarterly payments in advance shall be adjusted accordingly during such period such that the quarterly rent for such period shall be payable at the rate of Sixty five thousand four hundred and thirty pounds (L65,430) (exclusive of VAT) AND PROVIDED FURTHER THAT during the period 24 July 2001 and expiring on 23 July 2002 the yearly rent shall be abated each quarter by the sum of Sixteen thousand three hundred and fifty seven pounds and fifty xxxxx (L16,357.50) and the quarterly payments in advance shall be adjusted accordingly during such period such that the quarterly rent for such period shall be payable at the rate of Eighty one thousand seven hundred and eighty seven pounds and fifty xxxxx (L81,787.50) (exclusive of VAT); 3.2.2 SECONDLY a fair proportion of the sums paid by the Landlord in insuring the Building under clause 5.2.1 and the whole of the sums paid for insuring three years, rents firstly and thirdly reserved by this Lease. Such rent shall be payable within 7 days of demand; 3.2.3 THIRDLY the sums due under clause 4.3, payable as specified in part I of Third Schedule; 3.2.4 FOURTHLY, ...
DEMISE, TERM AND RENT. The Landlord leases the Premises to the Tenant[ with [full][limited] title guarantee (subject to the variations set out in Schedule 5)]:41 for a term starting on the Term Start Date and ending on the Term End Date; together with the rights listed in Part 1 of Schedule 1; excepting and reserving to the Landlord the rights listed in Part 2 of Schedule 1; subject to the provisions of any documents or matters specified or referred to in Schedule 5; [and] subject to any easements, rights and privileges currently existing and affecting the Premises[.][; and] [subject to any rights reserved by the Head Lease]. Except when clause 3.7 applies, starting on the Rent Commencement Date, the Tenant must pay the Main Rent.42 Starting on the Ancillary Rent Commencement Date the Tenant must pay as rent the Insurance Rent and the Service Charge. The Main Rent is not payable for any period before the Rent Commencement Date and the Insurance Rent and the Service Charge are not payable for any period before the Ancillary Rent Commencement Date. The Tenant must pay as rent VAT under clause 4.4. The Main Rent is payable by equal [monthly/quarterly] payments in advance on the Rent Days in every year. Until the arrangements in Schedule 9 come to an end in accordance with paragraph 11 of Schedule 9, instead of paying the Main Rent under clause 3.2 the Tenant must pay the Base Rent and the Turnover Rent under Schedule 9. This will not affect the operation of the rent review mechanism in Schedule 2. The Rents and all other sums payable under this Lease must be paid by the Tenant by electronic transfer from a United Kingdom bank account to the United Kingdom bank account notified by the Landlord to the Tenant from time to time.
