Description of Engagement. Under the Bank’s direction, we will prepare the narrative text to be submitted as part of the Business Plan. We will compile demographic, economic, or geographic data needed for the Business Plan. We also will provide the pro forma financial projections for the Business Plan. Our preparation of the Business Plan will be based on information that First Federal provides to us regarding the Bank’s strategic goals and objectives. After submission of the Business Plan and, as part of our services under this Agreement, we will be available to provide additional services in relation to the Business Plan, including assisting with preparation of your responses to questions or comments from the regulators while the regulators evaluate the Business Plan. First Federal will be responsible for final approval of the Business Plan and other information before submission to the applicable regulatory agency.

Our preparation of the Business Plan will be based on information that OmniAmerican provides to us regarding OmniAmerican’s strategic goals and objectives. After submission of the Business Plan and, as part of our services under this Agreement, we will be available to provide additional services in relation to the Business Plan, including assisting with preparation of your responses to questions or comments from the regulators while the regulators evaluate the Business Plan. OmniAmerican will be responsible for final approval of the Business Plan and other information before submission to the applicable regulatory agency.
Description of Engagement. XXXXXX will assist the Company as its exclusive financial advisor and placement agent in connection with the Financing (as such term is defined below). XXXXXX has been advised by the Company that the Company will require an aggregate of approximately $7.0 million to finance initial production, inventory buildup, marketing and launch of the BioZ System hemodynamic monitor. XXXXXX has been further advised that such amount is anticipated to be obtained from the proceeds of a single offering of privately placed common equity securities of the Company (such securities being hereinafter referred to as the "Securities" and such offering being hereinafter referred to as the "Financing"). Subject to the approval of XXXXXX's Private Placement Review Committee, XXXXXX agrees to assist the Company in the Company's efforts to structure and obtain the Financing, solely from institutional investors. XXXXXX makes no representations, express or implied, that it will succeed in its efforts to assist the Company in securing the Financing.
Description of Engagement. Chicago Dearborn agrees to act as the exclusive financial advisor and agent for Corcom to provide financial advisory and investment banking services in connection with a financial evaluation of Corcom and a review of financial and strategic alternatives. The terms of this Agreement shall extend from the date of this letter for a period of twelve months thereafter, and may be extended on a quarter-to- quarter basis by mutual written consent of the parties hereto, hereinafter referred to as the "Term".
Description of Engagement. TCC agrees to act as the exclusive financial advisor and agent for BAB to provide investment banking services in connection with a private placement of securities of the Company, to be convertible into or exercisable to purchase common stock, (the "Offering") and TCC agrees to act as agent in soliciting potential institution investors (the "Investors") to purchase such securities to finance the Company's pending merger with Chesapeake Bagel Bakery. The Investors may be either new or existing investors of the Company. The terms of this Agreement shall extend from the date of this letter to the earlier of a period of twelve months thereafter or the consummation of the financing transaction contemplated herein, and may be extended on a month-to- month basis by mutual written consent of the parties hereto, hereinafter as it may be extended referred to as the "Term".
