DESPATCH INSTRUCTIONS i) The General Conditions of Contract form part of the Tender specifications. All pages of the tender documents shall be duly signed, stamped, and submitted along with the offer in token of complete acceptance thereof. The information furnished shall be complete by itself. The tenderer is required to furnish all the details and other documents as required in the following pages. ii) Tenderers are advised to study all the tender documents carefully. Any submission in tender shall be deemed to have been done after careful study and examination of the tender documents and with the full understanding of the implications thereof. iii) Integrity Pact (IP) shall be applicable for all tenders / contracts as indicated in Notice Inviting Tender (NIT). This integrity pact shall be issued as part of the Tender documents and shall be returned by the bidder along with Techno- commercial bid duly filled, signed and stamped by the authorized signatory who signs the bid. Only those vendors / bidders who have entered into such an IP with IIDL shall be considered qualified to participate in the bidding. Entering into this pact shall be a preliminary qualification.

DESPATCH INSTRUCTIONS. Without prejudice to GENCO’s rights to receive UETCL DGE Payments in accordance with this Agreement, UETCL shall issue Despatch Instructions to GENCO consistent with and within the Functional Specification, the prevailing declaration of Available Capacity and twenty-four hour ahead forecast energy notified including any constraints, in accordance with the Operating and Despatch Procedures.
DESPATCH INSTRUCTIONS. (a) The Purchaser shall accept all Net Delivered Energy generated by the Complex and delivered at the Interconnection Point. Subject to Section 5.4(b), the Seller shall comply with Despatch Instructions issued by the System Operator, provided, that: (i) such Despatch Instructions are consistent with the Technical Limits; (ii) the Complex can be operated consistent with the Despatch Instructions in view of the then prevailing Ambient Site Conditions ; and (iii) Seller shall only be required to comply to the extent there are no Scheduled Maintenance Outages, Forced Outages or Partial Forced Outages in effect or scheduled to occur and which would prevent compliance with such Despatch Instructions. (b) The Seller shall not be in breach of Section 5.4(a) for failure to execute a Despatch Instruction due to a Non-Project Event or a Force Majeure Event. (c) The rights of (and limitations on) the Purchaser relating to the delivery of Despatch Instructions may be assigned (without the need for Seller’s consent but on notice to the Seller) by the Purchaser to the System Operator, provided that such assignment shall not relieve the Purchaser from or affect in any way any of its obligations and liabilities under this Agreement, including the obligation to make Energy Payments.

DESPATCH INSTRUCTIONS. KPLC shall issue Despatch Instructions consistent with the Functional Specification, including the System Characteristics, prevailing declarations of Availability and any impairment of Operating Characteristics and despatch constraints, and in accordance with the Operating and Despatch Procedures and any procedures agreed under Clause 8.4 and Clause 8.5, and shall seek to ensure that KPLC’s System complies with and does not deviate from the System Characteristics.
DESPATCH INSTRUCTIONS. Purchaser shall issue Despatch Instructions consistent with and within the Functional Specification, the prevailing declaration of Availability and any declared impairment of the Plant’s Operating Characteristics, and any Despatch constraints and in accordance with the Operating and Despatch Procedures and any procedures agreed under Clause 5.4 and shall seek to ensure that Purchaser’s System maintains and complies with and does not deviate from the System Characteristics. Purchaser shall not be required to issue Despatch Instructions (and may require Seller to disconnect or reduce the Net Electrical Output) where:- a) an Emergency exists; or b) for so long as a disconnection or a reduction in energy deliveries is necessary to enable Purchaser to construct, install, maintain, repair, or test any part of the Purchaser Connection facilities, or any other affected part of the Purchaser’s System. Purchaser shall notify Seller promptly and, insofar as it is practicable, prior to the beginning and end of such reduction or disconnection, and Purchaser shall co-ordinate such reduction or disconnection with Seller. Any action requiring such disconnection or reduction of energy deliveries shall be implemented and completed as soon as reasonably practicable.
