Discrimination and Occupational Safety and Health. To the knowledge of the Company, no person has any claim, or basis for any Action against the Company arising out of any Law relating to discrimination in employment or employment practices or occupational safety and health standards. The Company has not received any notice from any person alleging a violation of such law or occupational safety or health standards.

Discrimination and Occupational Safety and Health. No person or party (including, but not limited to, a Governmental Entity of any kind) has any valid claim, or valid basis for any action or proceeding, against any Company arising out of any Law relating to discrimination in employment, employment practices (including wrongful termination), family leave, or, except as set forth in Section 3.31 of the Seller Disclosure Schedule, occupational safety and health standards. No Company has received any written notice from any Governmental Entity alleging a violation of occupational safety or health standards. Section 3.31 of the Seller Disclosure Schedule sets forth (i) all pending workers compensation claims against any Company relating to the use or existence of asbestos in any of the products of the Company and (ii) a true, correct and complete list of (A) all workers compensation claims against any Company made over the three (3) years preceding the date hereof and (B) all open workers compensation claims against any Company.

Since January 1, 2010, neither the Company nor any of its Subsidiaries has received any written notice from any Governmental Authority entity alleging a violation of occupational safety or health standards. Except as set forth on Schedule 2.26, there are no pending workers compensation claims involving the Company or any of its Subsidiaries and, since January 1, 2010, there have not been any workers compensation claims against the Company or its Subsidiaries relating to the use or existence of asbestos in any of the products, the manufacturing process or workplace setting of the Company or any of its Subsidiaries.
