Donation of Property a. PCI and any transferee, or its successor, as applicable, shall donate and the County shall accept the Alternative Site
b. PCI and the County shall finalize the boundary for the Alternative Site within 60 days of the conveyance of Public School Site 2 pursuant to Exhibit D of Clay County Agreement 2021/2022-64. PCI shall then provide a signed and sealed survey within 60 days of the date the boundary is finalized. The parties may upon mutual agreement extend the date for finalizing the boundary; such extension shall also extend the date for delivery of the signed and sealed survey by PCI to a date 60 days after finalization of the boundaries.
c. Within 120 days of the date the boundary is finalized the County shall prepare a warranty deed for the Alternative Site and obtain a title opinion, if required. The warranty deed shall include a deed restriction limiting the use of the Alternative Site to public community park use and/or a public library/community center.
d. PCI shall execute the warranty deed(s) prepared by the County consistent with this Agreement when presented for execution which shall occur no later than 150 days after the date the boundary is finalized.
e. PCI shall provide access from Feed Mill Road to the Alternative Site concurrent with access provided to School Site 2, said access being provided no later than twelve (12) months after the date of commencement of construction of the school on School Site 2 by the School District.
Donation of Property. A. Upon and subject to the terms of this Agreement, Xxxxxxx agrees to donate and convey the Donated Property to the County and the County agrees to accept all Grantor’s rights, title, and interest to the Donated Property. The closing of the conveyance of the Property (“Closing”) shall take place via mail away delivery of closing documents within sixty (60) days of this Agreement. That deadline may be extended on the mutual agreement of the Parties.
B. Commencing upon the Effective Date of this Agreement, the County, at its sole cost and expense, may enter the Donated Property to conduct inspection and planning activities, including such tests, analyses, investigations, and inspections as deemed necessary by the County to evaluate the Donated Property’s engineering, architectural, and environmental properties; zoning, zoning restrictions and land use; soil, grade, and other environmental features; availability of access to public roads, water, and other utilities; consistency with local, state, and regional growth management plans; availability of permits, approvals, and licenses, including any wetlands permits that may be required; and all other investigations or inspections that the County deems necessary. The County shall promptly restore any portions of the Donated Property affected by its inspections and investigations to the condition that existed immediately prior to the inspections or investigations.
C. The County Grantor will design and construct, either internally or through contract, the extension of Xxxxx Boulevard and Westmont Road (together, the “Road Extensions”). Although initially the parties contemplated that the Grantee would construct the road extensions, the parties have determined it will be more cost efficient for the Grantor to construct the road extensions because the Grantor will already be constructing adjacent improvements. The costs as detailed in exhibit E will be reimbursed to Grantor by Grantee within 30 days of completion and approval by the County Engineer. The County Engineer shall review all plans prior to initiation of construction.
Donation of Property. Donor shall offer to donate the Property to the Town and the Town shall accept the offer of donation of the Property upon the terms and conditions set forth in this Agreement.
Donation of Property. Grantor hereby donates and Grantee hereby receives the Property upon the terms hereafter set forth.
Donation of Property. Grantor hereby pledges to donate and Xxxxxxx hereby agrees to accept the Property upon the terms hereafter set forth.
Donation of Property. Subject to the terms and conditions of this Agreement, the City shall donate to the CLT the Property (the “Donation”).
Donation of Property. The City agrees to donate and Recipient agrees to receive from the City, all right, title, and interest in the personal property (the “Property”) contained in Exhibit A.
Donation of Property. Title to or the use of property or equipment has been donated by a public agency for the program(s) covered by this agreement. If title to property is donated, match value is the fair market value of the property. If the use of the property or equipment is donated, match value is the fair rental value as determined by applicable Department policy will be used as matching of the payments.
Donation of Property. Xxx agrees to:
x. Xxx shall donate the Property to the Land Trust in fee simple by quitclaim deed, within thirty (30) days of this Agreement;
ii. Xxx shall be responsible for paying all fees and costs for the conveyance of the Property to the Land Trust;
iii. Any title policy desired by the Land Trust may be obtained at its sole cost and expense; and
iv. In the event the Land Trust is unable to accept donation of the Property within sixty (60) days of this Agreement, the State and Kan shall work in good faith to identify a mutually agreeable third-party non-profit entity or land trust to accept the donation.
