Duration and Termination of the Company. The existence of the Company shall commence on the date of the filing of the Certificate of Formation with the office of the Delaware Secretary of State in accordance with the Act and shall continue until the first to occur of the following events (an “Event of Termination”): (a) the withdrawal of all Members of the Company; (b) the unanimous written consent of the Members; and (c) the effective date of a decree of judicial dissolution under the Act.

Duration and Termination of the Company. The existence of the Company shall commence on the date of the filing of the Certificate of Formation with the office of the Delaware Secretary of State in accordance with the Act and shall continue until the first to occur of the following events (an “Event of Termination”): (a) The occurrence of a Dissolution Event, except the Company shall not be dissolved upon the occurrence of a Dissolution Event that terminates the continued membership of a Member in the Company if (i) at the time of the occurrence of such event there are at least two Members of the Company, and (ii) within 90 days after the occurrence of such event, all remaining Members agree in writing to continue the business of the Company and to the appointment, effective as of the date of such event, of one or more additional Members of the Company (b) the unanimous written consent of the Members; and (c) the effective date of a decree of judicial dissolution under the Act.
Duration and Termination of the Company. Section 9.1 Dissolution and Termination of the Company. (a) The Company shall be dissolved and its business wound up upon the occurrence of any of the following events: (i) the decision by the Managing Member, subject to the approval of the Major Decision Committee in accordance with Section 5.3 if required; or (ii) by judicial decree in accordance with Section 18-802 of the Act. (b) In the event of the dissolution of the Company, there shall be an orderly liquidation of the Company Assets, unless the Managing Member determines that an immediate sale of all or part of the Company Assets would cause undue loss to the Members, in which event (i) the liquidation may be deferred for a reasonable time except as to those assets necessary to satisfy the Company debts and the Members shall be deemed to have elected to reconstitute the Company for such period, or (ii) all or part of the Company Assets may be distributed in kind, subject to the provisions of and in the same manner as cash under the applicable provisions of this Section 9.1. If Company Assets are distributed in kind, the Capital Accounts of the Members shall be adjusted to reflect the Book gain or loss (if any) that would have been recognized by the Company if those assets had been sold for an amount equal to their Fair Market Value at the time of distribution. (c) Upon any dissolution of the Company, the Company’s Accountant shall prepare a statement setting forth the assets and liabilities of the Company as of the date of dissolution, and such statement shall be furnished to all Members. (d) In the event of liquidation of the Company Assets, and subject to Section 9.1(b), the Company Assets shall be liquidated as promptly as possible and the Managing Member shall appoint a Member to supervise such liquidation (the “Liquidating Member”), which shall be conducted in an orderly and business-like manner so as not to involve undue sacrifice, as the Liquidating Member shall determine in its reasonable discretion. The proceeds thereof shall be applied and distributed in the following order of priority: (i) for the payment of the debts and liabilities of the Company (including any debts and liabilities owed to the Members and their Affiliates) and the expenses of liquidation; (ii) to the setting up of any reserves which the Liquidating Member reasonably may deem necessary for any contingent or unforeseen liabilities or obligations of the Company arising out of or in connection with the Company. Duration and Termination of the Company. 20.1 The Joint Venture is established for an indefinite period commencing on the Closing Date, provided that the Joint Venture and this Agreement shall terminate automatically upon the completion of Initial Public Offering, a Trade Sale or the acquisition of all ownership interests in the Joint Venture by either Shareholder or a third party (each an “Exit Event”) except with respect to provisions set forth in sections 13 through 27 which shall survive the termination of this Agreement. 20.2 The termination of JV Europe and this Agreement without cause (ordentliche Kündigung) shall not be permitted. 20.3 Each Shareholder is, however, entitled to terminate the Joint Venture for cause (aus wichtigem Xxxxx) after having notified the other Shareholder of a breach and such breach has not been cured within six months of receipt of such notice within 30 days following the end of such six months period (unless a shorter notice period or termination without notice period is permissible and cannot be excluded under statutory law in which case such shorter or no notice period shall apply).

  • Duration and Termination This Agreement shall become effective with respect to each Fund as of the corresponding effective date indicated in Appendix A and, unless sooner terminated with respect to a Fund as provided herein, shall continue in effect for a period of two years as to such Fund. Thereafter, if not terminated, this Agreement shall continue in effect with respect to the Fund for successive periods of 12 months, provided such continuance is specifically approved at least annually by both (a) the vote of a majority of the Trust’s Board of Trustees or the vote of a majority of the outstanding voting securities of the Fund at the time outstanding and entitled to vote, and (b) the vote of a majority of the Trustees who are not parties to this Agreement or interested persons of any party to this Agreement, cast in person at a meeting called for the purpose of voting on such approval. If the continuance of this Agreement is submitted to the shareholders of any Portfolio for their approval and such shareholders fail to approve such continuance as provided herein, the Subadviser may continue to serve hereunder in a manner consistent with the 1940 Act and the rules and regulations thereunder. (c) The Manager may at any time terminate this Agreement with respect to any or all Portfolios by not less than 60 days’ written notice delivered or mailed by registered mail, postage prepaid, to the Subadviser, and the Subadviser may at any time terminate this Agreement with respect to any or all Portfolios by not less than 90 days’ written notice delivered or mailed by registered mail, postage prepaid, to the Manager. (d) This Agreement automatically and immediately will terminate in the event of its assignment. Upon termination of this Agreement with respect to any Portfolio, the duties of the Manager delegated to the Subadviser under this Agreement with respect to such Portfolio automatically shall revert to the Manager.

  • Duration and Termination of Trust Unless terminated as provided herein, the Trust shall continue without limitation of time. Upon termination of the Trust or of any one or more series or classes of Shares, after paying or otherwise providing for all charges, taxes, expenses and liabilities, whether due or accrued or anticipated, of the Trust or of the particular series or class, as may be determined by the Trustees, the Trust shall in accordance with such procedures as the Trustees consider appropriate reduce the remaining assets to distributable form in cash or shares or other property, or any combination thereof, and distribute the proceeds to the Shareholders of the series or class(es) involved, ratably according to the number of Shares of such series or class held by the several Shareholders on the date of termination, except to the extent otherwise required or permitted by the preferences and special or relative rights and privileges of any classes or series of Shares.

  • Duration and Termination of Agreement This Agreement shall become effective with respect to each Portfolio on the later of (i) its execution and (ii) the date of the meeting of the Board of Trustees of the Trust, at which meeting this Agreement is approved as described below. If any required shareholder approval of this Agreement or any continuance of the Agreement is not obtained, the Subadviser will continue to act as investment subadviser with respect to such Portfolio pending the required approval of the Agreement or its continuance or of a new contract with the Subadviser or a different adviser or subadviser or other definitive action; provided, that the compensation received by the Subadviser in respect of such Portfolio during such period is in compliance with Rule 15a-4 under the Investment Company Act. This Agreement may be terminated at any time, without the payment of any penalty, by the Trustees of the Trust, by the vote of a majority of the outstanding voting securities of the Trust, or with respect to any Portfolio by the vote of a majority of the outstanding voting securities of such Portfolio, on sixty days' written notice to the Adviser and the Subadviser, or by the Adviser or Subadviser on sixty days' written notice to the Trust and the other party. This Agreement will automatically terminate, without the payment of any penalty, in the event of its assignment (as defined in the Investment Company Act) or in the event the Advisory Agreement between the Adviser and the Trust terminates for any reason.
