Duties and Powers of the President. Subject to such supervisory powers, if any, as may be given by the Managers to the chairperson, the president shall be the chief operating officer of the Company, and shall, subject to the control of the Managers, have general and active day-to-day management of the business of the Company and shall see that all orders and resolutions of the Members and the Managers are carried into effect. The president shall have the general powers and duties of management usually vested in the office of president of a corporation, and shall have such other powers and duties as may be prescribed by the Managers or this Agreement. The president shall execute bonds, mortgages and other contracts requiring a seal, under the seal of the Company, except where required or permitted by law to be otherwise signed and executed, and except where the signing and execution thereof shall be expressly delegated by the Manager to some other officer or agent of the Company.

The President also shall preside at all meetings of the Members.
