Duties and Powers of the President. Subject to such supervisory powers, if any, as may be given by the Managers to the chairperson, the president shall be the chief operating officer of the Company, and shall, subject to the control of the Managers, have general and active day-to-day management of the business of the Company and shall see that all orders and resolutions of the Members and the Managers are carried into effect. The president shall have the general powers and duties of management usually vested in the office of president of a corporation, and shall have such other powers and duties as may be prescribed by the Managers or this Agreement. The president shall execute bonds, mortgages and other contracts requiring a seal, under the seal of the Company, except where required or permitted by law to be otherwise signed and executed, and except where the signing and execution thereof shall be expressly delegated by the Manager to some other officer or agent of the Company.

The President also shall preside at all meetings of the Members. Without limiting the foregoing, the President shall (i) execute bonds, mortgages and other contracts requiring a seal, under the seal of the Company, except where required or permitted by law to be otherwise signed and executed, and except where the signing and execution thereof shall be expressly delegated by the Manager to some other officer or agent of the Company and (ii) be entitled to vote securities and other equity interests held by the Company.

Subject to such supervisory powers, if any, as may be assigned by the Directors to the Chairman/CEO and Vice Chairman, the President/COO shall assist the Chairman/CEO and Vice Chairman with the general and active management of the business of the Company. The President/COO shall have authority to execute bonds, mortgages and other contracts except where required or permitted by law to be otherwise signed and executed, and except where the signing and execution thereof shall be expressly delegated by the unanimous action of the Directors to some other officer or agent of the Company. The President/COO shall perform such other duties and have such other powers as the Directors by resolution may from time to time determine.

Duties and Powers of the President. The President shall be the chief executive officer of the Company, and shall preside over the day-to-day management of the business and operations of the Company, subject to the terms and conditions of this Agreement, subject to the approval rights of the Managers set forth in Section 8.1 hereof, subject to the approval rights of the Members set forth in Sections 9.2 and 9.3 hereof, and subject to the Operating Plan and Budget. Without limiting the foregoing, the President shall have such other powers and duties as may be prescribed by the Managers in a written instrument (which may be in the form of a resolution or similar authorization) executed by the requisite number of the Managers necessary to authorize such action. The President shall preside at meetings of the Members and meetings of the Managers. The initial President of the Company shall be Xxxxxxx X. Xxxxxx, who shall serve in such capacity until his removal or resignation.

If there should be a President, he or she shall be the general manager of the daily operations of the Company and shall have Operating Agreement for Xxxxxx Quality, LLC general and active management of the operations and affairs of the Company, subject, however, to the control of the Members and the powers granted to the Chief Executive Officer, if any. If no Chief Executive Officer is elected or that office is vacant then the President shall have all of the powers and duties of the Chief Executive Officer. In the absence or disability of the CEO, the President shall perform all the duties of the CEO and shall for this purpose act within the CEO’s scope of authority. The President may also be elected or appointed as the Chief Operating Officer of the corporation.
