EFFECT OF SUSPENSION OR TERMINATION. The Department may exercise its right to give the Training Provider a direction under Clause 4.7 if: this Contract is terminated; the Training Provider suspends delivery of the Training Services for any Skills First Student under a direction given by the Department under Clause 16.2(a); or the Training Provider otherwise ceases to deliver the Training Services for any Skills First Student before they have completed or withdrawn from the relevant program. A direction referred to in Clause 18.1 may, for example, require the Training Provider to: assist Skills First Students to transfer to another registered training organisation to continue the training they have commenced under this Contract; and issue statements of attainment for subjects the Skills First Student has completed. The Department may require the Training Provider to refund such amount of the following Funds as the Department reasonably deems appropriate (together with interest calculated daily at the rate prescribed under the Penalty Interest Rates Act 1983 (Vic), for the period between the Department demanding the refund and the Training Provider refunding the Funds): where this Contract was terminated under a provision other than Clause 17.4(g) or Clause 17.4(h), Funds paid prior to the date of the termination; where this Contract was terminated under Clause 17.4(f) by reason of an Insolvency Event referred to in any of paragraphs (c) to (i) of the definition, Funds paid at any time on or after the date of the Insolvency Event; or where this Contract was terminated under Clause 17.4(j), Funds paid at any time from the date of the relevant suspension, withdrawal, cancellation or cessation.

If this VET Funding Contract is terminated, the Training Provider suspends delivery of the Training Services in respect of any Eligible Individual pursuant to a direction given by the Department under Clause 17.2(a), or the Training Provider otherwise ceases to deliver the Training Services in respect of any Eligible Individual prior to that Eligible Individual having completed or withdrawn from the relevant course or qualification, then: the Department may give the Training Provider directions, including a direction to assist Eligible Individuals to transfer to another registered training organisation in order to continue the training commenced by the Eligible Individual under this VET Funding Contract; and pursuant to Clause 4.3(b), the Training Provider must immediately comply with such a direction. If the Department terminates this VET Funding Contract other than under Clause 18, or under Clause 18.3(f) from the date of an Insolvency Event occurring as envisaged under (c) to (j) of the definition of an Insolvency Event, or Clause 18.3(j) from the date of suspension or cancellation, the Department may require the Training Provider to refund such amount of the Funds previously paid by the Department as the Department reasonably deems appropriate (together with interest calculated daily at the rate prescribed under the Penalty Interest Rates Act 1983 (Vic) for the period between the Department demanding the refund and the Training Provider refunding the Funds).

EFFECT OF SUSPENSION OR TERMINATION. 19.1 If this VET Funding Contract is terminated, the Training Provider suspends delivery of the Training Services in respect of any Eligible Individual pursuant to a direction given by the Department under Clause 17.2(a), or the Training Provider otherwise ceases to deliver the Training Services in respect of any Eligible Individual prior to that Eligible Individual having completed or withdrawn from the relevant course or qualification, then:
a) the Department may give the Training Provider directions, including a direction to assist Eligible Individuals to transfer to another registered training organisation in order to continue the training commenced by the Eligible Individual under this VET Funding Contract; and
b) pursuant to Clause 4.3(b), the Training Provider must immediately comply with such a direction.
19.2 If the Department terminates this VET Funding Contract other than under Clause 18, or under Clause 18.3(f) from the date of an Insolvency Event occurring as envisaged under

b) pursuant to Clause 4.3(b), the Training Provider must immediately comply with such a direction.
19.2 If the Department terminates this VET Funding Contract other than under Clause 18, or under Clause 18.3(f) from the date of an Insolvency Event occurring as envisaged under
EFFECT OF SUSPENSION OR TERMINATION. (a) Upon termination or suspension of Customer’s rights under this Agreement, the Exchange shall cease providing the Connectivity Services and Customer shall cease accessing the Exchange Systems.
(b) Upon termination of this Agreement for any reason, subject to section 7.6, all rights granted to Customer hereunder will cease and Customer shall promptly pay to the Exchange any and all fees and other amounts owed to the Exchange under this Agreement.
