Electronic Products Purchase Framework Agreement. Pursuant to the electronic products purchase framework agreement (the “Electronic Products Purchase Framework Agreement”) dated [●] 2021 entered into by Guangdong Jingda with Keda Innovation, Guangdong Jingda has agreed to purchase and Keda Innovation has agreed to sell and install certain smart electronic products, including but not limited to smart water meters, door locks and monitoring equipment. Guangdong Jingda or its designated party will enter into separate agreements with Keda Innovation in respect of each procurement which will set out the details of such procurement and the specific payment requirements (including payment method, payment schedule and payment information) pursuant to the principles stipulated in the Electronic Products Purchase Framework Agreement. The term of the Electronic Products Purchase Framework Agreement is from the [REDACTED] to August 31, 2023, and renewable unless terminated by either party by serving written notice to the other party within 30 days prior to the expiration of the Electronic Products Purchase Framework Agreement (subject to compliance with the provisions under the Listing Rules regarding continuing connected transactions). The purchase price payable by Guangdong Jingda to Keda Innovation under the Electronic Products Purchase Framework Agreement shall be agreed by Guangdong Jingda and Keda Innovation after arm’s length negotiation between the parties and determined in accordance with (a) the costs of each product to be purchased by Guangdong Jingda taking into account the model, standard and main material of the products; (b) the prevailing market price of the main material of the products to be purchased by Guangdong Jingda; and (c) the prevailing market price of the products to be purchased by Guangdong Jingda provided by other independent electronic products companies. Reasons for the Transactions Keda Innovation was established by Xx. Xxxx in May 2020 to focus on the research and development as well as production and assembling of smart electronic products, through which practical training opportunities are also provided to our students in line with our education philosophy of “integration of industry and education, cooperation of school and enterprise” (產學融合、校企合作).   • Framework Agreement 4.1.2.1 The Parties shall enter into a Framework Agreement within 28 days after the Contractor receives the Letter of Acceptance, unless the Particular Conditions establish otherwise.   • END USER AGREEMENTS (“EUA H-GAC acknowledges that the END USER may choose to enter into an End User Agreement (“EUA) with the Contractor through this Agreement, and that the term of the EUA may exceed the term of the current H-GAC Agreement.
